Modalità Anti-Stealth – Un nuovo approccio
- Progettato per rilevare gli intrusi con una differenza di temperatura
MOLTO piccola rispetto alla temperatura dell’ambiente
• Analizza e memorizza la “normale” attività dell’ambiente
(senza intrusi).
• Esegue un’analisi avanzata delle attività (in presenza di intrusi) e la confronta con la “normale” attività dell’ambiente.

Anti-Stealth mode – a new approach
- Designed to detect intruders with a very small temperature differential
compared to the background temperature
• Analyses and stores “normal” ambient activity (no intruders)
• Executes an advanced analysis of activity (with intruders) and compares it to the “normal” ambient activity
Advantages:
- Higher Security
• Detects intruders using screens not detected by conventional PIR
sensors
• Minimizes loss of range when the background temperature is close to
the temperature of the intruder
- Maintains high false alarm immunity thanks to the Dual Technology

CONDIZIONI GENERALI DI VENDITA
CONDIZIONI GENERALI
1. Le presenti condizioni potranno provenire da UTC Fire & Security Italia S.r.l.
come rappresentante e per conto di un’altra società. Se così fosse, tale soggetto
dovrà essere menzionato come tale sulla conferma d’ordine o sulla fattura ed ogni
successivo riferimento al “Venditore” si intenderà fatto a tale altra società. Qualora non
fosse menzionata alcuna società, UTC Fire & Security Italia S.r.l. sarà il Venditore.
Mediante l’acquisto dei prodotti dal Venditore, l’Acquirente conferma che all’acquisto
dei prodotti che egli effettuerà dal Venditore si applicheranno esclusivamente le
seguenti condizioni. Qualora l’Acquirente invii al Venditore un altro contratto o delle
modifiche alle presenti condizioni, a meno che il Venditore non accetti espressamente
il modulo dell’Acquirente e tale modulo non sia sottoscritto da un firmatario autorizzato
dal Venditore, alla vendita dei prodotti da parte del Venditore si applicheranno
esclusivamente le presenti condizioni generali. Qualora l’Acquirente non concordi
con le presenti condizioni dovrà contattare il Venditore al fine di discutere le eventuali
modifiche. Ogni modifica dovrà essere fatta per iscritto e dovrà essere sottoscritta da
un firmatario del Venditore debitamente autorizzato.
2.TERMINI E CONDIZIONI DI VENDITA. Le presenti condizioni generali si applicano
a tutti gli acquisti dei prodotti effettuati dall’Acquirente mediante qualsiasi mezzo di
comunicazione elettronico, per telefono, per corrispondenza o mediante altre forme di
trasmissione, nei seguenti termini:
a. se le parti hanno già sottoscritto un contratto, in caso di conflitto tra qualsiasi
disposizione di tale contratto e qualsiasi parte delle presenti condizioni generali, il
contratto precedente prevarrà; laddove non vi sia conflitto troveranno applicazione
le presenti condizioni generali.
b. Se le parti non hanno ancora sottoscritto un contratto, troveranno integrale
applicazione le presenti condizioni. Le presenti condizioni generali saranno
regolate dalla legge Italiana e qualsiasi controversia derivante o relativa alle presenti
condizioni generali sarà sottoposta alla competenza esclusiva del Foro di Milano.
Le parti convengono di escludere espressamente l’applicabilità della Convenzione
delle Nazioni Unite sui Contratti di Vendita Internazionale di Beni.
3.PRODOTTI. I prodotti sono quelli descritti nella conferma d’ordine del Venditore o
sulla bolla di consegna. In caso di contrasto tra l’ordine dell’Acquirente e la conferma
d’ordine del Venditore o la bolla di consegna, l’Acquirente dovrà comunicare il suo
dissenso per iscritto al Venditore, non più tardi di cinque giorni lavorativi dalla ricezione
della conferma d’ordine del Venditore o della bolla di consegna. Quando opportuno,
con il termine “prodotti” dovranno intendersi qualsiasi servizio fornito dal Venditore.
4.PREZZI. I prezzi dei prodotti sono IVA esclusa e sono determinati nella conferma
d’ordine inviata dal Venditore e, salva diversa pattuizione scritta delle parti, saranno
franco nostro magazzino. Il pagamento dovrà essere effettuato entro 30 giorni
(o secondo gli accordi presi) dalla data di emissione della fattura nei modi stabiliti
nel presente articolo. Nel caso in cui l’Acquirente predisponga l’esportazione dei
prodotti fornirà gratuitamente al Venditore, previa sua espressa richiesta, attestazione
dell’avvenuta esportazione o altra documentazione comprovante l’esenzione dei
prodotti da tasse o dazi, che sia eventualmente richiesta dalle relative autorità fiscali
o doganali. In mancanza di tale documentazione, l’Acquirente pagherà prontamente
al Venditore, previa presentazione di fattura da parte di quest’ultimo, qualsiasi tassa
o dazio applicati sulla vendita dei prodotti. L’Acquirente non potrà dedurre somme dai
pagamenti dovuti al Venditore per presunte compensazioni o pretese dell’Acquirente.
Il Venditore ha il diritto di pretendere in ogni momento il pagamento totale o parziale
anticipato e/o altrimenti pretendere garanzie per tale pagamento. L’Acquirente
rimborserà il Venditore per i costi da questo sostenuti per raccogliere le somme
dovute a causa del ritardo nel pagamento del prezzo, inclusi gli interessi dovuti per
legge maggiorati del 3% per ciascun pagamento effettuato in ritardo, interessi che
matureranno finché non verrà effettuato il pagamento. L’Acquirente sarà considerato
inadempiente per effetto del solo mancato o ritardato pagamento e senza necessità
di preavviso scritto. Il Venditore potrà sospendere o annullare la consegna di qualsiasi
ordine o consegna ripartita nel caso in cui il credito dell’Acquirente nei confronti del
Venditore ecceda il limite. Tutte le rimesse devono essere effettuate in un pagamento
unico per l’intero ammontare della fattura (regolata per ogni nota di debito) e devono
essere effettuate in conformità ai seguenti requisiti: 1) trasferimento di fondi elettronico
o via filo e/o bonifico (che faccia riferimento al numero della fattura) e l’Acquirente deve
essere l’autore del pagamento 2) assegno dell’Acquirente (emesso dal conto della
società recante la denominazione sociale) 3) lettera di credito irrevocabile (che faccia
riferimento al numero della fattura). Assegni di terzi, assegni bancari e drafts stranieri
saranno accettati solo se approvati in anticipo per iscritto dal CFO del Venditore e
dovranno essere accompagnati da documentazione che si riferisca alla fattura pagata.
5. CONSEGNA. Tutti i termini di consegna citati dal Venditore o fissati nella conferma
d’ordine o nella accettazione sono solo indicativi e non devono essere considerati
vincolanti. Il Venditore non garantisce la certezza della data di consegna. La fatturazione
verrà effettuata sulla base della quantità di prodotto effettivamente consegnata. Salva
diversa pattuizione scritta delle parti, la consegna potrà essere effettuata a consegne
ripartite ed il tempo di consegna potrà essere prolungato se e finché l’Acquirente
sarà in ritardo nell’adempimento di qualsiasi obbligazione nei confronti del Venditore.
Il Venditore non sarà in nessun modo responsabile per qualsiasi danno o perdita
(anche nel caso di consegne ripartite) dovuto al ritardo nella consegna, a meno che
tale ritardo non sia dovuto a dolo o colpa grave del Venditore. Il quantitativo registrato
sulla bolla di consegna sarà accettato come quello corretto da entrambe le parti salvo
contestazioni scritte dell’Acquirente da effettuarsi entro cinque giorni lavorativi dalla
consegna. Qualora l’Acquirente rifiuti la consegna dei prodotti o di una consegna
ripartita, il Venditore potrà, fatto salvo ogni altro diritto od azione di quest’ultimo,
provvedere ad immagazzinare i prodotti a rischio e spese dell’Acquirente. Dalla data di
consegna presso i locali del Venditore o in altro posto concordato per iscritto dalle parti,
tutti i rischi di perdita o danneggiamento dei prodotti graveranno sull’Acquirente. La
proprietà dei prodotti fatturati all’Acquirente rimarrà al Venditore finché (i) il Venditore
non avrà ricevuto l’intero pagamento di tutti i prodotti e (ii) il Venditore non avrà ricevuto

il pagamento di tutte le altre somme dovutegli dall’Acquirente o che siano diventate
dovute al Venditore per qualsiasi ragione. Finché la proprietà dei prodotti non sia
passata all’Acquirente, nel caso in cui l’Acquirente rivenda i prodotti o i beni realizzati
mediante l’utilizzo dei prodotti acquistati dal Venditore, destinerà al Venditore gli
incassi realizzati da tale vendita, fino all’ammontare dovuto al Venditore e l’Acquirente
dovrà custodire separatamente le somme per il Venditore. Il Venditore avrà il diritto di
accedere a qualsiasi locale ove siano immagazzinati i prodotti al fine di ispezionare o
recuperare la merce se l’Acquirente violi le presenti condizioni o si verifichi uno dei casi
previsti dall’art. 17 che segue.
6.GARANZIA. Il Venditore garantisce che i prodotti venduti saranno conformi alle
specifiche tecniche indicate nel/i manuale/i consegnati all’Acquirente (la “Garanzia”).
Al momento della consegna l’Acquirente accerterà la presenza o meno di eventuali,
danni, difetti o mancanze sui prodotti ricevuti e provvederà, entro cinque giorni
lavorativi dalla consegna, ad informare per iscritto il Venditore di tutti i danni, difetti o
mancanze riscontrati o che sarebbe ragionevolmente possibile riscontrare. Qualora
l’Acquirente rivenda i prodotti, diventerà automaticamente responsabile per tutti i
danni ai prodotti. Durante il periodo di garanzia, l’Acquirente informerà per iscritto il
Venditore di tutti i difetti relativi al prodotto. Salva diversa pattuizione scritta delle parti,
il periodo di garanzia avrà inizio a partire dalla data di realizzazione dei prodotti e si
protrarrà per il periodo di garanzia standard applicabile al relativo prodotto. Qualora un
prodotto non sia conforme alla Garanzia o sia altrimenti difettoso, il Venditore potrà,
a sua scelta, riparare i prodotti, sostituirli con altri uguali o compatibili o altri prodotti
nuovi o riparati o rimborsare il prezzo d’acquisto. Quanto indicato nel presente articolo
è l’unica garanzia prestata dal Venditore relativamente ai prodotti. Il Venditore non sarà
responsabile per condizioni o applicazioni che siano al di fuori del suo controllo. Il
Venditore non sarà responsabile per i difetti o i problemi derivanti da tali condizioni o
applicazioni. Tali condizioni includono il normale deterioramento e l’usura, la catastrofe,
la colpa o la negligenza dell’utente o di altri al di fuori del Venditore, sbagliata
installazione, applicazione, immagazzinamento, manutenzione, o uso dei prodotti, o
altre cause esterne ai prodotti, ovvero errore nel conformarsi alle raccomandazioni
del Venditore. La garanzia non copre, ed il Venditore non garantisce, batterie di ogni
tipo usate in connessione con i prodotti forniti. Nel caso in cui un prodotto includa il
“Software” (così come definito nell’articolo rubricato “Licenza Software” che segue),
sia incluso in un prodotto fornito qui di seguito o separatamente, il Venditore garantisce
che tale Software, al momento della consegna, sarà conforme alla documentazione
del Venditore relativa a tale software (“Documentazione dell’Utente”). Il Venditore non
sarà responsabile per i costi di manodopera per la rimozione o la reinstallazione dei
prodotti. Qualsiasi prodotto riparato o sostituito sarà garantito ai termini di questa
Garanzia per la differenza dei termini della garanzia per il prodotto originario o per
90 giorni, applicandosi tra i due il termine più lungo. L’Acquirente potrà restituire i
prodotti al Venditore solo previa accettazione di quest’ultimo. Il prodotto restituito senza
autorizzazione non verrà riparato o sostituito e verrà restituito al mittente a spese
dell’Acquirente. In ogni caso, salvo quanto previsto all’art. 7, la responsabilità massima
del Venditore derivante da qualsiasi causa sarà pari al prezzo netto effettivamente
pagato dall’Acquirente al Venditore per i prodotti. Tale Garanzia si applica solo nei
confronti del primo Acquirente e non si estende ai successivi acquirenti dei prodotti
o a coloro ai quali i prodotti siano stati trasferiti. L’Acquirente originario non potrà in
alcun modo estendere o trasferire tale garanzia a terzi. Nei limiti massimi consentiti
dalla legge, la presente garanzia sostituisce qualsiasi altra garanzia, condizione,
interpretazione o altro termine, sia scritta che orale, prevista espressamente o
tacitamente dalla legge inclusa ogni garanzia relativa all’idoneità dei prodotti ad essere
commercializzati o rispetto a uno scopo o impiego specifico.
7. LIMITAZIONI DI RESPONSABILITA’. Il Venditore non sarà ritenuto responsabile
per i danni derivanti dall’acquisto, dal possesso o dall’uso dei prodotti, dall’uso da parte
dell’Acquirente dei servizi forniti dai siti web del Venditore o dai consigli tecnici forniti
dal Venditore, eccetto quanto previsto dal precedente articolo 6, relativo alla Garanzia,
o in caso di dolo o colpa grave nei limiti in cui gli stessi siano da attribuire al Venditore.
Il Venditore non sarà responsabile per danni indiretti o consequenziali, inclusi, ma non
solo, il lucro cessante, le spese sostenute dall’Acquirente per l’acquisto di pezzi di
ricambio per i prodotti, eventuali azioni legali promosse da terzi o danni a persone
o proprietà. Il Venditore non sarà responsabile per i danni, lesioni, contaminazioni o
perdite dovute a violazione da parte dell’Acquirente degli obblighi previsti dall’art. 13
che segue e l’Acquirente risarcirà e terrà indenne il Venditore, i suoi dipendenti, fornitori
e subcontraenti per qualsiasi richiesta, spesa, danno o perdita dovuti a tale violazione.
Condizioni che limitano, escludono o stabiliscono responsabilità a carico del Venditore,
in relazione ai prodotti consegnati, eccepibili dai fornitori o da terzi contraenti del
Venditore contro il medesimo, potranno essere fatti valere anche contro l’Acquirente.
Niente di quanto previsto dagli articoli 6 e 7 o in qualunque altra parte delle presenti
condizioni è inteso o deve essere interpretato come volto ad escludere o limitare la
responsabilità del Venditore per i danni dovuti a frode, dolo o colpa grave del medesimo
(esclusi i suoi dipendenti, subcontraenti o agenti) o dei suoi dirigenti; o (ii) ogni altra
responsabilità che non può essere esclusa o limitata in base alle leggi applicabili.
8. CONSULENZA TECNICA E ALTRI SERVIZI. L’Acquirente sarà responsabile
per la progettazione, la configurazione, l’integrazione, il collaudo e l’etichettatura di
ogni sistema realizzato dal medesimo utilizzando i prodotti acquistati dal Venditore.
L’Acquirente non potrà fare nessun affidamento sulle informazioni contenute nel
sito Internet del Venditore, nonché sulle dichiarazioni fatte dal Venditore in relazione
all’idoneità dei prodotti o dei servizi forniti dallo stesso. L’Acquirente sarà responsabile
del controllo e del collaudo dei prodotti acquistati dal Venditore che l’Acquirente
effettuerà al fine di vagliare la loro idoneità all’uso, alla trasformazione o alla lavorazione
a cui sono destinati dallo stesso e non potrà rivolgere alcuna pretesa nei confronti del
Venditore per i consigli tecnici, le dichiarazioni, i dati, i servizi o le raccomandazioni
forniti dallo stesso.
9. BREVETTI. Il Venditore garantisce che i prodotti forniti che seguono verranno
consegnati privi di qualsiasi pretesa legittima di terzi diretta a far valere la violazione
di un valido brevetto statunitense o europeo. Se comunicato prontamente per iscritto

dall’Acquirente, date le necessarie autorizzazioni, informazione e assistenza, e purché
l’Acquirente non prenda posizione contro il Venditore in relazione a tale pretesa, il
Venditore opporrà o transigerà a proprie spese, qualsivoglia azione o procedimento
contro l’Acquirente connesso ad una valida pretesa da cui derivi una violazione della
garanzia prevista nel presente articolo, e il Venditore risarcirà all’Acquirente tutti i danni
e le spese dovuti a detta violazione. Nel caso in cui un prodotto o parte di esso, in
seguito a tale controversia, sia considerato in violazione di brevetti e l’uso per il fine a
cui tale prodotto o parte di esso è destinato venga vietato, il Venditore potrà, a proprie
spese e a propria scelta, o procurare all’Acquirente il diritto di continuare ad utilizzare
tale prodotto o parte di esso, o sostituire lo stesso con un prodotto o parte di esso
che non violi brevetti, o modificare lo stesso in modo da renderlo non in violazione
di brevetti, ovvero chiedere la restituzione del prodotto e rimborsare all’Acquirente il
prezzo d’acquisto (meno un equo compenso per il periodo in cui è stato utilizzato) ed
eventuali spese di trasporto sostenute separatamente dall’Acquirente. Quanto precede
costituisce la sola responsabilità del Venditore per il caso in cui i prodotti o parte di
essi violino un brevetto ed è soggetta alla pronta comunicazione dell’Acquirente al
Venditore di qualsiasi pretesa di terzi ed alla gestione completa di tale pretesa da
parte del Venditore. Quanto sopra non si applica ai prodotti o parte di essi che siano
specificati dall’Acquirente o realizzati secondo il progetto dell’Acquirente, ovvero
all’uso di qualsiasi prodotto che segue in connessione con un altro prodotto, in
una combinazione non fornita dal Venditore come parte del presente accordo. Con
riferimento a tali prodotti o parte di essi, o all’uso di essi in tale combinazione, il
Venditore non si assume alcuna responsabilità per violazione di brevetti e l’Acquirente
terrà indenne il Venditore contro qualsiasi pretesa diretta a far valere la predetta
violazione.
10. FORZA MAGGIORE. Il Venditore non sarà responsabile verso l’Acquirente nel
caso in cui l’esecuzione del contratto sia, in tutto o in parte, temporaneamente o meno,
impedita da cause che siano ragionevolmente al di fuori del suo controllo, incluse le
condizioni atmosferiche estreme, le catastrofi naturali, le guerre, gli incendi, gli ordini
di governo, i blocchi edili di aree, i blocchi dei trasporti, gli scioperi, le interruzioni
specifiche di opere o i rallentamenti dovuti a sciopero bianco e serrata, i guasti alle
macchine, i ritardi nella fornitura dei pezzi, parti, merci o servizi ordinati dal Venditore, o
dovuti ad incidenti o interruzioni di operazioni commerciali. Nel caso di forza maggiore
le obbligazioni del Venditore dovranno intendersi sospese. Qualora la forza maggiore
duri più di 90 giorni, le parti mediante accordo scritto, potranno risolvere il contratto per
la parte non più eseguibile.
11. LICENZA SOFTWARE. Nelle presenti condizioni generali, con il termine “Software”
si intende un programma informatico o compilazione di dati fissati in qualsiasi mezzo
tangibile di espressione leggibile mediante computer, in sola forma di codice oggetto e,
comunque, qualsiasi strumento di memorizzazione dal quale il programma può essere
percepito, riprodotto o altrimenti comunicato con l’aiuto di una macchina o dispositivo,
e dovrà includere senza limitazioni con riferimento ai software operativi di proprietà
del Venditore, previsti per l’ordinario funzionamento dei prodotti, qualsiasi software
facoltativo volto a migliorare il funzionamento del prodotto, nonché gli aggiornamenti o
le revisioni di tale materiale che il Venditore fornisce in adempimento ad uno specifico
impegno scritto o in altro modo. Niente nelle presenti condizioni generali deve essere
inteso come finalizzato a far sorgere l’obbligo in capo al Venditore di fornire supporto,
aggiornamenti o revisioni di qualsiasi Software se non in base ad un separato impegno
scritto. All’Acquirente è concessa una licenza limitata per qualsiasi Software e relativa
Documentazione dell’Utente consegnata dal Venditore, sia facenti parte del prodotto
sia consegnati separatamente. All’Acquirente non è concessa una licenza su nessun
altro software o documentazione. Questa licenza limitata consente all’Acquirente di:
1) utilizzare il Software e la Documentazione dell’Utente solo sui prodotti su cui viene
installato al momento della consegna ovvero, se il Software è fornito separatamente, in
connessione con i prodotti forniti dal Venditore e 2) fare una copia del Software leggibile
al computer al solo scopo di backup, a condizione che l’Acquirente riproduca su
ciascuna copia l’avviso relativo alla protezione dei diritti d’autore e ogni altra indicazione
relativa alla proprietà apposta sull’originale. L’Acquirente dovrà ottenere una licenza
supplementare dal Venditore (che il Venditore potrà concedere o meno a propria
discrezione) prima di usare il Software in collegamento con altre apparecchiature o per
altre finalità. Con riguardo alla presente licenza, all’Acquirente non è concesso nessun
altro diritto. L’Acquirente non potrà distribuire copie del Software o la Documentazione
dell’Utente ad altri o trasferire elettronicamente il Software da un computer ad un
altro attraverso la rete. Il Software contiene segreti commerciali del Venditore. Al fine
di proteggere tali segreti, l’Acquirente non potrà modificare, scomporre, costruire
in ordine inverso, smontare ovvero ridurre il Software ad una forma comprensibile
dall’uomo. L’Acquirente non potrà modificare, adattare, tradurre, noleggiare, affittare,
prestare, rivendere per profitto o per altri motivi, distribuire, diffondere, creare prodotti
derivati dal Software o da una parte di esso. Tutti i Software e la Documentazione
dell’Utente sono protetti dalle leggi sul diritto d’autore, da brevetti statunitensi ed
europei e dai trattati internazionali applicabili. La presente costituisce l’unica licenza
concessa all’Acquirente. Tutti i Software forniti dal Venditore rimangono di proprietà del
Venditore. Se l’Acquirente riceve un Software in sostituzione di un altro e tale Software
risulti superfluo, l’Acquirente dovrà restituire il Software superato al Venditore.
12. REGOLE SULLA CERTIFICAZIONE DI CONFORMITA’. Il Venditore, se possibile,
fornirà all’Acquirente, su sua espressa richiesta, tutti i necessari certificati di conformità
richiesti dalle norme vigenti e l’Acquirente provvederà a trasmetterli alle autorità
competenti ai sensi di legge. L’Acquirente utilizzerà i prodotti e/o le relative confezioni
in conformità alle disposizioni applicabili o alle leggi vigenti sullo smaltimento o sul
riciclo dei materiali.
13. CONFORMITA’ ALLE LEGGI SULL’ESPORTAZIONE. L’Acquirente assicura
che i prodotti, la tecnologia o il software che riceverà dal Venditore saranno esportati
dall’Acquirente in conformità alle leggi applicabili in materia di esportazione.
L’Acquirente si impegna a non utilizzare o favorire intenzionalmente l’utilizzo di
tali prodotti, tecnologia o software da parte di terzi, nella progettazione, sviluppo,
produzione o utilizzo di armi nucleari, chimiche o biologiche o missili balistici.
14. COMMERCIO ELETTRONICO. Il Venditore avrà la facoltà di mettere in vendita i
prodotti tramite Internet, e-mail o altri mezzi di comunicazione elettronica. Le vendite
dei prodotti effettuate utilizzando i predetti mezzi saranno disciplinate dalle presenti
condizioni generali, dai termini dei relativi contratti di vendita e dagli ulteriori termini
fissati o a cui si faccia espressamente riferimento nel sito Internet del Venditore o nelle
comunicazioni elettroniche. Nel caso di conflitto tra qualsiasi disposizione dei contratti di
vendita applicabili o tali termini ulteriori e le presenti condizioni generali, le disposizioni
dei contratti di vendita applicabili o tali termini ulteriori prevarranno. L’Acquirente
non potrà rivelare password, codici di accesso o simili credenziali comunicatigli
dal Venditore il quale si riserva il diritto di sospendere o di revocare tali credenziali.
L’Acquirente è il solo responsabile per la sicurezza e l’integrità delle sue procedure di
ordinazione. Tutte le informazioni fornite dal Venditore mediante qualsiasi sito Internet
o mezzo di comunicazione elettronica (i) potranno essere oggetto di correzione o
modifica senza preavviso, e (ii) saranno fornite ad uso esclusivo dell’Acquirente al fine
di facilitare le singole operazioni relative alla compravendita dei prodotti del Venditore.
L’Acquirente dichiara di fare affidamento su tali informazioni al solo fine di effettuare
acquisti individualmente e nel non rivendicare o utilizzare per alcun motivo le predette
informazioni a discapito del Venditore. L’Acquirente accetta espressamente che il
Venditore invii accettazioni o conferme d’ordine per via elettronica e fatture elettroniche
per qualsiasi acquisto dei prodotti fatti tramite Internet, e-mail o qualsiasi altro mezzo
di comunicazione elettronica, e concorda nel dare esecuzione a tali accettazioni o
conferme d’ordine e fatture come se fossero state inviate per iscritto.
15. DATA PROTECTION. In occasione dello svolgimento dei rapporti commerciali
tra Cliente e Fornitore, quest’ultimo, nella qualità di Titolare del trattamento, tratterà
i dati personali del Cliente nel rispetto delle disposizioni del Decreto Legislativo
196/2003 (Codice Unico della Privacy). Il Fornitore dichiara che tale trattamento sarà
posto in essere per le seguenti finalità: la gestione e l’aggiornamento del data base
del debitore e dei relativi profili di rischio, finalità operative e di factoring, nonché la
razionalizzazione le procedure di trattamento dei dati personali all’interno del gruppo.
Nel caso di conclusione di un contratto con il Fornitore, il Cliente acconsente a tale
trattamento nonché alla comunicazione dei dati personali alle società consociate del
Fornitore per le medesime finalità sopra descritte. Il Cliente, posto che il Fornitore
assicuri un adeguato livello di protezione, acconsente altresì a che il Fornitore
trasferisca i dati personali alle società consociate di quest’ultimo, aventi sede al di fuori
dell’Unione Europea, compresi i paesi nei quali le società affiliate sono ubicate. I dati
personali del Cliente saranno conservati per tutto il tempo in cui ciò si renda necessario
e comunque sin quando non cesserà il rapporto commerciale tra Fornitore e Cliente.
Il Cliente ha il diritto di opporsi, in ogni tempo e senza alcun costo, al trattamento dei
dati per finalità di direct marketing, inviando al Fornitore un messaggio e-mail nel quale
esprima tale dissenso. Il Cliente ha diritto di avere accesso ai propri dati personali,
nonché di ottenerne, ove necessario, la rettifica, come disposto dall’articolo 7 del
Decreto Legislativo 196/2003
16. ANTIRICICLAGGIO. Il Venditore si impegna fermamente ad evitare ogni
coinvolgimento nel riciclaggio di denaro, di osservare pienamente le leggi vigenti in
materia di antiriciclaggio, l’informazione sulle operazioni e la conservazione di registri,
nonché di prendere provvedimenti per prevenire, scoprire e denunciare alle autorità
competenti possibili violazioni. Il Venditore richiederà informazioni appropriate ai
suoi Acquirenti al fine di determinare che i suoi Acquirenti siano aziende leali, fidate,
nonché degne di credito. L’Acquirente accetta di cooperare con il Venditore sotto tutti
i punti di vista al fine di consentire al Venditore di raggiungere gli obiettivi sanciti nel
presente articolo.
17. RISOLUZIONE DEL CONTRATTO. Qualora l’Acquirente non adempia una
o più obbligazioni nelle presenti condizioni generali, o non adempia in tempo o
adeguatamente, il Venditore intimerà all’Acquirente, mediante dichiarazione iscritta, di
adempiere in un congruo termine. Decorso inutilmente detto termine, il contratto si
intenderà senz’altro risolto. Qualora l’Acquirente sia sottoposto ad istanza di fallimento,
o ad altra procedura concorsuale o pre-concorsuale, o sia insolvente o incapace
di pagare i propri debiti, o proceda alla liquidazione volontaria della propria attività
commerciale, ovvero la medesima sia messa in liquidazione, o i suoi beni siano
sottoposti ad esecuzione forzata in tutto o in parte, o l’Acquirente sia sottoposto a
qualsiasi altro evento analogo ad uno di quelli summenzionati nell’ambito di qualsiasi
giurisdizione. il Venditore avrà il diritto di sospendere l’esecuzione del contratto o di
risolvere, in tutto o in parte il contratto, senza preventivo avviso o messa in mora,
mediante dichiarazione scritta e a suo insindacabile giudizio, con riserva di chiedere il
risarcimento per i danni, spese e interessi. Al verificarsi delle predette circostanze, tutti i
crediti vantati dal Venditore nei confronti dell’Acquirente diventeranno immediatamente
e totalmente esigibili. L’Acquirente è autorizzato a risolvere il contratto solo nei casi
previsti dalle presenti condizioni, e comunque solo dopo aver corrisposto al Venditore
tutte le somme allo stesso dovute fino ad allora.
18. ALTRO. (a) Le presenti condizioni generali enunciano tutti gli obblighi e le
responsabilità del Venditore. Al di fuori di quanto espressamente previsto nelle
presenti condizioni generali, tutte le garanzie, condizioni, interpretazioni effettuate dal
Venditore, e tutti gli altri termini, siano essi espressi o implicitamente previsti dalla
legge, sono esclusi nei limiti massimi consentiti dalla legge. (b) In nessun caso le
presenti condizioni sono volte a conferire benefici a terze parti. (c) In nessun caso il
ritardato o il mancato esercizio di un diritto nascente dalle presenti disposizioni potrà
essere inteso quale rinuncia ai diritti da esse previsti. (d) Ogni disposizione delle
presenti condizioni è distinta ed indipendente. Qualora una disposizione o parte di
essa sia ritenuta nulla, annullabile o invalida dalla competente Autorità Giudiziaria, in
nessun caso tale nullità, annullabilità o invalidità parziale o totale avrà effetto su altre
clausole delle presenti condizioni generali.

GENERAL TERMS AND CONDITIONS OF SALE
1. GENERAL This document may have been sent by UTC Fire & Security BV
as agent and on behalf of another entity. If this is the case, such other entity shall
be mentioned on the order confirmation or invoice, as such and any reference
below to “Seller” shall be read as referring to such other entity. If no such entity is
mentioned, UTC Fire & Security BV shall be the Seller. By purchasing products
from Seller, Buyer confirms that the following terms and conditions exclusively
apply to Buyer’s purchase of products from Seller. Even if Buyer sends Seller
another form of agreement, or modifications to this agreement, unless Seller
expressly agrees to the Buyer’s form and such form is signed by an authorized
signatory of Seller, these terms will be the exclusive terms governing the sale of
products by Seller. If Buyer does not agree with these terms, please call Seller to
discuss modifications. Any modifications must be in writing and signed by a duly
authorized signatory of Seller.
2. TERMS AND CONDITIONS OF SALES. Subject to the following, any products
Buyer purchases from Seller by electronic, phone, paper or any other form of
transmission are sold subject to these terms and conditions: If Buyer already has
a fully signed sales agreement with Seller, then any term in that agreement that
conflicts with any part of these terms and conditions will be applied to Buyer’s
purchase in substitution for that part of these terms and conditions; the rest
of these terms and conditions will otherwise apply. If Buyer does not have a
fully signed sales agreement with Seller, then these terms and conditions will
be the exclusive terms governing the sale of products by Seller. These terms
and conditions shall be governed by the substantive law of The Netherlands.
The court of Roermond, The Netherlands shall have exclusive jurisdiction in
connection with any matter arising out of or in connection with these terms. The
United Nations Convention on the International Sale of Goods will not apply.
3. PRODUCTS. The products are those described in Seller's order confirmation
or packing slip, unless, in the event of a discrepancy between Buyer's order
and Seller's order confirmation or packing slip, Buyer notifies Seller in writing of
its disagreement, not later than five working days after receipt of Seller’s order
confirmation or packing slip. Where appropriate in these terms and conditions,
the term products shall include any services provided by Seller.
4. PRICE. Product prices are exclusive of VAT and determined by the confirmation
Buyer receives from Seller and unless otherwise stated will be ex works Weert
(Incoterms 2000) and payment will be due within 30 days of the invoice date in
the manner set out in this clause. If Buyer is to arrange export shipment, upon
request by Seller, Buyer agrees to provide free of charge to Seller, evidence of
exportation or other evidence of tax or duty exemption acceptable to the relevant
taxing or custom authorities, failing which, the amount of any taxes or duties
payable by Seller in connection with the sale of product(s) shall be promptly
paid by Buyer to Seller upon submission of Seller's invoice. Buyer shall not be
entitled to make any deduction from payments due to Seller on account of any
alleged set-off or counterclaim. Seller has at all times the right to claim full or
partial advance payment and/or otherwise claim security for payment. Should
Buyer fail to pay Seller in a timely manner, Buyer agrees to reimburse Seller for
Seller’s costs of collecting the amounts due and to pay Seller interest on any
late payment at a rate of 3% above the statutory interest to accrue until actual
payment is made. By the mere fact of non-performance or late performance
Buyer is in default without notice. Seller may suspend or cancel delivery of any
order or instalment in the event that Buyer exceeds its credit limit with the Seller.
All remittances must be in a single payment in the full amount of the invoice
(adjusted for any debit notes) and must be in accordance with the following
requirements: 1) Wire or electronic funds transfer (referencing invoice number)
and Buyer must be the originator of the wire 2) Buyer company cheque (drawn on
company account with company name) 3) irrevocable letter of credit (referencing
invoice number). Third party cheques, bank cheques and foreign drafts will only
be accepted if approved in advance in writing by the CFO of Seller and must
have accompanying documentation which references invoices being paid.
5. DELIVERY. Any delivery dates Seller quotes or which are set out in Seller’s
order confirmation or acceptance are estimates only and are not intended to be
legally binding. Seller cannot guarantee delivery on a specific date. The Buyer
will be invoiced for the quantity actually delivered. Unless otherwise agreed in
writing, delivery may be made in instalments. Delivery time may be extended
if and for so long as the Buyer is delayed in the performance of any obligation
to Seller. Seller will not in any circumstance be liable for any loss or damage
whatsoever due to delay in delivery (including pursuant to instalments) however
occasioned unless the same was attributable to Seller's gross negligence
or wilful misconduct. The quantity recorded on Seller's packing slip shall be
accepted by both parties as correct, unless objected to in writing by Buyer within
five working days from delivery. If Buyer refuses to accept delivery of products or
any instalment thereof, Seller may, without prejudice to its other rights, arrange
for the storage of the products at the expense and risk of Buyer. All risk of loss or
damage passes to Buyer at the time products have been placed at the disposal
of Buyer at the premises of Seller, or another place that has been agreed in
writing. Seller shall retain title to the products invoiced to Buyer until (i) Seller
has received full payment for all products and (ii) Seller has received payment
of all other sums which are or which become due to Seller from Buyer on any
account. Until such time as title in the products passes to Buyer, if Buyer re-sells
the products or any goods manufactured out of products sold by Seller, Buyer
assigns to Seller all proceeds from their sale up to the amounts owing to the
Seller and Buyer shall hold such amounts separately on trust for Seller. Seller
shall have the right to access any premises where the products are stored to
inspect or recover the goods if Buyer is in breach of any of these terms or upon
occurrence any of the events set out at clause 17.
6. LIMITED WARRANTY. Products sold by Seller to Buyer conform to the
manufacturers’ specifications as set forth in the applicable manual(s) delivered

to Buyer (the “Limited Warranty”). Buyer will inspect all products Buyer receives
for damage, defect or shortage promptly after Buyer receives them, and will give
Seller written notice within five working days from delivery of any damage, defect
or shortage that Buyer finds or would reasonably be expected to find. In case
Buyer resells the products, Buyer is responsible for all damages to the products.
Buyer must give Seller written notice of any defect within the warranty period of
the product. Unless otherwise agreed between Seller and Buyer, the warranty
period starts from the date of production and lasts for the standard warranty period
applicable to the relevant product. If any products do not conform with the Limited
Warranty or are otherwise defective, Seller may at its option, either repair the
products, replace the products with same or compatible new or repaired products
or refund the purchase price. This is Buyer’s exclusive remedy for breach of
warranty. Seller is not responsible for conditions or applications over which Seller
has no control. Defects or problems as a result of such conditions or applications
are not the responsibility of Seller. Such conditions include normal wear and
tear, catastrophe, fault or negligence of the user or a party other than Seller,
improper installation, application, storage, maintenance or use of the products,
or other causes external to products, or failure to conform to any applicable
recommendations of Seller. The warranty does not cover, and Seller does not
warrant, batteries of any type used in connection with the products furnished. To
the extent that any product includes “ Software” (as defined in the article headed
“Software License” herein), whether included in a product furnished hereunder
or separately, Seller warrants that such Software will, at the time of delivery,
conform substantially to Seller’s documentation relating to such Software (“User
Documentation”), when operated properly and in the manner specified in the
User Documentation. Seller will not be responsible for labor costs of removal
or reinstallation of products. Any product that is repaired or replaced shall be
warranted under the terms of the Limited Warranty for the balance of the term of
the warranty for the original product or for 90 days, whichever is longer. Buyer
should not return products until Seller agrees that Buyer may do so. Product
that is returned without authorization will not be repaired or replaced and will be
returned to the sender upon Buyer’s expense. In any event, except as set out in
clause 7, the maximum extent of Seller’s liability howsoever arising is equal to
the net purchase price Buyer actually paid Seller. This Limited Warranty is given
only to the original purchaser and does not extend to any subsequent purchaser
or transferee of Seller’s products. The original purchaser is not entitled to extend
or transfer this warranty to any other party. To the fullest extent permissible by
law, this warranty is in lieu of all other warranties, conditions, representations or
other terms, whether written or oral, including any warranty of merchantability or
fitness for a particular purpose.
7. LIMITATION OF CLAIMS. Seller will not be responsible for any harm arising
out of Buyer’s purchase, possession or use of any products supplied by Seller,
Buyer’s use of any function on Seller’s web-sites or any technical advice Seller
may offer, except as agreed in the Limited Warranty set out above or in case of
gross negligence or wilful misconduct to the extent such is attributable to Seller.
Seller will not be liable for consequential damages, including, but not limited to,
loss of profits, cost of any substitute for the products Buyer bought, claims of third
parties or injury to person or property. Seller shall not be liable for any damage,
injury, contamination or loss resulting in connection with breach by Buyer of
its obligations under clause 13 and Buyer shall indemnify and hold Seller, its
employees, suppliers and sub-contractors harmless against all claims, costs,
loss or damages in connection with such breach. Conditions limiting, excluding
or establishing liability, which can be invoked by suppliers or independent
contractors of Seller against Seller in respect of the goods delivered, may also
be invoked against Buyer. Nothing in clause 6 and clause 7 or in any other part of
this agreement is intended or shall be construed as excluding or limiting Seller’s
liability for (i) damage ensuing from gross negligence or wilful misconduct by
Seller (not including employees, subcontractors or agents) or its executive
management; or (ii) any other liability that cannot be excluded or limited under
applicable law.
8. TECHNICAL ADVICE AND OTHER SERVICES. Buyer is responsible for the
design, configuration, integration, testing and labelling of any system that Buyer
makes using products Buyer buys from Seller and Buyer will not rely on anything
on Seller’s web site or any statement by Seller about the suitability of products
or services Seller provides. Buyer is responsible for testing and investigating
products sold by Seller enough to form an independent judgment concerning
their suitability for the use, conversion or processing intended by Buyer and will
not make any claim against Seller based on Seller’s technical advice, statements,
data, services or recommendations.
9. PATENTS. Seller warrants that products furnished hereunder shall be delivered
free of any rightful claim of any third party for infringement of any valid US or
European patent. If notified promptly in writing by Buyer and given authority,
information and assistance, and contingent upon Buyer not taking any position
adverse to Seller in connection with such claim, Seller shall defend, or may settle
at its expense, any suit or proceeding against Buyer so far as based on a valid
claim for infringement which would result in a breach of the warranty stated in
this section and Seller shall pay all damages and costs awarded therein against
Buyer due to such breach. In case any product or part thereof is in such suit held
to constitute such an infringement and the use for the purpose intended of said
product or part is enjoined, Seller shall, at its expense and option, either procure
for Buyer the right to continue using said product or part, or replace same with
a non-infringing product or part, or modify same so it becomes non-infringing,
or remove the product and refund to Buyer the purchase price (less reasonable
depreciation for any period of use) and any transportation costs separately paid
by Buyer. The foregoing states the entire liability of Seller for patent infringement
by the products or any part thereof and is subject to Buyer promptly informing

Seller of any claim and allowing Seller full conduct of the claim. This does not
apply to any product or part specified by Buyer or manufactured to Buyer’s design,
or to the use of any product furnished hereunder in conjunction with any other
product in a combination not furnished by Seller as a part of this transaction,
or in case of use of any product furnished hereunder that is in breach of these
terms and conditions. As to any such product or part, or use in such combination,
Seller assumes no liability whatsoever for patent infringement and Buyer will hold
Seller harmless against any infringement claims arising therefrom.
10. EVENTS BEYOND SELLER’S CONTROL. Seller is entitled to invoke
force majeure if the implementation of the agreement is, in whole or in part,
temporarily or not, prevented or impeded by circumstances reasonably out of
its control, including extreme weather conditions, natural catastrophe, warfare,
fire, government commission, site or building blockades, transport interruptions,
strikes, specific work interruptions or work-to-rule slowdowns and lockout,
machine breakdown, delay in the provision to Seller of parts, good or services
ordered from third parties, accidents and interruptions of business operations.
In the event of force majeure on the part of Seller, Seller shall not be liable and
its obligations are suspended. If the force majeure lasts longer than 90 days,
both Seller and Buyer are authorized to rescind the non-feasible parts of the
agreement by a written declaration.
11. SOFTWARE LICENSE. As used in these terms and conditions, the term
“Software” means a machine-readable, object code form only, computer program
or compilation of data that is fixed in any tangible medium of expression, or
any storage medium from which the program may be perceived, reproduced or
otherwise communicated, with the aid of a machine or device, and shall include
without limitation any of Seller’s proprietary operating software, provided for
the ordinary operation of the products, any optional software to enhance the
operation of the product, as well as any upgrades or revisions of this material
Seller provides in fulfilment of a specific written commitment or otherwise.
Nothing herein shall be deemed to create an obligation on the part of Seller to
provide any support, upgrades or revisions to any Software other than pursuant
to a separate written obligation to do so. Buyer is granted a limited non-exclusive
license for any Software and related User Documentation delivered by Seller,
whether as part of any product or separately. Buyer is not granted a license for
any other software or documentation. This limited non-exclusive license allows
Buyer to: 1) use the Software and User Documentation for its internal business
purposes and only on the products on which it is installed at the time of delivery
or, if the Software is supplied separately, in connection with products supplied by
Seller and 2) make one copy of the Software in machine- readable form solely
for backup purposes, provided that Buyer must reproduce on any such copy
the copyright notice and any other proprietary legends that were on the original
copy. Buyer must obtain a supplementary license from Seller (which Seller may
or may not grant in its sole discretion) before using the Software in connection
with any other equipment or for any other purpose. Buyer shall have no other
rights under this limited non-exclusive license. Buyer may not distribute copies
of the Software or User Documentation to others or electronically transfer the
Software from one computer to another over a network. The Software contains
know how of Seller. In order to protect such know how, Buyer may not decompile,
reverse engineer, disassemble, or otherwise reduce the Software to a humanperceivable form, except as permitted under mandatory law for purposes of
achieving interoperability. Buyer may not, nor shall permit any third party to,
modify, adapt, translate, rent, lease, loan, resell for profit or other purpose,
distribute, network, or create derivative works based upon the Software or any
part thereof. All Software and User Documentation is protected by the copyright
laws, works of authorship, and US and European patents and by applicable
international treaties. No license under such rights is transferred to Buyer, except
as specifically provided above. All Software provided by Seller remains Sellers
property. If Buyer receives any Software that renders other Software that Buyer
then has redundant, Buyer must return the redundant Software to Seller.
12. REGULATORY APPROVAL COMPLIANCE. Seller will give Buyer, if
possible, approval certifications on request and Buyer will provide these to all
those required by law to receive them. Buyer agrees to dispose of products and/
or disposable packaging as required by any applicable disposal or recycling laws.
13. EXPORT CONTROL COMPLIANCE. Buyer undertakes to Seller that
any products, technology or software, which Buyer receives from Seller will
only be exported by Buyer in compliance with applicable export control laws.
Buyer agrees that it will not use or knowingly support the use by others of such
products, technology or software in the design, development, production or use
of nuclear, chemical or biological weapons or ballistic missiles.
14. ELECTRONIC COMMERCE. Seller may offer products for sale using the
Internet, e-mail or other computer-based electronic communications methods.
All sales of products made using any such method will be governed by these
terms, the terms of the governing sales agreement, and by any additional terms
set out or referenced in Seller’s Internet site or electronic communications. In the
event of any conflict between any provisions in the governing sales agreement
or such additional terms and these terms and conditions, the provisions in the
governing sales agreement or such additional terms shall prevail. Buyer may
not share any password, access code or similar credential, which may be issued
to it by Seller, and Seller reserves the right to suspend or revoke any such
credential. Buyer is solely responsible for ensuring the security and integrity of
its ordering process. Any information provided by Seller via any Internet site or
electronic communication (i) is subject to correction or change without notice,
and (ii) is provided for the sole use of Buyer for purposes of facilitating individual
transactions involving the purchase and sale of Seller’s products. Buyer agrees
that it shall not rely upon any such information for any purpose other than making
individual purchases and shall not seek to assert such information against Seller
for any other purpose. Buyer specifically agrees that Seller may issue electronic
order acceptances or confirmations and electronic invoices for any purchases of
products made using the Internet, e-mail or any other computer-based electronic
communications method, and agrees to honour such order acceptances or
confirmations and invoices as if they had been delivered in writing.
15. DATA PROTECTION. In its capacity as controller, Seller processes and
controls Buyer’s personal data ("Data") whenever Buyer enters into a relationship
with Seller. Seller undertakes this processing for the following purposes: to
establish and maintain its debtor database and the respective risk profiles as
well as for operational and factoring purposes and to rationalize data protection
issues within its group. By entering into an agreement with Seller, Buyer consents
to this processing, and consents to Seller’s communication of Buyer’s Data to
affiliated companies for the same purposes as mentioned above. Provided that
Seller ensures adequate safeguards, Buyer also consents to the fact that Seller
may send Buyer’s Data to Seller’s affiliated companies located in any jurisdiction
outside the EEA. Buyer’s Data will be kept as long as necessary, and at least
until the Seller – Buyer relationship comes to an end. Buyer is entitled to object
at any time and free of charge to the processing of its Data for the purposes of
direct marketing by sending an email expressing its objection to Seller. Buyer is
entitled to access its Data and have it rectified as necessary.
16. ANTI MONEY LAUNDERING. Seller is firmly committed to avoid any
involvement with money laundering, to comply fully with all applicable anti
money laundering, currency reporting and record keeping requirements and to
take affirmative steps to prevent, detect and report to appropriate authorities
suspected violations. Seller will request appropriate information from its buyers
to enable Seller to sufficiently determine its buyers to be a legitimate, trustworthy
and creditworthy concern. Buyer agrees to co-operate with Seller in all respects
to enable Seller to meet Seller’s objectives set out in this clause.
17. TERMINATION FOR DEFAULT. If Buyer does not fulfil one or more of
its obligations in these terms and conditions, does not fulfil them timely or
adequately, is declared bankrupt, requests (temporary) moratorium, is insolvent
or is unable to pay its debts, or takes any steps or any other person takes
such steps towards the liquidation of Buyer’s business, or if Buyer’s assets are
attached in whole or in part or if Buyer undergoes any event that is analogous
to any of the aforementioned in any jurisdiction, Seller has the right to suspend
the implementation of the agreement or to rescind the agreement in whole or
in part, without prior notice or default, by written declaration, at its option and
always reserving any rights to which it is entitled with respect to amounts due to
Seller, compensation for costs, damage and interest. In these cases all of Seller’s
claims on Buyer are immediately and totally due. Buyer is authorized to rescind
the agreement only in the events referred to in these terms and conditions, and
then only after payment to Seller of all amounts owed to Seller at that time,
whether due or not.
18. OTHER.(a)These terms and conditions set out the full extent of Seller’s
obligations and liabilities. Other than as expressly provided in these terms, all
warranties, conditions, representations made by Seller, and all other terms, in
each case whether express or implied by law, are excluded to the fullest extent
permitted by law. (b) No part of these terms are intended to confer any benefit
on any third party. (c) Failure or delay by Seller to enforce any provision of these
terms will not be deemed to be a waiver of any of Seller’s rights under these
terms. (d) Each provision of this agreement is separate and independent. If any
provision or part of a provision is found by a court that has appropriate jurisdiction
to be illegal, void or otherwise unenforceable, it shall to that extent be deemed
not to form part of these terms but the remainder of that provision and all of the
other terms shall not be affected.
