WARRANT AZIONI ORDINARIE TIP S.P.A. 2010/2015
Apertura del quinto ed ultimo periodo di esercizio – Giugno 2015
I portatori dei “Warrant Azioni Ordinarie TIP S.p.A. 2010 – 2015”, codice ISIN n. IT0004585029 (i “Warrant”)
potranno richiederne l’esercizio a decorrere dal 1 giugno 2015 e fino al 30 giugno 2015, termini iniziale e finale
compresi (il “Quinto Periodo di Esercizio”), per ciascun giorno di mercato aperto, con diritto di sottoscrivere
ulteriori azioni ordinarie Tamburi Investment Partners S.p.A. (“TIP”) di nuova emissione, ammesse alla quotazione
sul Mercato Telematico Azionario organizzato e gestito da Borsa Italiana S.p.A., del valore nominale di euro 0,52
ciascuna, aventi godimento regolare e le medesime caratteristiche delle azioni ordinarie TIP in circolazione alla data
di emissione (le “Azioni di Compendio”), in ragione di n. 1 Azione di compendio TIP ogni Warrant esercitato.
Le richieste di sottoscrizione dovranno essere presentate all’intermediario aderente al sistema di amministrazione
accentrata di Monte Titoli S.p.A. presso il quale i Warrant sono depositati.
Il prezzo di esercizio dei Warrant relativamente al Quinto Periodo di Esercizio è pari ad euro 2,00 (due virgola zero
zero) per ciascuna Azione di Compendio e dovrà essere integralmente versato all’atto della presentazione della
relativa richiesta. Si ricorda che a seguito della decorrenza del Quinto Periodo di Esercizio i Warrant 2010-2015 non
saranno più esercitabili né negoziati sul Mercato Regolamentato.
L’esercizio dei Warrant avrà effetto entro il decimo giorno di Borsa aperta a decorrere dalla scadenza del Quinto
Periodo di Esercizio.
Non è previsto che durante il Quinto Periodo di Esercizio si verifichino eventi idonei a determinare la sospensione
della facoltà di esercizio, ai sensi dell’articolo 2) VIII del Regolamento dei Warrant.

TIP S.P.A. ORDINARY SHARES WARRANTS 2010/2015
Commencement of the Fifth and last Exercise Period – June 2015
The holders of “TIP S.p.A. Ordinary Shares Warrants 2010 – 2015”, ISIN code n. IT0004585029 (the “Warrants”)
may apply for their Warrants to be exercised starting from June 1, 2015 until June 30, 2015, both dates included
(the “Fifth Exercise Period”), on each open market day, with the right to subscribe additional newly issued Tamburi
Investment Partners S.p.A. (“TIP”) ordinary shares admitted to trading on the MTA market organized and managed
by Borsa Italiana S.p.A., having a nominal value of Euro 0.52 each and having regular enjoyment rights and the
same features of TIP ordinary shares outstanding at the issue date (the “Conversion Shares”), in the ratio of 1
Conversion Shares for each Warrants exercised.
Applications for subscription must be made to the broker belonging to the Monte Titoli S.p.A. centralized
administration system with whom the Warrants are deposited.
The exercise price of the Warrants for the Fifth Exercise Period is equal to Euro 2.00 (two point zero zero) for each
Conversion Shares, which must be fully paid on application. After the expiry of the Fifth exercise period the
warrants 2010-2015 won’t be neither exercisable nor negotiated on the regulated market anymore.
The exercise of the Warrants will be effective within the tenth open day of the stock exchange following the end of
the Fifth Exercise Period.
No events are planned for the Fifth Exercise Period that may cause the suspension of the exercise right pursuant to
article 2) VIII of the Warrant Regulations.
