CONDIZIONI GENERALI DI VENDITA / GENERAL SALE CONDITIONS
1. Premesse
1. Whereas
1.1 Le presenti condizioni generali regolano le transazioni
fra Seletti S.p.A. (il VENDITORE) ed i suoi clienti (il
COMPRATORE/I). Il VENDITORE specificamente non
riconosce alcuna Condizione Commerciale o Condizione di
Vendita contenuta negli ordini o moduli del
COMPRATORE che può contrastare con le Condizioni di
Vendita seguenti, salvo diverso accordo scritto.
1.1 These Terms of Trading govern transactions between
Seletti S.p.A. (the SELLER) and its customers (the
BUYERS). The SELLER specifically rejects any Terms of
Trading or Conditions of Sale contained in the customer’s
order or forms which may conflict with the following unless
expressly agreed in writing.
1.2 Le presenti condizioni generali di vendita sono
disciplinate dalla legge italiana.
1.2 These General Conditions are governed by Italian law.
1.3 Qualsiasi riferimento a termini commerciali (come
EXW, CIP, ecc.) è da intendersi come richiamo agli
Incoterms della Camera di Commercio Internazionale, nel
testo in vigore alla data di stipulazione del contratto.
1.3 Any reference made to trade terms (such as EXW, CIP,
etc.) is deemed to be made to Incoterms published by the
International Chamber of Commerce current at the date of
conclusion of the contract.
2. Prezzi
2. Prices
2.1 Il prezzo dei prodotti è quello indicato nei listini del
VENDITORE; il VENDITORE si riserva il diritto di
aumentare i prezzi previo preavviso.
Per i paesi compresi nell’Unione Europea, il prezzo di
listino include il costo della consegna al rivenditore, salvo
diverso accordo scritto.
Per ogni paese verrà stabilito un importo minimo dell’ordine
al di sotto del quale verrà applicato un contributo per spese
di trasporto.
2.1 The price of goods will be as stated in the SELLER’s
price list, but the SELLER reserves the right to increase
prices with a notice period.
For the countries included in the European Union, prices
mentioned in the price list include delivery to the retailer,
except otherwise agreed in writing.
For each country a minimum order amount shall be
determined for free delivery; above such amount a delivery
charge will be applied.
2.2 Salvo patto contrario, i prezzi si intendono per Prodotti
imballati secondo gli usi del settore in relazione al mezzo di
trasporto pattuito, essendo inteso che qualsiasi altra spesa o
onere sarà a carico del COMPRATORE.
2.2 Unless otherwise agreed, prices are to be considered for
Products packed according to the usages of the trade with
respect to the agreed transport means. It is agreed that any
other cost or charge shall be for the account of the BUYER.
3. Conferma d’Ordine
3. Order Confirmation
In seguito all’ordine del cliente, il VENDITORE emette ed
invia una conferma d’ordine che si intende tacitamente
accettata dal COMPRATORE se non contestata entro 24
ore.
Following customer’s order, the SELLER issues and sends
an order confirmation which is considered as tacitly
accepted by the BUYER if not contested within 24 hours.
4. Cancellazione dell’ordine
4. Order cancellation
Il VENDITORE si riserva il diritto di rifiutare la
cancellazione di un ordine quando la merce è pronta per la
spedizione o è in produzione.
In alcune circostanze, il VENDITORE può accettare
modifiche o cancellazioni di un ordine laddove il
COMPRATORE accetti di sostenerne i relativi costi.
The SELLER reserves the right to refuse cancellation of an
order where the goods are ready for dispatch or in the
process of manufacture.
In certain circumstances the SELLER may accept alterations
to or cancellation of an order where the BUYER agrees to
bear any cost incurred.
1 5. Caratteristiche dei prodotti - Modifiche
5. Characteristics of the Products - Modifications
5.1 Eventuali informazioni o dati sulle caratteristiche e/o
specifiche dei Prodotti contenute in opuscoli, brochures,
listini prezzi, cataloghi, Conferme d’Ordine o documenti
similari, non sono vincolanti.
5.1 Any information or data relating to features and/or
specifications of the Products contained in brochures, price
lists, catalogues, Conferme d’Ordine and similar documents
are not binding.
5.2 Il VENDITORE si riserva di apportare ai Prodotti le
modifiche che, senza alterare le caratteristiche essenziali dei
Prodotti, dovessero risultare necessarie o opportune.
5.2 The SELLER may make any change to the Products
which, without altering their essential features, appear to be
necessary or suitable.
6. Termini di consegna
6. Time of delivery
6.1 Salvo diverso accordo scritto, i termini di consegna
indicati dal VENDITORE nella conferma d’ordine inviata al
COMPRATORE si riferiscono alla data indicativa, non
vincolante in cui si prevede che la merce sia consegnata.
6.1 Unless otherwise agreed in writing, the delivery terms
mentioned in the order confirmation issued by the SELLER
refers to an approximate, non binding date when the goods
are expected to be delivered.
6.2 Il VENDITORE non accetta alcuna responsabilità per
danni in qualsiasi modo derivanti dal ritardo nella consegna.
6.2 Non responsibility is accepted by the SELLER for any
damage arising from delay in delivery.
7. Resa e spedizione
7. Delivery and shipment
7.1 In ogni modo, quali che siano i termini di resa pattuiti
dalle parti, i rischi passano al COMPRATORE al più tardi
con la consegna al primo trasportatore.
7.1 In any case, whatever is the delivery term agreed
between the parties, the risks will pass to the BUYER, at the
latest, on delivery of the goods to the first carrier.
Ove la merce o il relativo imballaggio risultino danneggiati
o in presenza di merce mancante, il COMPRATORE è
tenuto a formulare le riserve del caso nei confronti del
trasportatore, secondo le forme previste per la modalità di
trasporto utilizzata.
Furthermore, if the goods or respective packing are damaged
or if some goods are lacking, the BUYER must make the
necessary reservations towards the carrier, in conformity
with the formalities required for the respective mode of
transportation.
Il VENDITORE non è responsabile per merce danneggiata o
perduta durante il trasporto.
The SELLER is not responsible for damaged or lost goods
in transit.
8. Reclami
8. Complaints
8.1 Eventuali reclami relativi allo stato dell'imballo,
quantità, numero o caratteristiche dei Prodotti, dovranno
essere notificati al VENDITORE in forma scritta
(possibilmente con fotografie), a pena di decadenza, entro 5
giorni lavorativi dalla data di ricevimento dei Prodotti.
La merce dovrà essere conservata dal COMPRATORE ma
non potrà essere restituita al VENDITORE senza lo
specifico consenso del VENDITORE stesso.
8.1 Any complaints relating to packing, quantity, number or
features of the Products, must be notified to the SELLER, in
writing, within 5 working days from receipt of the Products;
failing such notification the BUYER's right to claim the
above defects will be forfeited.
The goods must be retained by the BUYER but must not be
returned to the SELLER without the specific agreement of
the SELLER.
8.2 Il VENDITORE potrà chiedere, a sua scelta, che i
prodotti difettosi siano conservati per future ispezioni o
siano restituiti.
Se un reclamo è accettato, il VENDITORE potrà procedere,
a sua discrezione, alla sostituzione dei Prodotti risultati
difettosi o alla emissione di una nota di credito per un
importo concordato.
8.2 The SELLER may, at its discretion, request that the
goods be retained for inspection or be returned.
If a claim is accepted, the SELLER, at its sole discretion,
will replace the goods or issue a credit note for an agreed
value.
8.3 Si conviene che è espressamente esclusa ogni altra
responsabilità del VENDITORE (sia contrattuale che

Any claim for defective goods within a delivery shall not
entitle the customer to refuse delivery for the reminder of
the goods or to withhold payment for goods not claimed to
be defective.
9. Condizioni di pagamento
9. Payment conditions
9.1 Salvo diverso accordo scritto, i pagamenti di tutti gli
ordini iniziali di nuovi clienti saranno anticipati sulla base di
fattura proforma.
In ogni caso, indipendentemente dai termini di pagamento,
le fatture devono essere pagate per l’intero importo, senza
alcuna deduzione o compensazione, salvo diverso accordo
scritto.
9.1 Except otherwise agreed in writing, all initial orders for
new account customers will be in advance on a proforma
basis.
However, whatever is the payment terms, invoices shall be
payed in full, without deduction or set off, unless otherwise
agreed in writing.
9.2 Salvo diverso accordo, eventuali spese o commissioni
bancarie dovute in relazione al pagamento saranno a carico
del COMPRATORE.
9.2 Unless otherwise agreed, any expenses or bank
commissions due with respect to the payment shall be for
the BUYER's account.
9.3 In caso di ritardo di pagamento rispetto alla data pattuita,
il COMPRATORE sarà tenuto a corrispondere al
VENDITORE un interesse di mora pari al 3%.
L'eventuale ritardo di pagamento superiore a 30 gg. dalla
data indicata in fattura darà al VENDITORE il diritto di
risolvere il contratto, con facoltà di trattenere la parte di
prezzo pagata e di pretendere la restituzione dei prodotti
forniti, a cura e spese del COMPRATORE, oltre il
risarcimento dell'eventuale danno.
9.3 Should payment be delayed with respect to the agreed
date, the BUYER shall pay to the SELLER interest for late
payment at a rate corresponding to the interest rate of 3%.
Should the delay exceed 30 days from the date indicated in
the invoice, the SELLER will be entitled to terminate the
contract, to retain the part of the price already paid and to
claim the return, at the BUYER's expense, of the products
delivered, plus possible damages.
9.4 Il COMPRATORE non è autorizzato ad effettuare
alcuna deduzione dal prezzo pattuito (ad es. in caso di
pretesi difetti dei Prodotti), se non previo accordo scritto con
il VENDITORE.
9.4 The BUYER is not authorized to make any deduction
from the agreed price (e.g. if he pretends that the goods are
defective), unless agreed in writing with the SELLER.
9.5 E' inteso che eventuali reclami o contestazioni non
danno diritto al COMPRATORE di sospendere o comunque
ritardare i pagamenti dei Prodotti oggetto di contestazione,
né, tanto meno, di altre forniture.
9.5 It is agreed that possible complaints or objections do not
entitle the BUYER to suspend or to delay payment of the
Products as well as payment of any other supplies.
10. Riserva di proprietà
10. Retention of title
Il VENDITORE mantiene il diritto di proprietà sui
PRODOTTI da lui consegnati al COMPRATORE sino al
momento del ricevimento dell’integrale pagamento del
prezzo dei PRODOTTI stessi da parte del COMPRATORE.
The SELLER reserves title to the PRODUCTS delivered to
the BUYER until full payment of the price of the
PRODUCTS is received by the SELLER.
11. Risoluzione contrattuale
11. Early termination
11.1 Ciascuna parte avrà il diritto di recedere con effetti
immediati dalle presenti condizioni generali di vendita,
come pure da ogni singolo contratto di fornitura dei
PRODOTTI non ancora eseguito, qualora l’altra parte si
renda responsabile di un grave inadempimento contrattuale.
11.1 Either party shall be entitled to immediately terminate
these general conditions of sale, as well as any contract of
sale of the PRODUCTS which has not been performed,
should the other party be in material breach hereof.
3 11.2 In particolare, il VENDITORE potrà risolvere il
contratto con effetti immediati nei seguenti casi:
-qualora il COMPRATORE non adempia agli obblighi di
cui agli artt. 6 (Condizioni di pagamento) e 8 (Riserva di
proprietà);
-qualora il COMPRATORE venga assoggettato a procedure
concorsuali o di liquidazione o qualora lo stato delle
condizioni economiche del COMPRATORE sia tale da far
ragionevolmente
presumere
l’insolvibilità
del
COMPRATORE;
-qualora le azioni e/o le quote rappresentative della
maggioranza o del controllo del capitale del
COMPRATORE siano direttamente o indirettamente cedute,
alienate o vincolate a garanzia.
11.2 In particular, the SELLER shall be entitled to terminate
this Agreement in the following cases:
-in the event the BUYER breaches any provision under
articles no. 6 (Payment conditions) and 8 (Retention of title)
above;
-in the event the BUYER becomes subject to insolvency or
bankruptcy proceeding or liquidation proceeding, or its
financial conditions reasonably allow the BUYER become
insolvent.
-in the event the shares representative of the majority or the
control of stock of capital of the BUYER are directly or
indirectly sold, assigned, transferred or pledged or the like.
12. Language
12. Lingua
Il testo in lingua italiana delle presenti condizioni generali di
vendita, anche se redatte in più lingue, sarà considerato
l’unico testo autentico ai fini della loro interpretazione.
The Italian text of these general conditions of sale,
regardless of any translation in any other language, shall be
the only authentic text for the purpose of the interpretation
thereof.
13. Dispute resolution
13. Soluzione delle controversie
Per tutte le controversie relative o comunque collegate al
presente contratto sarà esclusivamente competente il Foro
della sede del Venditore. Tuttavia, in deroga a quanto
stabilito sopra, il Fornitore ha comunque la facoltà di portare
la controversia davanti al giudice competente presso la sede
del Compratore.
The competent law courts of the SELLER’s seat shall have
exclusive jurisdiction in any dispute arising out of or in
connection with this contract. However, as an exception to
the principle hereabove, the SELLER is in any case entitled
to bring his action before the competent court of the place
where the BUYER has his registered office.

In conformità con quanto stabilito dagli artt. 1341 e 1342 del
codice civile italiano, il COMPRATORE dichiara di
approvare specificatamente le clausole 2, 3, 4, 5, 6, 7, 8, 10,
13 di questo contratto.

4 Pursuant to Article 1341 and 1342 of the Italian Civil Code,
BUYER hereby specifically accepts the clauses 2, 3, 4, 5, 6,
7, 8, 10, 14. of this contract.
