PRESS RELEASE
AEM Torino S.p.A., the Municipality of Turin and Finanziaria Città di Torino S.r.l., subsidiary
owned at 100% by the same Municipality of Turin, inform that the Municipality of Turin and
Finanziaria Città di Torino s.r.l. exercised the right of subscription of AEM Torino shares
incorporated in all the no. 69,873,270 “Warrants AEM 2003-2008” of their ownership
(respectively no. 46,873,270 of the Municipality of Turin and no. 23,000,000 of Finanziaria
Città di Torino s.r.l.).
As consequence of above mentioned exercise - in accordance of the Regulation of the
“Warrants AEM Torino S.p.A. 2003-2008” - which orders that the right of subscription has to
be exercised in reason of one new ordinary share (of nominal value of 1.00 Euro) every two
warrants offered to the exercise, at the price of 1.00 Euro, will be assigned in subscription to
the Municipality of Turin and to the Finanziaria Città di Torino s.r.l. respectively no.
23,436,635 and no. 11,500,000 AEM Torino shares.
AEM Torino S.p.A. also inform that for 22 March 2006 is scheduled the meeting of the Board
of Directors of AEM Torino S.p.A. to approve, inter alia, calling a shareholders’ meeting to
approve the annual report and relating issues such us the distribution of dividends. Therefore,
in accordance with the regulation governing the “Warrant Azioni AEM Torino S.p.A. 20032008” securities (the “Regulation”) the exercise of options for such securities will be
suspended from the date of the meeting of the board of directors until the day after that on
which the shareholders’ meeting takes place or, if the shareholders resolve the distribution of
dividends, until the detachment date. Applications for subscription received before the day on
which the meeting of the board of directors is held will take effect by the day preceding the
detachment date.
