MEMORANDUM OF UNDERSTANDING
BETWEEN
THE STATE SECRETARIAT FOR EDUCATION, RESEARCH AND
INNOVATION OF THE FEDERAL DEPARTMENT OF ECONOMIC
AFFAIRS, EDUCATION AND RESEARCH OF THE SWISS
CONFEDERATION
AND
THE DEPARTMENT OF INDUSTRY OF AUSTRALIA
ON COOPERATION IN THE FIELDS OF
SCIENCE, RESEARCH AND INNOVATION
The State Secretariat for Education, Research and Innovation of the Swiss
Confederation
and
the Department of Industry of Australia
(hereinafter referred to as "the Participants"),
DESIRING to further promote the close and friendly relations existing between
their two countries,
RECOGNIZING
the benefit
to
be
derived
by both countries from the
development of scientific, research and innovation relations, and
WISHING to broaden the scope of science, research and innovation cooperation
through the creation of a productive partnership,
AFFIRMING their commitment to further strengthen cooperation in science,
research and innovation,
HAVE REACHED THE FOLLOWING UNDERSTANDINGS:

PARAGRAPH I
The Participants will endeavour to promote the development of cooperation in
the fields of science, research and innovation, directed entirely for civil and
peaceful purposes, between the two countries on the basis of equality and
mutual benefit.
PARAGRAPH2
1. Nothing in this Memorandum of Understanding (hereinafter called the
"MoU") will require either Participant to modify its domestic law with respect to
matters covered by this MoU.
2. This MoU will operate without prejudice to any rights or obligations of the
Participants arising from international treaties or agreements to which they are
party.
3. Cooperative activities under this MoU may include:
( a)
meetings on various topics of interest to both countries;
(b)
exchanges of scientific, research and innovation information and
documentation;
(c)
visits and exchanges of scientists, technical personnel, government
representatives or other experts in the fields of science, research and
innovation;
(d)
facilitating the training of early career scientists and researchers by
granting fellowships on the basis of reciprocity through the existing
governmental scholarship programs; and
(e)
other forms of cooperation as may be mutually determined by the
Participants.

PARAGRAPH3
1. Pursuant to the aims of this MoU, the Participants will endeavour to
encourage and facilitate, where appropriate, the development of direct contacts
and cooperation between governmental agencies, universities, research centers,
and other institutions and firms of the two countries, as well as the conclusion of
implementing arrangements between these institutions for the implementation of
cooperative activities under this MoU.
2. Cooperative activities between the Participants in the fields of science,
research and innovation which have been commenced and not completed by the
signing of this MoU may be incorporated under this MoU as of that date.
PARAGRAPH4
With regard to the cooperative activities pursuant to this MoU, the Participants
may allow participation from both public and private sectors.
PARAGRAPHS
1. For the purpose of ensuring the effective implementation of the MoU, the
Participants will establish a Joint Committee, the functions of which will be to:
( a)
exchange information and views on scientific, research and innovation
policy issues;
(b)
review and discuss the cooperative activities and accomplishments
under this MoU; and
( c)
provide advice to the Participants with regard to the implementation of
this MoU.
2. The responsibility for implementing this MoU will rest with the Department
of Industry of Australia and with the State Secretariat for Education, Research
and Innovation of the Swiss Confederation.

PARAGRAPH6
Scientific, research and innovation results derived from cooperation under this
MoU should not be disclosed or used by the collaborating researchers for
commercial
or
industrial
purposes
without
the
specific
consent
of
their
collaborating partner(s).
PARAGRAPH7
With respect to any discovery or invention resulting from research cooperation
under this MoU, the collaborating researchers should consult and determine the
ownership of any intellectual property and of the terms for its commercial
exploitation. In their consultations, the collaborating partners should, however,
have regard to the relative contribution of each partner to the research.
PARAGRAPHS
Prior to the publication of results derived from research cooperation under this
MoU, the researcher(s) wishing to publish will obtain consent from the
collaborating partner(s).
PARAGRAPH9
This MoU will commence on the date that the last Participant signs this MoU.
PARAGRAPH 10
Any differences or disputes arising from the application or interpretation of this
MoU will be settled amicably through bilateral consultations and/or negotiations
between the Participants.
PARAGRAPH 11
1. This MoU will remain in effect for an initial period of two

period.

2. The termination of this MoU will not affect the carrying out of any project or
program undertaken under this MoU and not fully completed at the time of the
termination of this MoU.
PARAGRAPH 12
This MoU may be amended in writing by mutual consent of the Participants.
The amended MoU will come into effect in accordance with Paragraph 9.
PARAGRAPH 13
The
foregoing represents
the
understandings
reached
between
the
State
Secretariat for Education, Research and Innovation of the Swiss Confederation
and the Department of Industry of Australia and does not create legally binding
rights or obligations.
Signed in duplicate at Canberra on the 28 of October in the year 2013, in the
English and Italian languages, all texts being equally valid. In case of any
divergence of interpretation, the English text will prevail.

DELLA SCIENZA, DELLA RICERCA E DELL'INNOVAZIONE
La Segreteria di Stato per la formazione, la ncerca e 1 'innovazione della

( denominati qui di seguito «Partecipanti» ),
INTENZIONATI a promuovere ulteriormente le relazioni strette e amichevoli
che esistono tra i due Paesi,
RICONOSCENDO i benefici che.entrambi i Paesi traggono dallo sviluppo delle
relazioni nei campi della scienza, della ricerca e dell'innovazione, e
ANIMATI DAL DESIDERIO di ampliare la portata della cooperazione in tali
campi attraverso la creazione di un partenariato proficuo,
AFFERMANDO
il
loro
impegno
volto
a
rafforzare
cooperazione nei suddetti campi,
HANNO RAGGIUNTO LA SEGUENTE INTESA:

I Partecipanti si adoperano per promuovere lo sviluppo della cooperazione tra i
due Paesi nei campi della scienza, della ricerca e dell'innovazione, a scopi
puramente civili e pacifici e sulla base dei principi di uguaglianza e reciproco
vantaggio.
PARAGRAF02
1. Nulla di quanto disposto nel presente Memorandum d'intesa (denominato qui
di seguito «MoU») obbliga i Partecipanti a modificare le loro leggi nazionali in
relazione alle questioni in esso trattate.
2. Il presente MoU non incide sui diritti e gli obblighi dei Partecipanti derivanti
da trattati o accordi intemazionali di cui sono firmatari.
3. Le attivita di cooperazione ai sensi del presente MoU possono comprendere:
(a)
incontri su vari temi d'interesse reciproco per i due Paesi;
(b)
scambi di informazioni e documentazioni relative ai campi della
scienza, della ricerca e dell'innovazione;
(c)
visite
e
scambi
di
scienziati,
personale
tecnico,
rappresentanti
govemativi o altri esperti nei campi della scienza, della ricerca e
dell'innovazione;
(d)
promozione
delle
giovani
leve
scientifiche
e
della
ricerca
con
1 'assegnazione di borse di studio su base reciproca attraverso i relativi
programmi statali gia esistenti; e
(e)
altre forme di cooperazione secondo quanto stabilito di comune
accordo dai Partecipanti.
PARAGRAF03
1. Conformemente agli obiettivi del presente MoU, i. Partecipanti si adoperano
per
incoraggiare
e
agevolare,
ove
opportuno,
lo
sviluppo
di
contatti e
cooperazioni dirette tra servizi govemativi, universita, centri di ricerca e altre
istituzioni o imprese dei due Paesi, nonche la conclusione di convenzioni
attuative tra queste istituzioni per l'avvio di attivita di cooperazione ai sensi del
presente MoU.
2. Le
attivita
di
cooperazione
nei
campi
della
scienza,
della
ricerca
e
dell'innovazione che i Partecipanti hanno gia avviato rna non ancora concluso
alia data della firma del presente MoU possono essere integrate nel presente
MoU a partire da tale data.
PARAGRAF04
Per quanto riguarda le attivita di cooperazione ai sensi del presente MoU, i
Partecipanti possono acconsentire alla partecipazione di settori pubblici e
privati.
PARAGRAFOS
1. Per
garantire
1'efficace
attuazione
del
presente
MoU,
i
partecipanti
istituiscono un Comitato misto con le seguenti funzioni:
(a)
scambiare informazioni e opinioni su questioni attinenti alia politica in
materia di scienza, ricerca e innovazione;
(b)
riesaminare
e discutere le
attivita di cooperazione e
i risultati
conseguiti in virtU del presente MoU; e
(c)
fomire consulenza ai Partecipanti in merito all' attuazione del presente
MoU.
2. La responsabilita per 1'attuazione del presente MoU spetta al Dipartimento
per 1'industria dell'Australia e alia Segreteria di Stato per la formazione, la
ricerca e 1'innovazione della Confederazione Svizzera.
PARAGRAF06
I
risultati
scientifici,
della
ricerca
e
dell'innovazione
derivanti
dalla
cooperazione istituita in virtU del presente MoU non vengono divulgati o usati a
fini commerciali o industriali dai ricercatori coinvolti senza 1' esplicito consenso
del partner o dei partner con cui hanno collaborato.
PARAGRAF07
Per
quanto
riguarda
le
eventuali
scoperte
o
invenzioni
derivanti
dalla
cooperazione in materia di ricerca istituita in virtU del presente MoU, i
ricercatori coinvolti si consultano e stabiliscono ogni titolarita dei diritti di
proprieta intellettuale nonche i termini del loro sfruttamento commerciale.
Nell'ambito delle loro consultazioni tengono comunque conto dei relativi
contributi che ogni partner ha fomito a favore della ricerca.
PARAGRAF08
Prima di pubblicare i risultati derivanti dalla cooperazione in materia di ricerca
istituita in virtU del presente MoU, il ricercatore o i ricercatori che intendono
pubblicarli ottengono il consenso del partner o dei partner coinvolti.
PARAGRAF09

Il presente MoU entra in vigore alla data in cui l'ultimo Partecipante lo firma.
PARAGRAFO 10
Qualsiasi
differenza
o
controversia
in
merito
all'applicazione
o
all'interpretazione del presente MoU viene risolta in via amichevole mediante
consultazioni bilaterali e/o negoziati tra i Partecipanti.
PARAGRAFO 11
1. I1 presente MoU rimane in vigore per un periodo iniziale di due
prolunga automaticamente di altri periodi di due
(2)
(2) anni
e si
anni. Un Partecipante che
desidera denunciare il presente MoU deve darne notifica all'altro Partecipante
sei (6) mesi prima della scadenza di detto periodo.
2.
La denuncia del presente MoU non incide sullo svolgimento di qualsiasi
progetto o programma avviato in virtu dello stesso e non ancora concluso
completamente al momento della denuncia.
PARAGRAFO 12
Il presente
MoU puo essere modificato per iscritto previo consenso dei
Partecipanti.
Il MoU modificato entra in vigore conformemente a quanto
disposto nel paragrafo 9.
PARAGRAFO 13
Quanto precede costituisce l'intesa raggiunta tra la Segreteria di Stato per la
formazione, la ricerca e l'innovazione della Confederazione

testi
facenti

fede.
