VICENZA Società Cooperativa per Azioni (“BPVI”) (a Joint-stock Cooperative Bank), as Parent
Bank of the homonymous Banking Group and Farbanca S.p.A. (“Farbanca”), we would like to
communicate that Farbanca and Banca di Credito dei Farmacisti S.p.A. – B.C.F. S.p.A. (“BCF”) –
both subsidiaries of BPVI, in fulfilment of the resolutions established on 4 June 2012 by the
respective Shareholders’ Meetings, today signed the merger by incorporation of the
aforementioned BCF into Farbanca (the “Merger”).
The Merger, authorised by the Bank of Italy by means of provision dated 24 February 2012, will
take effect for legal purposes after the last of the registrations set forth in art. 2504 of the Italian
Civil Code have been completed, effective from 00.01 of 1 October 2012. In relation to the
registrations envisaged by the Italian Civil Code, these shall be confirmed through a notice
published on the websites of the companies BCF and Farbanca when they have been completed.
