Condizioni generali di vendita

1) Accettazione – Le nostre condizioni generali di fornitura e consegna, così come le
eventuali condizioni particolari, sono ritenute accettate dal Cliente, anche se difformi
dalle proprie condizioni generali o particolari di acquisto. L’esecuzione degli ordinativi
non implica l’accettazione delle condizioni generali e/o particolari di acquisto del Cliente; le condizioni del Cliente si intendono valide e vincolanti per la venditrice solo ed
esclusivamente se accettate espressamente per iscritto. Le variazioni delle condizioni
generali di vendita, le transazioni e gli abbuoni, anche se effettuati su iniziativa dei nostri agenti, sono impegnative per noi solo dopo nostra eventuale conferma scritta e comunque limitate ai contratti a cui si riferiscono.
2) Oggetto della fornitura – La fornitura comprende solamente i materiali ed i quantitativi specificati nella nostra conferma d’ordine o in altre comunicazioni scritte provenienti da noi.
Nonostante gli agenti o rappresentanti della COES S.p.A. possano fornire indicazioni
sulle caratteristiche dei prodotti, il Cliente è responsabile della scelta dei prodotti ordinati e dell’utilizzo degli stessi per le proprie necessità ed applicazioni.
Il testo della nostra conferma d’ordine prevale in ogni caso sul testo difforme dalla
eventuale offerta o dall’ordinazione. Tutti gli ordini ricevuti dal Cliente si intendono assunti a titolo di prenotazione e non impegnano la nostra Società alla consegna.
L’esecuzione parziale dell’ordine senza preventiva conferma non significa nostra approvazione per l’intero ordine, bensì approvazione parziale relativamente alla merce consegnata. In questo caso la ricezione della merce equivale ad accettazione da parte dell’acquirente della nuova proposta contrattuale.
3) Minimi d’ordine – L’importo minimo d’ordine è di Euro 250,00 netto; le aggiunte
d’ordine pervenute entro la giornata sono sommate all’ordine iniziale. Gli ordini “a programma” sono considerati secondo il valore delle singole consegne richieste.
4) Consegne – La merce, anche se venduta “franco arrivo”, o franco domicilio del compratore, viaggia a rischio e pericolo di quest’ultimo ed ogni nostra responsabilità cessa
con la consegna del vettore, nei confronti del quale il compratore, effettuate le opportune verifiche, deve inoltrare eventuali reclami. Resta quindi inteso che ogni spedizione
eseguita da COES S.p.A. avviene per incarico e conto del Cliente con facoltà di COES
S.p.A. di scegliere il vettore.
La spedizione si considera effettuata il giorno in cui la merce lascia lo stabilimento della Venditrice o un suo deposito.
La COES S.p.A., in Italia, consegna in porto franco con addebito fisso per contributo costo di trasporto di una percentuale calcolata sul valore netto dell’ordine evaso.
Per ordini inferiori a Euro 2065,00 netti è calcolato un ulteriore addebito percentuale secondo la regione di riferimento.
5) Termini di consegna – Il termine stabilito per la consegna della merce deve intendersi a favore di entrambi i contraenti. Salvo l’inserimento di particolari clausole, esso
deve di norma considerarsi puramente indicativo e non essenziale. Nessun indennizzo
è dovuto o corrisposto al cliente per eventuali danni diretti o indiretti dovuti a ritardi di
consegna o ad interruzione o a risoluzione parziale o totale della fornitura. Ogni evento
di forza maggiore sospende la decorrenza del termine per tutta la sua durata.
6) Imballo e confezioni – L’imballo è gratuito e non si accetta di ritorno. COES vende
solo per confezioni come indicate nei propri listini di vendita. Solo le campionature possono essere evase “ a sfuso”.
7) Pagamenti – I termini di pagamento specificati in fattura si intendono tassativi. Il
luogo di pagamento fissato presso la nostra Sede in Pioltello (Milano), anche nel caso
di emissione di tratte o ricevute bancarie, ovvero di rilascio di effetti cambiari. Ogni
eventuale deroga a quanto sopra è valida soltanto se da noi concessa in forma scritta.
Gli assegni rilasciati in pagamento devono sempre essere sempre intestati alla COES
S.p.A.
Il mancato pagamento alla scadenza della fattura o nota di debito, ogni richiesta di rinvio del pagamento e/o ogni altro fatto che determini l’inadempimento del Cliente, causa la decadenza dai termini accordati per il pagamento dei prodotti, anche relativi a scadenze successive e forniture diverse, rendendo l’intero credito di COES S.p.A. verso il
Cliente immediatamente esigibile. In tal caso, COES S.p.A. ha anche facoltà di annullare o sospendere la consegna dei prodotti non ancora consegnati.
Il ritardo del pagamento, anche parziale, delle fatture oltre la scadenza pattuita da luogo, senza pregiudizio di ogni altra azione, ad immediata decorrenza degli interessi di
mora, calcolati al Prime Rate ABI aumentato di tre punti, salvo il maggior danno.
La fornitura incompleta di un ordinativo non dà diritto al Cliente di rifiutare il pagamento di quanto allo stesso consegnato. Eventuali contestazioni di qualsiasi genere e natura non conferiscono al Cliente la facoltà di sospendere i pagamenti in corso e dovuti.
Possono ricevere pagamenti per conto di COES S.p.A. solo coloro che risultano muniti di
apposito ed esplicito mandato scritto della società.
In ogni caso gli assegni e gli effetti cambiari vengono da noi ricevuti “salvo buon fine”
ed il loro importo è registrato a saldo od acconto del nostro credito subordinatamente e
solo dopo l’avvenuto effettivo incasso.
8) Condizioni di pagamento – In dipendenza degli accordi commerciali intercorsi, le
modalità e/o le condizioni di pagamento sono le seguenti:
a. anticipato
b. bonifico o rimessa diretta ad un’unica scadenza
c. ricevuta bancaria (RI.BA.)
d. pagamento in contrassegno
e. lettera di credito.
9) Importo minimo di emissione della Ricevuta Bancaria – L’importo minimo di emissione per singola ricevuta è di Euro 100,00. Nel caso di fatture con più scadenze di importo unitario inferiore a tale importo minimo, si emette un’unica ricevuta alla prima
scadenza codificata in anagrafica.
10) Proprietà della merce – La COES S.p.A. si riserva la proprietà della merce ex
art.1523 Codice Civile fino al saldo del prezzo pattuito. Il pagamento effettuato con ef-
fetti cambiari non modifica la riserva di proprietà in favore del venditore, intendendosi
gli effetti cambiari dati e ricevuti “pro-solvendo” e non “pro-soluto”.
11) Reclami – Reclami relativi alla spedizione o consegna della merce ed alla sua qualità e quantità, devono essere tassativamente ed inderogabilmente effettuati entro e
non oltre otto giorni dalla data di arrivo della merce.
In caso di reclamo per ammanchi o avarie dei prodotti, gli stessi sono considerati solo
se accompagnati da copia della bolla di consegna sulla quale sono annotate in modo
chiaro le riserve fatte al trasportatore all’atto del ricevimento della spedizione.
COES S.p.A. non può essere ritenuta responsabile di eventuali ritardi, disguidi, rotture,
furti, ammanchi, manomissioni dei prodotti accaduti in corso di trasporto ed in ogni caso non può essere richiesto l’accredito di merce manomessa, danneggiata o perduta nel
corso del trasporto.
Eventuali reclami o contestazioni riguardanti una singola consegna di merce non esonerano l’acquirente dall’obbligo di ritirare la restante quantità di merce entro i limiti dell’ordinazione o dell’impegno assunto.
L’acquirente rinuncia espressamente a proporre eccezioni senza aver preventivamente
provveduto all’integrale adempimento delle proprie obbligazioni.
COES garantisce la sola integrità materiale dei prodotti al momento della consegna.
12) Resi – COES non accetta resi di materiali salvo che per non conformità tecniche accertate da un nostro tecnico incaricato della verifica o presso il nostro laboratorio. Sono
anche accettati resi di materiali non conformi all’ordine per errata spedizione o altre ragioni imputabili a disfunzioni di COES In ogni caso non si accetta la merce di ritorno senza il preventivo esplicito assenso scritto comunicato dalla Venditrice al Cliente; in tal caso le spese di spedizione sono a carico del Cliente così come i rischi del trasporto.
Non si accetta materiale senza l’imballo originale.
La causale del documento di trasporto deve essere “ reso merce “ e non “ vendita” e tale documento deve riportare tutti i riferimenti all’acquisto originario (numero e data della fattura, data di consegna e nome dello spedizioniere).
Qualsiasi reso non conforme a quanto sopra è automaticamente respinto.
Clausola arbitrale – Ad eccezione delle controversie inerenti il pagamento del prezzo ed
alle relative azioni esercitate in via monitoria e nel giudizio ordinario, che rimangono di
competenza dell’autorità giurisdizionale italiana e con devoluzione esclusiva al Foro di
Milano, qualunque altra controversia che dovesse insorgere relativamente alla conclusione e/o esecuzione e/o risoluzione e/o interpretazione dei singoli contratti ai quali le
presenti condizioni generali si applicano, sarà devoluta ad un Collegio di tre arbitri nominati uno ciascuno dalle parti e uno di comune accordo o, in caso di disaccordo, dal
Presidente della C.C.I.A.A. di Milano a richiesta della parte più diligente. La parte che intende avviare l’arbitrato deve comunicarlo all’altra parte con lettera raccomandata A/R
contenente la nomina del proprio arbitro e la sua accettazione. L’altra parte dovrà nominare il proprio arbitro nel termine di quindici giorni dalla data di ricezione della raccomandata, comunicando tale nomina e la relativa accettazione entro il termine indicato. In difetto l’altra parte potrà richiedere la nomina del secondo arbitro al Presidente
della C.C.I.A.A. di Milano. Gli arbitri decideranno secondo diritto e nel rispetto del principio del contraddittorio. Il lodo dovrà essere deliberato nel termine di 180 giorni decorrenti dalla data di accettazione dell’ultimo arbitro. La sede dell’arbitrato sarà a Milano.
Le parti dichiarano sin d’ora di attenersi al lodo arbitrale così pronunziato, dandovi esecuzione.
ASSICURAZIONE
La COES S.p.A. è assicurata con un’importante Compagnia di Assicurazioni per eventuali danni cagionati dall’impiego di materiali da noi prodotti e precisamente per:
• difetti di fabbricazione
• difetti di progettazione
• difetti dei materiali impiegati
• assenza delle caratteristiche tecniche dichiarate da COES
• deroga a norme in vigore al momento della produzione o a regole tecniche di validità generale
La garanzia è operante anche per l’assemblaggio di prodotti COES con articoli compatibili anche se di diversa provenienza, qualora si accerti che il difetto sia imputabile a
prodotti COES
Esclusione della garanzia – Sono esclusi dalla garanzia i danni derivanti da:
• modifiche o manomissioni del prodotto da parte del compratore o da terzi
• uso improprio, errato od inosservanza delle istruzioni d’uso
• difetti di manutenzione
Estensione territoriale della garanzia – La garanzia che offre la COES è valida in tutti i
paesi del mondo, esclusi U.S.A. e Canada
Durata e condizioni di garanzia – Oltre a quanto previsto nelle qui esposte condizioni
generali di vendita, vale quanto al DPR 224 del 24.5.1988
Obblighi del beneficiario della garanzia – Quanto sotto specificato costituisce vincolo
ai fini dell’accettazione della contestazione e, pertanto, le richieste inosservanti anche
di una sola delle condizioni non saranno prese in considerazione.
a) Segnalazione per iscritto direttamente a COES S.p.A. (anche anticipata a mezzo fax)
entro sette giorni lavorativi dalla rilevazione del danno.
b) Osservanza dei capitolati tecnici dei campi specifici di applicazione, delle regole
tecniche di installazione, nonché delle normative in vigore al momento della posa.
c) Prevenzione e limitazione attiva dei sinistri.
d) Obbligo di custodia per parti responsabili del sinistro ed invio delle stesse presso la
nostra sede per accertamento tecnico.
e) Esibizione della documentazione fotografica relativa al sinistro.
f ) Trasmissione dei preventivi di spesa dettagliati degli interventi di ripristino che devono essere concordati e/o autorizzati da COES

Nella segnalazione è indispensabile specificare:
g) il nominativo ed il recapito della società installatrice e il responsabile dell’esecuzione dei lavori
h) il nominativo ed il recapito del proprietario dello stabile e il luogo in cui si è verificato il danno
i) il nominativo ed il recapito della Direzione Lavori e/o la Società di progettazione
j) la descrizione del danno e dell’articolo, parte presunta responsabile.
Il beneficiario della garanzia non potrà comunque mai dedurre direttamente l’importo
delle spese sostenute dal pagamento di fatture di materiale COES, ma dovrà sempre attendere la liquidazione del sinistro dalla Compagnia di Assicurazione.
Accertamento e definizione del danno – La nostra società provvederà a fare i necessari
accertamenti preliminari dopo di che invierà la documentazione alla Compagnia di Assicurazione. La Compagnia di Assicurazione provvederà successivamente ad inviare un
perito per la constatazione del danno e la sua eventuale liquidazione.
Rimborso spese sostenute dalla COES S.p.A. – Eventuali spese da noi sostenute per effettuare accertamenti verranno addebitate al cliente, qualora si accerti che il difetto non
sia imputabile ai nostri prodotti, ma a quanto specificato nel punto “esclusione della
garanzia”.
General Terms of Sales
1) Acceptance – Our general terms of supply and delivery, as well as any possible special terms, are considered accepted by the Customer, even if they are unlike his or her
own general or special terms of purchase. Execution of orders does not imply acceptance of the Customer’s general and/or special terms of purchase; it is understood that
the Customer’s terms are valid and binding only and solely if they are expressly accepted in writing.
The changes made to the general sales terms, the transactions and the allowances are
binding for us only following our writing confirmation, if nay, and they are in any case restricted to the contracts they refer to, even if made on our agents’ initiative.
2) Object of the supply – The supply includes only the materials and quantities specified in our order confirmation and in other written communications originating from us.
Despite the fact that the agents or representatives of COES S.P.A. may furnish information about the characteristics of the products, the Customer is responsible for choosing
the products ordered and for using them for his or her own needs and applications.
In all cases the text of our order confirmation prevails over the dissimilar text appearing
on any offer or on the order.
It is understood that all orders received from the Customer are undertaken as bookings,
and do not bind our Company to delivery.
Partial execution of the order without prior confirmation does not mean we approve the
entire order, but rather partial approval relating to the delivered goods. In this case receipt of the goods is equivalent to the buyer’s acceptance of the new contractual proposal.
3) Order minimums – The minimum order amount is Euro 250.00 net; the additions of
orders arriving by the end of the day are added to the initial order. “Scheduled” orders
are considered according to the value of the single deliveries requested.
4) Deliveries – Even if sold “delivered free” or “carriage paid” to the buyer’s domicile,
the goods travel at the buyer’s risk and peril and all of our liability ceases with the carrier’s delivery. After performing the recommended inspections of the goods, the buyer
must forward his or her claims, if any, to the carrier. It is therefore understood that COES
S.P.A. makes all shipments on behalf of the Customer, with COES S.P.A. being entitled to
choose the carrier.
Shipment is considered made on the day the goods leave the Seller’s plant or one of its
warehouses.
In Italy, COES S.P.A. delivers carriage free with a fixed charge for transportation costs
sharing amounting to a percentage calculated on the net value of the dispatched order.
An additional percentage charge is calculated according to the region of reference for
orders totalling less than Euro 2,065.00 net.
5) Delivery dates – The date agreed upon for delivery of the goods must be understood as in favour of both contracting parties. As a rule, it must be regarded as purely
indicative and not essential unless special clauses are included.
No compensation is due or paid to the Customer for any direct or indirect damages owing to delays of delivery, stoppage, or partial or total cancellation of the supply.
All acts of God stop the delivery date from entering into effect for its entire duration.
6) Packing and packages – Packing is free of charge and return is not accepted. COES
sells only by packages as indicated in its sales price lists. Only the samplings can be dispatched “loose”.
7) Payments – It is understood that the terms of payment specified in the invoice are
binding. The established place of payment is our offices in Pioltello (Milan), even in the
case banker’s drafts, cash orders or bills of exchange are issued. Any possible departure
from what is set out above is valid only if we give our consent in writing. Cheques issued
for payment must always be made out to COES S.P.A.
Failure to make payment on the due date of the invoice or debit note, all requests to defer payment and/or all other events bringing about the Customer’s default in paying
causes the terms agreed to for payment of the products to be cancelled, also as regards
subsequent due dates and different supplies, making COES S.P.A.’s entire accounts receivable from the Customer immediately due. In said case, COES S.P.A. also has the
right to cancel or stop delivery of the products not yet delivered.
Delayed payment, even partial, of invoices beyond the agreed-upon due date gives
cause for the reckoning of default interest to start immediately, without prejudice of all
other actions. The default interest is calculated at the ABI (Italian Bankers’ Association)
Prime Rate increased by three points, subject to greater damage.
Incomplete supply of an order does not give the Customer the right to refuse payment
for the goods delivered. Disputes of any kind, if any, do not give the Customer the right
to stop payments in progress and due.
Only those persons who have a special and explicit written mandate of the company can
receive payments on behalf of COES S.P.A.
In all cases we receive cheques and bills of exchanges “under reserve”, and their
amount is entered in settlement of or as partial payment of our credit conditionally and
only after actual collection has taken place.
8) Terms of payment – As a result of the existing sales agreements, the methods
and/or terms of payment are the following:
a. down payment
b. bank transfer or direct remittance at only one due date
c. cash order
d. cash on delivery
e. letter of credit.
9) Minimum amount for issuing the Cash Order – The minimum amount of issue per
single cash order is Euro 100.00. In the case of invoices having more than one due date
with a unit amount less than said minimum amount, only one cash order is issued at the
first due date encoded in the master file.
10) Title of the goods – COES S.P.A. reserves title of the goods as per art. 1523 of the
Italian Civil Code until the agreed-upon price has been fully paid.
Payment made with bills of exchange does not alter the reservation of title in favour of
the seller, as the bills of exchange given and received are understood as being “with recourse” and not “without recourse”.
11) Complaints – Complaints relating to the shipment or delivery of the goods and to
their quality and quantity must strictly and without fail be made by and no later than
eight days from the date the goods arrive.
In the case of a complaint due to product shortages or damages, they are taken into
consideration only if accompanied by a copy of the delivery note on which the reservations made to the carrier at the time the shipment is received are clearly written down.
COES S.P.A. cannot be held responsible for any delays, wrong deliveries, breakage,
theft, shortages, and tampering with the products occurring during transportation and
in no case whatsoever may the crediting of goods tampered with, damaged or lost during transportation be requested.
Any claims or objections regarding a single delivery of goods do not exonerate the buyer from the obligation to collect the remaining quantity of goods within the limits of the
order or of the engagement undertaken.
The buyer expressly foregoes proposing objections without having first provided for the
complete fulfilment of his or her obligations.
COES guarantees only the material integrity of the products at the time of delivery.
12) Returns - COES does not accept returns of materials except for technical non-compliances ascertained by one of our technicians assigned to the inspection or at our
workshop. Also returns of materials that do no comply with the order owing to incorrect
shipment or other reasons attributable to COES’s failings are accepted. In no case
whatsoever are returned goods that do not have prior and explicit consent in writing
sent to the Customer by the Seller accepted. In this case, the shipment costs and transportation risks are borne by the Customer. Material is not accepted without its original
packing.
The transportation document’s reason description must be “returned goods” and not
“sale”, and said document must carry all references to the original purchase (invoice
number and date, delivery date and name of carrier).
Any return not compliant with what is stated above is automatically rejected.
Arbitration clause – Disputes concerning payment of the price and relative actions exercised by way of warning and in ordinary proceedings excepted, which remain the
competence of Italian jurisdictional authorities and with sole assignment to the Court
of Milan, all other disputes that should arise regarding the conclusion and/or execution
and/or cancellation and/or interpretation of the single contracts these general terms
apply to shall be assigned to a board of three arbiters. Each party shall name one arbiter, and one shall be mutually agreed upon or, in the event of disagreement, shall be
appointed by the President of the C.C.I.A.H. of Milan upon request of the most diligent
party. The party that intends to start arbitration must notify the other party of such with
a registered letter with advice of receipt containing the name of its arbiter and his or her
acceptance. The other party must name its arbiter within fifteen days from the date the
registered letter is received, communicating said name and relative acceptance within
the deadline indicated. Failure to do so results in the other party being able to request
the President of the C.C.I.A.H of Milan to name the second arbiter. The arbiters shall decide according to the law and in consideration of the principle of debate. The arbitration award must be deliberated within the period of 180 days starting from the date the
last arbiter is accepted. Milan shall be the place of arbitration. The parties declare from
this moment on to observe the arbitration award pronounced in this manner and to execute it.
INSURANCE
COES S.p.A. is insured with a leading insurance company against any damage caused
by the use of materials manufactured by the company, as follows:
• manufacturing faults
• design faults
• faults in the materials used
• non-correspondence to the technical specifications declared by COES
• failure to comply with the standards in force at the time of manufacture or the generally valid technical rules

This guarantee also applies to the assembly of COES products with compatible articles, even if these are not of our own manufacture, when it is proved that the fault is attributable to COES products.

Exclusion from the guarantee – The following types of damage are excluded form the
guarantee:
• modifications to or tampering with the product by the buyer or third parties
• the incorrect or erroneous use of the product or failure to follow the user instructions
• maintenance faults
Areas covered by the guarantee – The guarantee offered by COES S.p.A. is valid in every
country in the world, with the exceptions of USA and Canada.
Duration and conditions of the guarantee – Besides what foreseen in these general
terms of sale, it is valid the content of the DPR 224 dated 24 May 1988.
Obligations for the beneficiary of the guarantee – The terms below are binding with a
view to the acceptance of the claim, and consequently claims that fail to take even one
of the conditions set out will not be considered:
a) Written notice sent directly to COES S.p.A. (fax acceptable) within seven working
days of the occurrence of the damage.
b) Compliance with the technical specifications regarding the field of application, the
technical installation instructions and the legislation in force at the time of installation.
c) Active prevention and limitation of accidents.
d) The parts responsible for the incident must be kept and sent to our premises for
technical investigations.
e) Photographic evidence of the incident should be available and produced on request.
f ) The issue of a detailed estimate of the costs for the repairs, which must be agreed
and /or authorized by COES
In the notice the following data must be specified:
g) The name and address of the installing company and the person responsible for
carrying out the work must be supplied.
h) The name and address of the owner of the premises and the location where the
damage occurred must be supplied.
i) The name and address of the work management and/or the design company should
be supplied.
j) The description of the damage and the article presumed responsible must be supplied.
The beneficiary of the guarantee must never directly deduct the costs sustained from
the payment of invoices for COES materials. He must always wait the payment of the
claim by the insurance company.
Assessment and definition of the damage – COES S.p.A. will make the necessary preliminary inquiries before sending the documentation to the insurance company. The insurance company will then send out a specialist to check the damage and authorise
payment, where applicable.
Reimbursement of expenses sustained by COES S.p.A. – Any expenses sustained by our
company for the purpose of assessment will be debited to the customer if the fault cannot be attributed to our products, but to factors specified in the “Exclusion from the
Guarantee” item.
Conditions générales de vente
1) Acceptation – Nos conditions générales de fourniture et livraison, de même que les
conditions particulières éventuelles, s’entendent acceptées par le Client, même si non
conformes à ses conditions générales ou particulières d’achat. L’exécution des commandes n’implique pas l’acceptation des conditions générales et/ou particulières d’achat du Client ; les conditions du Client s’entendent valables et contraignantes envers
le vendeur uniquement et exclusivement si elles sont acceptées expressément par écrit.
Les variations des conditions générales de vente, les transactions et les remises, même
si effectuées sur l’initiative de nos agents, sont contraignantes envers nous après éventuellement notre confirmation écrite et de toute façon se limitant aux contrats auxquels
elles se rapportent.
2) Objet de la fourniture – La fourniture ne comprend que les matériels et les quantités spécifiés dans notre confirmation de commande ou dans d’autres communications
écrites de notre part.
Bien que les agents ou représentants de COES S.p.A. puissent fournir des indications
sur les caractéristiques des produits, le Client est tenu pour responsable du choix des
produits commandés et de l’utilisation de ceux-ci pour ses propres besoins et applications.
Le texte de notre confirmation de commande prévaut de toute manière sur le texte non
conforme à l’offre ou à la commande éventuelles. Toutes les commandes reçues par le
Client s’entendent passées à titre de réservation et n’engagent nullement notre Société à la livraison.
L’exécution partielle de la commande sans confirmation préalable ne signifie pas notre
approbation à l’égard de toute la commande, mais plutôt l’approbation partielle en ce
qui concerne la marchandise livrée. Dans ce cas la réception de la marchandise équivaut
à une acceptation de la part de l’acheteur de la nouvelle proposition contractuelle.
3) Minimums de commande – Le montant minimum de commande s’élève à 250,00
Euros net ; les suppléments de commande parvenus dans la journée sont ajoutés à la
commande initiale. Les commandes “ au programme ” s’entendent en fonction de la valeur de chaque livraison requise.
4) Livraisons – La marchandise, même si vendue “à l’heureuse arrivée”, ou franco à
domicile de l’acheteur, voyage aux risques et aux périls de ce dernier et et nous dégage
de toute responsabilité une fois qu’elle est livrée par le voiturier, vis-à-vis duquel l’acheteur doit présenter, une fois que les contrôles opportuns ont été effectués, les réclamations éventuelles. Il est donc bien entendu que toute expédition exécutée par COES
S.p.A. se fait par ordre et au nom du Client avec faculté de la part de COES S.p.A. de choisir le voiturier.
L’expédition s’entend effectuée le jour où la marchandise est expédiée des établissements du Vendeur ou d’un de ses dépôts. COES S.p.A., en Italie, livre port franc avec débit fixe pour contribution du coût de transport d’un pourcentage calculé sur la valeur
nette de la commande exécutée. Un débit supplémentaire est calculé quant aux commandes inférieures à 2065,00 Euros nets en pour cent suivant la région de référence.
5) Délais de livraison – Le délai fixé pour la livraison de la marchandise doit s’entendre au profit des deux contactants. Sauf l’introduction de clauses particulières, il doit par
principe s’estimer purement indicatif et non essentiel. Aucune indemnisation n’est due
ou versée au client en cas de dommages éventuellement directs ou indirects dérivant de
retards de livraison ou d’une interruption ou d’une résolution partielle ou totale de la
fourniture. Tout événement de force majeure suspend l’entrée en vigueur du délai pour
toute sa durée.
6) Emballage et conditionnements – L’emballage est gratuit et aucun retour n’est accepté. COES ne vend que les emballages résultant de ses tarifs de vente. Seuls les
échantillonnages peuvent être expédiés “en vrac”.
7) Paiements – Les délais de paiement figurant sur la facture s’entendent formels. Le
lieu de paiement est fixé auprès de notre siège de Pioltello (Milan), même dans le cas
d’émission de traites ou de reçus bancaires, c’est-à-dire de délivrance d’effets cambiaires. Toute dérogation éventuelle à ce qui est mentionné ci-dessus n’est valable que si
c’est nous qui l’avons accordée sous forme écrite. Les chèques remis en paiement doivent être toujours au nom de COES S.p.A.
Le non-paiement à l’échéance de la facture ou bordereau de débit, toute demande de
renvoi de paiement et/ou tout autre fait déterminant l’inexécution du Client, cause la
déchéance des délais accordés pour le paiement des produits, même se rapportant à
des échéances successives et à différentes fournitures, ce qui rend l’entière créance de
COES S.p.A. envers le Client immédiatement exigible. Dans ce cas, COES S.p.A. a également la faculté d’annuler ou de suspendre la livraison des produits qui n’ont pas encore été livrés.
Le retard de paiement, même partiel, des factures allant au-delà de l’échéance fixée
donne lieu, sans préjudice de toute autre action, à une entrée en vigueur immédiate des
intérêts de retard, calculés au Prime Rate ABI augmenté de trois points, sauf en cas de
dommage supérieur.
La fourniture incomplète d’une commande ne donne aucun droit au Client de refuser le
paiement de ce qui lui a été livré. Les contestations éventuelles de toute sorte et nature ne donnent absolument pas au Client la faculté de suspendre les paiements en cours
ainsi que les paiements dus. Ce ne sont que ceux qui détiennent le mandat explicitement écrit par COES qui peuvent recevoir des paiements pour le compte de cette dernière. En tout cas nous acceptons les chèques et les effets cambiaires “ sauf bonne fin ”
et leur montant est enregistré comme solde ou acompte de notre crédit en sous-ordre
et uniquement après que le recouvrement a été effectivement effectué.
8) Conditions de paiement – En fonction des accords commerciaux fixés, les modalités
et/ou les conditions de paiement sont les suivantes:
a. anticipé
b. virement ou remise directe à une seule échéance
c. récépissé sur banque (RE.BA)
d. paiement contre remboursement
e. lettre de crédit.
9) Montant minimum d’émission du Récépissé sur banque – Le montant minimum
d’émission pour chaque reçu est de 100,00 Euros. En cas de factures avec plusieurs
échéances ayant un montant unitaire inférieur à ce montant minimum, on établit un
seul reçu à la première échéance codée sur le registre.
10) Propriétés de la marchandise – COES S.p.A. se réserve la propriété de la marchandise ex art. 1523 Code Civil jusqu’au solde du prix fixé. Le paiement effectué par des effets cambiaires ne modifie pas la réserve de propriété en faveur du vendeur, étant donné que les effets cambiaires donnés et reçus s’entendent “pro-solvendo” et non pas
“pro-soluto”.
11) Réclamations – Les réclamations concernant l’expédition ou la livraison de la
marchandise ainsi que sa qualité et quantité doivent être impérativement et inéluctablement effectuées dans les huit jours au plus tard de la date d’arrivage de la marchandise.
En cas de réclamations par suite de manques ou d’altérations des produits, celles-ci ne
sont considérées que si accompagnées de l’exemplaire du bulletin de livraison sur lequel sont notées clairement les réserves faites au voiturier lors de la réception de l’expédition. COES S.p.A. ne peut pas être tenue pour responsable de retards, malentendus, ruptures, vols, manques, altérations des produits s’étant éventuellement vérifiés
au cours du transport et en tout cas aucun crédit ne peut être exigé par suite de marchandise endommagée ou perdue au cours du transport. Les réclamations ou contestations éventuellement concernant une seule livraison de marchandise n’exempte pas l’acheteur de l’obligation de retirer la quantité résiduelle de marchandise dans les limites
de la commande ou de l’engagement pris. L’acheteur renonce expressément à proposer
des exceptions sans avoir préalablement accompli se obligations d’une manière intégrale. COES garantit uniquement l’intégrité matérielle des produits lors de la livraison.
12) Retours de marchandises – COES n’accepte pas de retours de matériels sauf en cas
de non conformités techniques constatées par un de nos techniciens chargé du contrôle ou auprès de notre laboratoire. On accepte également des retours de matériels non
conformes à la commande par suite d’une expédition erronée ou d’autres raisons imputables à des défaillances de la part de COES De toute manière on n’accepte pas la
marchandise de retour sans le consentement préalable explicitement écrit, communi-

qué par le Vendeur au Client; dans ce cas les frais d’expédition sont à la charge du Client
ainsi que les risques du transport.
On n’accepte pas de matériel, si celui-ci est dépourvu de son emballage d’origine.
La cause du document de transport doit être “ retour de marchandise ” et non pas de
“ vente ” et ce document doit reporter toutes les références à l’achat d’origine (numéro
et date de la facture, date de livraison et nom du voiturier). Tout retour non conforme à
ce qui est mentionné ci-dessus est automatiquement rejeté.
Clause d’arbitrage – À l’exception des litiges concernant le paiement du prix ainsi que
les actions relatives exercées à titre monitoire et dans le jugement ordinaire, qui reviennent à la compétence de l’autorité juridictionnelle italienne et avec dévolution exclusive au Tribunal de Milan, tout autre litige devant surgir relativement à la conclusion et/ou
exécution et/ou résolution et/ou interprétation de chaque contrat auquel on applique
les présentes conditions générales, sera affecté à un Collège de trois arbitres nommés
un chacun par les parties et un d’un commun accord ou, en cas de désaccord, par le Président de la C.C.I.A.A. de Milan sur demande de la partie la plus diligente. La partie qui
entend mettre un différend en compromis, doit le communiquer à l’autre partie par lettre recommandée avec accusé de réception, mentionnant la nomination de son abrite
ainsi que son acceptation. L’autre partie devra nommer son arbitre dans les quinze
jours à partir de la date de réception de la lettre recommandée, en communicant cette
nomination ainsi que l’acceptation relative d’ici le terme indiqué. À défaut, l’autre partie pourra demander la nomination du deuxième arbitre au Président de la C.C.I.A.A de
Milan. Les arbitres décideront selon le droit et conformément au principe du contradictoire. La sentence devra être délibérée dans les 180 jours à compter de la date d’acceptation du dernier arbitre. Le siège de l’arbitrage sera à Milan. Les parties déclarent dès
à présent de se conformer à la sentence arbitrale prononcée de cette manière, en l’exécutant.
ASSURANCE
COES S.p.A. est assurée avec une importante Compagnie d’Assurances en ce qui
concerne les dommages éventuellement causés par l’emploi de matériels de notre production et notamment par suite de:
• défaut de fabrication
• défauts de conception
• défauts des matériaux employés
• absence des caractéristiques techniques déclarées par COES
• dérogation aux normes en vigueur lors de la production ou aux règles techniques
de validité générale.
La garantie est valable également en cas d’assemblage de produits COES avec des articles compatibles même si d’une provenance différente, au cas où l’on constaterait
que le défaut est imputable à des produits COES
Exclusion de la garantie – Sont exclus de la garantie les dommages dérivant de :
• modifications ou altérations du produit de la part de l’acheteur ou de tiers
• utilisation impropre, erronée ou non-respect des modes d’emploi
• défauts d’entretien
Extension territoriale de la garantie – La garantie offerte par COES est valable dans
tous les pays du monde, à l’exception des U.S.A. et du Canada.
Durée et conditions de garantie – Outre ce qui est prévu aux conditions générales de
vente exposées ci-dessus, est valable ce qui est mentionné au DPR 224 du 24.5.1988
Obligations du bénéficiaire de la garantie – Ce qui est spécifié ci-dessous représente un
lien en vue de l’acceptation de la contestation, c’est pourquoi les requêtes qui ne
respectent pas même une seule des conditions ne seront pas prises en considération.
k) Signalisation par écrit directement à COES S.p.A. (même anticipée par fax) dans les
sept jours ouvrables à partir du relevé du dommage.
l) Observation des cahiers des charges techniques des champs spécifiques d’application, des règles techniques de mise en place, ainsi que des normes en vigueur lors
de la pose.
m) Prévention et limitation active des sinistres.
n) Obligation de garde pour les pièces responsables du sinistre et envoi de ces dernières auprès de notre siège pour vérification technique.
o) Exhibition de la documentation photographique concernant le sinistre.
p) Transmission des devis de frais détaillés des interventions de restauration qui doivent être fixées et/ou autorisées par COES
Dans la signalisation il est indispensable de spécifier :
q) le nom et l’adresse de la société appareilleuse et du responsable de l’exécution des
travaux
r) le nom et l’adresse du propriétaire de l’immeuble et le lieu où s’est vérifié le dommage
s) le nom et l’adresse de la Direction des Travaux et/ou de la Société de conception
t) la description du dommage et de l’article, de la partie présumée responsable.
De toute façon le bénéficiaire de la garantie ne pourra jamais déduire directement la valeur des frais soutenus du paiement de factures de matériel COES, mais il devra toujours
attendre la liquidation du sinistre de la part de la Compagnie d’Assurance.
Vérification et définition du dommage – Notre société veillera à effectuer les vérifications nécessaires préliminaires après quoi, elle prendra soin d’envoyer la documentation à la Compagnie d’Assurance. La Compagnie d’Assurance enverra successivement
un expert pour la constatation du dommage et sa liquidation éventuelle.
Remboursement des frais soutenus par COES S.p.A. – Le Client sera débité des frais que
nous avons éventuellement soutenus pour effectuer des vérifications, au cas où l’on vérifierait que le défaut n’est pas imputable à nos produits, mais à ce qui est spécifié au
point “exclusions de la garantie”.
Allgemeine Geschäftsbedingungen
1) Annahme – Unsere Allgemeinen Geschäfts- und Lieferbedingungen, ebenso wie
eventuelle besondere Bedingungen werden vom Kunden anerkannt, auch wenn diese
von den seinen Allgemeinen oder Besonderen Geschäftsbedingungen abweichen. Die
Ausführung der Aufträge impliziert keinesfalls die Annahme der Allgemeinen und/oder
der Besonderen Geschäftsbedingungen des Kunden. Die Bedingungen des Kunden
sind lediglich dann gültig und bindend für den Verkäufer, wenn diese ausdrücklich
schriftlich anerkannt wurden. Die Änderungen der Allgemeinen Geschäftsbedingungen,
die Transaktionen und die Gutschriften sind, auch wenn diese auf Initiative unserer
Agenten durchgeführt werden, für uns ausschließlich nach unserer eventuellen schriftlichen Bestätigung bindend und in jedem Falle auf die Verträge, auf die sie sich beziehen, beschränkt.
2) Gegenstand der Lieferung – Die Lieferung umfasst lediglich die Materialien und die
Mengen, die in unserer Auftragsbestätigung oder in anderen schriftlichen, von uns
stammenden Mitteilungen angegeben sind. Auch wenn die Agenten oder Vertreter des
Unternehmens COES S.p.A. Hinweise zu den Eigenschaften der Produkte liefern, so ist
letztlich der Kunde für die Auswahl der bestellten Produkte und den Einsatz derselben
für den eigenen Bedarf und die eigenen Anwendungen verantwortlich.
Die Angaben unserer Auftragsbestätigung haben in jedem Falle Vorrang vor eventuell
davon abweichenden Angaben des Angebots oder der Bestellung. Alle vom Kunden
eingegangenen Aufträge verstehen sich als zur Vorbestellung angenommen und verpflichten unsere Gesellschaft nicht zur Lieferung.
Die teilweise Ausführung des Auftrags ohne vorherige Bestätigung stellt keine Genehmigung unsererseits für den gesamten Auftrag dar, sondern lediglich eine teilweise Genehmigung hinsichtlich der gelieferten Waren. In diesem Falle entspricht die Annahme
der Ware der Genehmigung von Seiten des Käufers des neuen vertraglichen Vorschlags.
3) Mindestauftragswert – Der Mindestauftragswert liegt bei Euro 250,00 Netto; Zusätzliche Aufträge, die innerhalb des gleichen Tages eingehen, werden mit dem Eingangsauftrag bearbeitet. Programmierte Lieferungen werden nach dem Wert der einzelnen, angeforderten Lieferungen bewertet.
4) Lieferungen – Die Ware wird, auch wenn sie “frei Ankunft” oder frei Haus des Käufers verkauft wurde, auf Risiko und Gefahr des Käufers versandt. Unser Haftungsbereich
endet mit der Übergabe an das Speditionsunternehmen. Eventuelle Beanstandungen
hat der Käufer daher nach Ausführung der entsprechenden Überprüfungen an das Speditionsunternehmen zu richten. Es gilt daher als vereinbart, dass jeder von COES S.p.A.
ausgeführte Versand im Auftrag und auf Rechnung des Kunden mit der Möglichkeit der
Auswahl des Speditionsunternehmens durch das Unternehmen COES S.p.A. erfolgt.
Der Versand gilt als an dem Tag ausgeführt, an dem die Ware das Werk des Verkäufers
oder eines seiner Lager verlässt.
Das Unternehmen COES S.p.A. liefert in Italien frei Haus mit einem festgelegten Betrag
als Beitrag zu den Transportkosten, der prozentual auf den Nettowert des ausgeführten
Auftrages berechnet wird.
Für Aufträge, die einen Wert von Euro 2065,00 Netto nicht übersteigen, wird ein weiterer Betrag je nach Versandziel prozentual berechnet.
5) Lieferfristen – Die für die Lieferung der Ware vereinbarte Frist ist zu Gunsten beider
Parteien auszulegen. Mit Ausnahme der Einführung besonderer Klauseln ist die Lieferfrist rein richtungsweisender Natur und kein wesentlicher Bestandteil.
Für eventuelle Schäden, die dem Kunden direkt oder indirekt durch Lieferungsverspätungen oder der Unterbrechung oder der vollständigen oder teilweisen Auflösung der
Lieferung entstehen, wird dem Kunden keinerlei Entschädigung zuerkannt.
Jedes Ereignis höherer Gewalt setzt die Laufzeit der Frist für die Gesamtheit seiner Dauer außer Kraft.
6) Transportverpackung und Verpackungen – Die Transportverpackung ist kostenlos
und kann nicht zurückgesandt werden.
COES verkauft ausschließlich die in den eigenen Verkaufslisten angegebenen Verpakkungsgrößen. Lediglich Muster können einzeln versandt werden.
7) Bezahlung – Die auf der Rechnung angegebenen Zahlungsziele sind verbindlich.
Der festgelegte Ort der Zahlung ist unser Firmensitz in Pioltello (Mailand). Dies gilt auch
im Falle der Ausstellung von Tratten oder Bankquittungen, oder der Ausstellung von
Wechseln. Jede Abweichung von den oben genannten Vorgaben ist nur dann gültig,
wenn sie von uns in schriftlicher Form genehmigt wurde. Werden Schecks zur Bezahlung
verwendet, so müssen diese stets auf die COES S.p.A. ausgestellt werden.
Die ausbleibende Zahlung bei Fälligkeit der Rechnung oder der Lastschrift, jede Anfrage zum Aufschub der Bezahlung und/oder jede andere Tatsache, die eine Nichterfüllung
von Seiten des Kunden darstellt, führt zur Verwirkung der für die Bezahlung der Produkte vereinbarten Fristen und zur sofortigen Fälligkeit der gesamten, der COES gegenüber dem Kunden zustehenden Außenstände. Dies gilt auch für nachfolgende Zahlungsziele und andere Lieferungen. In diesem Falle hat das Unternehmen COES S.p.A.
auch die Möglichkeit zur Annullierung oder zur Aussetzung der Lieferung der noch nicht
gelieferten Produkte.
Vollständige oder teilweise Zahlungsrückstände bei den Rechnungen, die über die vereinbarte Fälligkeit hinausgehen, führen unbeschadet aller anderen Handlungen, zum
sofortigen Beginn der Laufzeit der Verzugszinsen, berechnet auf die Anzahlungsrate der
Italienischen Bankvereinigung + drei Punkte, und unbeschadet höherer Schäden.
Die unvollständige Lieferung einer Bestellung gibt dem Kunden nicht das Recht, die Bezahlung der bereits gelieferten Artikel zu verweigern. Eventuelle Beanstandungen jeder Art und Natur geben dem Kunden nicht das Recht zur Aussetzung der laufenden und
fälligen Zahlungen. Zur Annahme von Zahlungen auf Rechnung des Unternehmens
COES S.p.A. sind nur diejenigen Personen berechtigt, die über eine entsprechende ausdrückliche Befugnis der Gesellschaft in schriftlicher Form verfügen.
In jedem Falle werden die Schecks und die Wechsel unter üblichem Vorbehalt bei Gutschrift angenommen und deren Betrag wird als Saldo oder Anzahlung für unseren Kredit erst dann gebucht, wenn der Inkasso tatsächlich erfolgt ist.

8) Zahlungsbedingungen – Abhängig von den getroffenen kommerziellen Vereinbarungen, gestalten sich die Modalitäten und/oder die Zahlungsbedingungen folgendermaßen:
a. Vorauszahlung
b. Überweisung oder Barzahlung in einmaligem Betrag
c. Bankquittung
d. Bezahlung per Nachnahme
e. Kreditbrief.
9) Mindestausstellungsbetrag der Bankquittung – Der Mindestausstellungsbetrag
der einzelnen Bankquittung liegt bei Euro 100,00. Bei Rechnungen mit mehreren Fälligkeitsdaten mit einem jeweiligen Einheitsbetrag, der unter diesem Mindestbetrag liegt,
wird eine einzige Quittung zur ersten codierten Fälligkeit ausgestellt.
10) Eigentum der Ware – Das Unternehmen COES S.p.A. behält sich das Eigentum an
der Ware gemäß Art.1523 Codice Civile (Italienisches Bürgerliches Gesetzbuch) bis zur
Bezahlung des vereinbarten Preises vor. Die mit Wechseln ausgeführte Bezahlung ändern nicht den Eigentumsvorbehalt zu Gunsten der Verkäufers, da die Wechsel als zahlungshalber ausgegeben und empfangen und nicht als Zahlung an Erfüllungs Statt verstanden werden.
11) Beanstandungen – Beanstandungen bezüglich des Versands oder der Lieferung der
Ware und deren Qualität und Menge sind verbindlich und unaufschiebbar innerhalb von
acht Tagen ab dem Eingangsdatum der Ware geltend zu machen.
Im Falle von Beanstandungen hinsichtlich des Fehlens oder der Havarie der Produkte
werden diese nur dann berücksichtigt, wenn die Kopie des Lieferscheins beiliegt, auf
dem klar und deutlich die Vorbehalte, die gegenüber dem Speditionsunternehmen
beim Eingang der Ware geltend gemacht wurden, angemerkt sind.
Das Unternehmen COES S.p.A. kann nicht für eventuelle Verspätungen, falsche Beförderungen, Brüche, Diebstähle, Fehlmengen oder ein Aufbrechen der Produkte, die während oder durch den Transport entstanden sind, haftbar gemacht werden, und keinesfalls kann eine Gutschrift für die während des Transports aufgebrochenen, beschädigten oder verlorenen Produkte verlangt werden. Eventuelle Reklamationen oder Beanstandungen hinsichtlich einer einzelnen Warenlieferung befreien den Käufer nicht von
der Verpflichtung zur Abnahme der verbliebenen Warenmenge innerhalb den Grenzen
der Bestellung oder der übernommenen Verpflichtung.
Der Käufer verzichtet ausdrücklich darauf, Einwände zu erheben, ohne vorher die volle
Ausführung der eigenen Verpflichtungen sichergestellt zu haben.
COES garantiert lediglich die materielle Unversehrtheit der Produkte zum Zeitpunkt der
Lieferung.
12) Rückgabe – COES akzeptiert keine Rückgabe von Materialien mit Ausnahme von
Rückgaben aufgrund technischer Nichtübereinstimmung, die von unserem Techniker
für die Überprüfung oder in unserem Labor festgestellt wird. Auch Rückgaben von Material, das aufgrund eines falschen Versands oder anderen Gründen, die auf Fehler von
COES zurückzuführen sind, nicht dem Auftrag entspricht, werden akzeptiert.
In jedem Falle wird keine Rückgabeware ohne die vorherige ausdrückliche und schriftlich abgefasste Einwilligung, die der Verkäufer dem Kunden mitteilt, angenommen. In
diesem Falle gehen die Versandkosten ebenso wie die Transportrisiken zu Lasten des
Kunden. Das Material wird ausschließlich in der Original-Transportverpackung angenommen. Als Verwendungszweck muss auf dem Transportschein “ Warenrückgabe “
und nicht “Verkauf ” vermerkt sein, und dieses Dokument muss alle Bezugsdaten hinsichtlich des ursprünglichen Verkaufs aufführen (Nummer und Datum der Rechnung,
Lieferdatum und Name des Transportunternehmens). Rückgaben, die nicht den oben
beschriebenen Anforderungen entsprechen, werden automatisch zurückgewiesen.
Schiedsgerichtsklausel – Mit Ausnahme der Streitsachen hinsichtlich der Bezahlung des
Preises und eventueller Handlungen im Mahnverfahren und im ordentlichen Verfahren,
die der Zuständigkeit der italienischen Gerichte unterliegen und für die ausschließlich
der Gerichtsstand Mailand zuständig ist, wird jede andere Streitsache, die aus dem Abschluss und/oder der Ausführung und/oder der Auflösung und/oder der Auslegung der
einzelnen Verträge, auf die die vorliegenden Allgemeinen Bedingungen angewandt werden, an ein Kollegium, bestehend aus drei Schiedsrichtern verwiesen. Von diesen drei
Schiedsrichtern ernennt jede Partei jeweils einen, der dritte wird in beiderseitigem Einvernehmen bestellt. Sollte kein beiderseitiges Einvernehmen hinsichtlich des dritten
Schiedsrichters erzielt werden, so wird dieser vom Vorsitzenden der Industrie- und Handelskammer von Mailand auf Aufforderung der sorgfältigeren Partei bestellt. Die Partei,
die ein Schiedsgerichtsverfahren einleiten möchte, muss dies der jeweils anderen Partei
mit eingeschriebenem Brief mit Rückantwortkarte mitteilen. Im Schreiben müssen der
Name des eigenen Schiedsrichters und dessen Annahme des Auftrags enthalten sein.
Die gegnerische Partei muss den eigenen Schiedsrichter innerhalb eines Zeitraums von
fünfzehn Tagen ab Eingangsdatum des Einschreibens benennen, und diese Bennennung
und die entsprechende Annahme des Auftrags innerhalb der angegebenen Frist mitteilen. Kommt sie dieser Pflicht nicht nach, kann die gegnerische Partei die Ernennung des
zweiten Schiedsrichters durch den Vorsitzenden der Industrie- und Handelskammer Mailand verlangen. Die Schiedsrichter werden gemäß Gesetz und unter Beachtung des Prinzips des streitigen Verfahrens entscheiden. Der Schiedsspruch muss innerhalb von 180
Tagen ab dem Datum der Annahme des letzten Schiedsrichters gefasst werden. Der Sitz
des Schiedsgerichts ist Mailand. Die Parteien erklären bereits jetzt, dass sie den so ausgesprochenen Schiedsspruch anerkennen und diesen ausführen werden.
VERSICHERUNG
Das Unternehmen COES S.p.A. ist bei einem großen Versicherungsunternehmen gegen
eventuelle Schäden, die durch den Einsatz der von uns hergestellten Produkte verursacht werden, versichert. Dies gilt im Einzelnen für:
• Fertigungsfehler
• Konstruktionsfehler
• Fehler der verwendeten Materialien
• Fehlen der von COES angegebenen technischen Eigenschaften
•
Abweichung von den zum Zeitpunkt der Herstellung geltenden Normen oder den
technischen Vorschriften allgemeiner Geltung.
Die Rechtgültigkeit der Garantie erstreckt sich auch auf den Zusammenbau von Produkten aus dem Hause COES mit kompatiblen Produkten anderer Herkunft, soweit
feststellbar ist, dass der Defekt auf die Produkte COES zurückzuführen ist.
Ausschluss aus der Garantieleistung – Die Schäden, die auf folgende Ursachen zurükkzuführen sind, sind von der Garantie ausgenommen:
• Änderungen oder Veränderungen am Produkt von Seiten des Käufers oder Dritten
• Unsachgemäßer oder falscher Gebrauch oder Nichtbeachtung der Gebrauchsanweisungen
• Wartungsfehler
Territoriale Gültigkeit der Garantie – Die vom Unternehmen COES gewährte Garantie ist
in allen Ländern der Welt mit Ausnahme der USA und Kanadas gültig.
Garantiezeitraum und Garantiebedingungen – Neben den Vorgaben in den vorliegenden Allgemeinen Geschäftsbedingungen gilt die Verordnung 224 vom 24.5.1998.
Verpflichtungen des Garantienehmers – Die nachfolgenden Ausführungen sind verbindlich für die Annahme der Beanstandung und aus diesem Grunde werden die Anfragen, die mindestens eine dieser Bedingungen nicht erfüllen, nicht berücksichtigt.
u) Schriftliche Mitteilung direkt an das Unternehmen COES S.p.A. (auch im Voraus per
Fax) innerhalb von sieben Werktagen ab der Feststellung des Schadens.
v) Beachtung der technischen Liefervorschriften der spezifischen Anwendungsbereiche, der technischen Installationsvorschriften sowie der im Moment der Verlegung
geltenden gesetzlichen Vorschriften.
w) Aktive Vorbeugung und Begrenzung der Schäden.
x) Verpflichtung der Aufbewahrung der am Schaden verantwortlich beteiligten Teile
und Versand derselben an unseren Firmensitz zur technischen Überprüfung.
y) Vorlage der photographischen Dokumentation des Schadens.
z) Übermittlung der ausführlichen Kostenvoranschläge für die Wiederherstellung, die
mit COES vereinbart und/oder von dieser genehmigt werden müssen.
Die Mitteilung muss verbindlich folgende Angaben aufweisen:
aa) Der Name und die Anschrift des Installationsunternehmens und des verantwortlichen Leiters der Arbeiten
bb) Der Name und die Anschrift des Eigentümers des Werks und der Ort, an dem der
Schaden aufgetreten ist
cc) Der Name und die Anschrift der Bauleitung und/oder der Entwicklungsgesellschaft
dd) Die Beschreibung des Schadens und des Artikels, der als verantwortlich angesehene wird.
Der Garantienehmer hat jedoch keinesfalls das Recht, den Betrag der entstandenen Kosten direkt von der Bezahlung der Rechnungen für das Material COES abzuziehen, sondern hat in jedem Falle die Schadensliquidierung von Seiten der Versicherungsgesellschaft abzuwarten.
Sicherstellung und Definition des Schadens – Unsere Gesellschaft wird die erforderlichen
Vorabprüfungen vornehmen und die Unterlagen nachfolgend bei der Versicherungsgesellschaft einreichen. Die Versicherungsgesellschaft schickt daraufhin einen Gutachter für
die Feststellung des Schadens und die Bewertung der eventuellen Liquidierung.
Rückerstattung der durch COES S.p.A. getragenen Kosten – Eventuelle Kosten, die uns
bei der Ausführung der Prüfungen entstehen, werden dem Kunden berechnet, sollte
sich herausstellen, dass die Mängel nicht auf unsere Produkte zurückzuführen sind,
sondern durch Aspekte verursacht wurden, die unter dem Punkt “Ausschluss aus der
Garantieleistung” aufgeführt werden.
Condiciones generales de venta
1) Aceptación – Nuestras condiciones generales de suministro y entrega, así como las
posibles condiciones especiales, se consideran aceptadas por el Cliente, aun cuando difieran de las propias condiciones generales o especiales de compra. La ejecución de los
pedidos no implica la aceptación de las condiciones generales y/o especiales de compra del Cliente; las condiciones del Cliente se consideran válidas y vinculantes para la
vendedora sólo y exclusivamente si se aceptan expresamente y por escrito.
Las variaciones de las condiciones generales de venta, las transacciones y los abonos,
aunque se efectúen por iniciativa de nuestros agentes, son vinculantes para nosotros
sólo tras nuestra confirmación por escrito y siempre estarán limitados a los contratos a
los que se refieran.
2) Objeto del suministro – El suministro comprende solamente los materiales y las
cantidades especificadas en nuestra confirmación de pedido o en otras comunicaciones
escritas enviadas por nosotros.
A pesar de que los agentes o los representantes de COES S.p.A. puedan suministrar indicaciones sobre las características de los productos, el Cliente es responsable de la
elección de los productos encargados y de la utilización de los mismos para sus propias
necesidades y aplicaciones.
En caso de disparidad respecto al texto de la oferta o del pedido prevalece siempre el
texto de nuestra confirmación de pedido. Todos los pedidos recibidos del Cliente se
consideran asumidos en concepto de reserva y no comprometen a nuestra Sociedad a
la entrega.
La ejecución parcial del pedido sin previa confirmación no significa nuestra aprobación
para todo el pedido sino la aprobación parcial referente a la mercancía entregada. En
este caso, la recepción de la mercancía equivale a la aceptación por parte del comprador de la nueva propuesta contractual.
3) Pedidos mínimos – El importe mínimo de pedido es de 250,00 euros neto; las ampliaciones de pedido recibidas en el día se sumarán al pedido inicial. Los pedidos “programados” se consideran según el valor de cada una de las entregas exigidas.

4) Entregas – La mercancía, aunque se venda “franco llegada”, o franco domicilio del
comprador, viaja por cuenta y riesgo de éste último y toda nuestra responsabilidad cesa con la entrega al transportista, al que el comprador, una vez efectuadas las comprobaciones necesarias, deberá presentar las posibles reclamaciones. Por tanto, se comprende que toda expedición efectuada por COES S.p.A. se produce por encargo y a
cuenta del Cliente con la facultad de COES S.p.A. de elegir al transportista. La expedición se considera efectuada el día en que la mercancía deja la fábrica o uno de los depósitos de la Vendedora.
COES S.p.A., en Italia, entrega franco de porte con adeudo fijo, por contribución al coste de transporte, de un porcentaje calculado sobre el valor neto del pedido expedido.
Para pedidos inferiores a 2065,00 euros netos se adeuda un porcentaje superior calculado según la región de referencia.
5) Plazos de entrega – El plazo establecido para la entrega de la mercancía debe entenderse a favor de ambos contrayentes. Salvo que se establezcan cláusulas especiales, por lo general dicho plazo debe considerarse meramente indicativo y no esencial.
No se le deberá pagar ninguna indemnización al cliente por posibles daños directos o
indirectos debidos a retrasos de entrega, a la interrupción o a la resolución parcial o total del suministro. Todo evento de fuerza mayor suspende el transcurso del plazo por toda su duración.
6) Embalaje y paquetes – El embalaje es gratuito y no se acepta de vuelta. COES vende sólo por paquetes como se indican en sus listines de venta. Sólo los muestrarios
pueden expedirse “a granel”.
7) Pagos – Los plazos de pago especificados en la factura deben considerarse taxativos. El lugar de pago establecido es en nuestra sede de Pioltello (Milán), incluso en el
caso de emisión de giros, letras de cambio o libranza de efectos. Toda posible derogación a cuanto dicho tiene validez únicamente si ha sido concedida por nosotros por escrito. Los cheques librados como pago deberán encabezarse siempre a COES S.p.A.
Si no se paga al vencimiento de la factura o de la nota de cargo, toda solicitud de aplazamiento del pago y/o cualquier otro hecho que determine el incumplimiento del Cliente, causa la caducidad de los plazos acordados para el pago de los productos, incluso
los referentes a posteriores vencimientos y otros suministros, convirtiendo en inmediatamente exigible todo el crédito de COES S.p.A. hacia el Cliente. En dicho caso, COES
S.p.A. también tiene la facultad de anular o suspender la entrega de los productos que
todavía no hubiera entregado.
El retraso del pago, incluso parcial, de las facturas más allá del vencimiento acordado,
da lugar sin que obste a que se emprenda otra posible acción, a que devengan inmediatamente los intereses de demora, calculados en base al tipo de interés preferencial
A.B.I. (Asociaciones de Bancos Italianos) aumentado de tres puntos, salvo que se haya
sufrido un daño mayor.
El suministro incompleto de un pedido no da derecho al Cliente a rechazar el pago de
todo lo que le ha sido entregado. Posibles reclamaciones de cualquier tipo y naturaleza
no le confieren al Cliente la facultad de suspender los pagos debidos y en curso Pueden
recibir pagos en nombre de COES S.p.A. sólo quienes cuenten con un mandato expreso
y por escrito de la sociedad. En todo caso los cheques y las letras de cambio serán recibidos por nosotros “salvo las reservas del caso” y su importe se registra como saldo o
adelanto de nuestro crédito subordinadamente y sólo tras el cobro efectivo.
8) Condiciones de pago – Como consecuencia de los acuerdos comerciales establecidos, las modalidades y/o las condiciones de pago son las siguientes:
a. por adelantado;
b. giro o transferencia directa con un único vencimiento;
c. letra de cambio (RI.BA);
d. pago contra reembolso;
e. letra de crédito.
9) Importe mínimo de emisión de la Letra de Cambio – El importe mínimo de emisión
de cada letra es de 100,00 euros. En caso de facturas con varios vencimientos de importe unitario inferior a dicho importe mínimo, se emitirá una sola letra en el primer
vencimiento codificado en el registro del plan de pagos del cliente.
10) Propiedad de la mercancía – COES S.p.A. se reserva la propiedad de la mercancía
según el art.1523 del código civil hasta que se salde el precio acordado.
El pago efectuado con letras de cambio no modifica la reserva de propiedad a favor del
vendedor, al considerarse las letras de cambio libradas y recibidas para pagar pero no
como pago ya efectuado.
11) Reclamaciones – Reclamaciones referentes a la expedición o entrega de la mercancía y a su calidad y cantidad, deben efectuarse taxativa e ineludiblemente en el plazo máximo de ocho días a partir de la fecha de llegada de la mercancía. Las reclamación por faltas o averías de los productos sólo serán consideradas si están acompañadas de una copia del boletín de despacho y entrega en el que estén anotadas claramente las reservas
efectuadas al agente de transportes en el momento de la recepción de la expedición.
COES S.p.A. no puede considerarse responsable de posibles retrasos, extravíos, roturas, robos, faltas, manipulaciones de los productos que hubieran sucedido durante el
transporte y, en todo caso, no puede exigirse el abono de mercancía manipulada, estropeada o perdida durante el transporte.
Posibles reclamaciones o impugnaciones referentes a una única entrega de mercancía
no exoneran al comprador de la obligación de retirar el resto de la mercancía dentro de
los límites del pedido o del compromiso asumido.
El comprador renuncia expresamente a proponer excepciones sin haber cumplido antes
integralmente sus propias obligaciones. COES garantiza solamente la integridad material de los productos en el momento de la entrega.
12) Devoluciones – COES no acepta devoluciones de materiales salvo que por disconformidades técnicas verificadas por uno de sus técnicos encargado de dicha verificación o en uno de nuestros talleres. Se aceptan también devoluciones de materiales no
conformes al pedido, por expedición equivocada u otras razones imputables a disfunciones de COES
En todo caso no se acepta la mercancía de vuelta sin la previa conformidad expresa y
por escrito comunicada por la Vendedora al Cliente; en ese caso los gastos de expedi-
ción corren a cargo del Cliente así como los riesgos del transporte.
No se acepta material sin el embalaje original.
El justificante del documento de transporte debe ser “restitución mercancía” y no “venta”
y en dicho documento deben aparecer todas las referencias a la compra original (número
y fecha de la factura, fecha de entrega y nombre del agente de transportes). Cualquier devolución no conforme a lo anteriormente dicho será rechazada automáticamente.
Cláusula arbitral – Salvo las controversias inherentes al pago del precio y a las correspondientes acciones ejercitadas por vía monitoria en el juicio ordinario, que restan de
competencia de la autoridad jurisdiccional italiana y con dependencia exclusiva del Tribunal de Milán, cualquier otra controversia que surgiera referente a la conclusión y/o
ejecución y/o rescisión y/o interpretación de cada uno de los contratos a los que se refieren las presentes condiciones generales se aplican, dependerán de un Colegio de
tres árbitros nombrados uno cada una de las partes y un tercero de común acuerdo o,
en caso de desacuerdo, por el Presidente de la C.C.I.A.A. (Cámara de Comercio, Industria, Agricultura y Artesanado) de Milán bajo solicitud de la parte más diligente. La parte que desee abrir el procedimiento de arbitraje debe comunicarlo a la otra parte con
carta certificada con acuse de recibo que contenga el nombramiento del propio árbitro
y su aceptación. La otra parte deberá nombrar al propio árbitro en un plazo de quince
días a partir de la fecha de recepción de la carta certificada, comunicando dicho nombramiento y la correspondiente aceptación dentro del plazo indicado. A falta de ello la
otra parte podrá solicitar el nombramiento del segundo árbitro al Presidente de la
C.C.I.A.A de Milán. Los árbitros decidirán según derecho y de acuerdo con el principio
del juicio contradictorio. El laudo deberá fallarse en el plazo de 180 días a partir de la fecha de aceptación del último árbitro. La sede del arbitraje será en Milán. Las partes declaran desde ahora que se atendrán y ejecutarán el laudo arbitral fallado.
SEGURO
COES S.p.A. está asegurada con una importante Compañía de Seguros para posibles
daños causados por la utilización de materiales producidos por nosotros y precisamente por:
• defectos de fabricación
• defectos en el proyecto
• defectos de los materiales utilizados
• ausencia de las características técnicas declaradas por COES
• derogación de normas en vigor en el momento de la producción o a reglas técnicas
de validez general
La garantía es válida incluso en el caso de montaje de productos COES con artículos
compatibles aunque sean de proveniencia diferente, si se comprueba que el defecto es
imputable a productos COES
Exclusión de la garantía – Quedan excluidos de la garantía los daños derivados de:
• modificaciones o manipulaciones del producto por parte del comprador o por terceros;
• uso impropio, equivocado o inobservancia de las instrucciones de uso;
• defectos de mantenimiento.
Extensión territorial de la garantía – La garantía que ofrece COES es válida en todos los
países del mundo salvo en EE.UU. y Canadá.
Duración y condiciones de garantía – Además de lo previsto en las condiciones generales de venta que se exponen en el presente documento, vale lo especificado en el Decreto del Presidente de la República nº 224 del 24.05.1988
Obligaciones del beneficiario de la garantía – Lo que se especifica a continuación es
vinculante para que se acepte la contestación y, por lo tanto, las solicitudes que no respeten aun una sola de las condiciones no serán tomadas en consideración.
ee) Señalación por escrito directamente a COES S.p.A. (incluso adelantada mediante
fax) en el plazo de siete días laborales a partir de la detección del daño.
ff ) Cumplimiento de los pliegos de condiciones de los campos específicos de aplicación, de las reglas técnicas de instalación, así como de las normativas en vigor en
el momento de la colocación.
gg) Prevención y limitación activa de los siniestros.
hh) Obligación de custodiar las partes responsables del sinistro y envío de las mismas a nuestra sede para la verificación técnica.
ii)
Exhibición de la documentación fotográfica referente al siniestro.
jj)
Transmisión detallada de los presupuestos de los gastos referentes a las intervenciones de reajuste que deberán acordarse y/o estar autorizadas por COES
En la señalización es indispensable especificar:
kk) el nombre y la dirección de la sociedad instaladora y el responsable de la ejecución de los trabajos;
ll)
el nombre y la dirección del propietario del establecimiento y del lugar en que se
ha producido el daño;
mm) el nombre y la dirección de la Dirección de Trabajos y/o la Sociedad proyectista;
nn) la descripción del daño y del artículo, parte presuntamente responsable.
En cualquier caso, el beneficiario de la garantía no podrá nunca deducir directamente el
importe de los gastos sostenidos del pago de facturas de material COES, sino que deberá esperar siempre la liquidación del siniestro por la Compañía de Seguros.
Comprobación y definición del daño – Nuestra sociedad se encargará de efectuar las
verificaciones preliminares necesarias, tras lo cual enviará la documentación a la Compañía de Seguros. La Compañía de Seguros se encargará luego de enviar un perito para la constatación del daño y su posible liquidación.
Reembolso de los gastos sostenidos por COES S.p.A. – Los gastos que hubiéramos podido sostener para efectuar las verificaciones necesarias serán adeudados al cliente, si
se comprueba que el defecto no es imputable a nuestros productos sino a lo especificado en el punto “exclusión de la garantía”.
