ecc., il venditore potrà

all’uso cui il compratore
intende destinare il ns.

caso che da parte ns.
siano forniti suggerimenti o consigli circa l’installazione dello stesso.
Non vi sono garanzie che
si estendano oltre quelle
derivanti dalla descrizione dei beni così come

Per qualsiasi controversia, comunque relativa

parte del venditore come

applicazione della legge
italiana, competenza
esclusiva al Tribunale
di Reggio Emilia, il tutto,
salva la facoltà alla ditta
venditrice di adire l’autorità giudiziaria altrimenti

Prices
Prices are to be considered cash and ex

otherwise stated. Should
any raw material, labour,

to any cost increase

the purchase order and
the date of delivery, the
Seller shall reserve the
right to increase the price
accordingly. Should said
price exceed the 20%
of the previously agreed
price, the Purchaser shall
reserve the right to withdraw from the contract
by sending written notice
by registered letter within
10 days of having received the price increase
notice.
Terms of delivery
Delivery date is to be
considered purely indicative and not binding
and the extension of
said date shall not allege
to the Purchaser any
indemnity nor purchase
order cancellation with

Condition of ownership
Pursuant to Articles

Interests on arrears
Starting from the
stipulated due date of
payment the current
interests on arrears shall
become effective.
Claims and warranty
All claims shall be
communicated within 8
days from delivery of the
goods to destination.
The Purchaser claiming
within this time shall
make the claimed goods
available to the Seller for
his/her verification and
check. In the event that
damages or losses are
effective, only faulty and
damaged materials will
be replaced and in no
case shall the Seller be
chargeable with any cost
or indemnity. The refund
value shall not be more
than the worth of the
product plus shipment
charges. Acceptable
claims refer to “first
quality" products only,
expressly excluding
any claims for second,
third or stock quality
products. No claims shall
be accepted after the
products have already
been installed. Every
installation of the
material, be it total or
partial, constitutes an
unconditional acceptance of the goods as
corresponding to what
was agreed in the order
confirmation. The Seller
shall not be liable for any
destinations of use of
the product chosen by
the Purchaser, neither
in the event of Seller’s
suggestions and recommendations of installation. There is no further
warranty other than that
which is derived from the
description of the goods
as indicated in the order
confirmation, catalogues
and company’s literature.
Furthermore, no implicit
warranty is offered for
a particular use of the
product. The Purchaser
agrees that the goods
are sold as “seen
and accepted." Upon
previous acceptance,
the Seller shall only be
liable for returning of the
goods. In that case we
will take care only of the
transportation fees and
no furthermore.
Warranty invalidation
Upon receiving the
goods, the Purchaser
undertakes to carefully
check them opening the
boxes. In the event that
the Purchaser identifies
damages covered by our
warranty, he/she shall
communicate this claim
by registered letter within
8 days from receiving of
the goods. After this time
has expired, the Purchaser shall not have any
warranty rights for any
identified damage. Shall
the Purchaser exercise
his/her right to claim, he/
she shall make the whole
supply available to the
Seller shall the Purchaser
make available only part
of the supply,
the warranty shall be
invalidated.
Court – applicable law
Any dispute concerning
the supply, being that
raised by either the supplier or the buyer will be
assessed based upon
the applicable Italian law,
giving exclusive competence to rule to the
Reggio Emilia Tribunal,
except where otherwise

Livraisons

Reglements
Le lieu de règlement est
domicilié et élu exclusivement auprès de notre

lettres de change, les relatives clauses ne visent

de la part de l’acheteur,
mais ne comportent pas

premier choix, excluant
formellement tout matériel de deuxième choix
et de troisième choix

considération toute réclamation concernant du

matériel posé, même
partiellement , constitue
acceptation inconditionnelle des matériaux
comme conformes

réclamation qui ne sera

Passé ce délai l’acheteur
sera considéré déchu
des droits prévus par

L’acheteur, qui aurait

devra garder la totalité du
matériel livré à la disposition du vendeur; au cas

Tribunal competent –

In keinem Falle,
einschließlich
Materialbeanstandungen
wegen Mängeln oder
Fehlern, ist der Käufer
dazu berechtigt, die
Zahlungen bereits
gelieferter Ware
auszusetzen oder zu
verspäten, vorbehaltlich

Erstattung, infolge
Nachweis dessen was
ungeschuldet bezahlt

Reklamationen und
garantie
Es werden keine
Reklamationen
berücksichtigt, wenn
diese nicht innerhalb 8
Tagen nach Eingang der
Ware am Bestimmungsort bei uns gemeldet
werden. Hat der Käufer
fristgerecht reklamiert,
muss er die gesamte
Warenlieferung dem
Verkäufer zur Kontrolle
bereitstellen; sollten
etwaige Mängel oder
qualitative Fehler
festegestellt werden, hat
der Käufer nur Anspruch
auf Ersatz der
fehlerhaften Ware, unter
Ausschluss jeglichen
Schadensersatzanspruches. In keinem Falle
kann eine Vergütung den

übersteigen, zusätzlich

Transportspesen. Die
Garantie der Ware

auf Material 1. Wahl;
Material 2. und 3. Wahl,
bzw. Abverkaufsware
bleiben davon in jeder
Hinsicht ausgeschlossen. Jede, auch teilweise
Verarbeitung des
Materials, bewirkt eine
unbedingte Annahme
der Güter, entsprechend
der aus dem Bestellungsantrag hervorgehenden Angaben.
Die Haftung des
Verkäufers erstreckt sich
keinesfalls auf den vom
Käufer vorgesehenen
Einsatzbereich unserer
Materialien; selbst dann
nicht, wenn unsererseits
Ratschläge und
Anweisungen zur
Verlegung erteilt worden
sind. Abgesehen der
Garantie, welche aus der
Produktbeschreibung in
der Auftragsbestätigung,
aus den Katalogen oder
anderen Unterlagen
des Unternehmens
hervorgeht, kann
keinerlei weiterreichende
Produkthaftung in
Anspruch gestellt
werden. Ausserdem wird
jegliche implizite
Garantie oder Eignung
des Produkts für einen
besonderen Einsatzbereich ausgeschlossen

Garantieverfall
Bei Erhalt der Ware ist
der Käufer verpflichtet
dieselbe einer
sorgfältigen Kontrolle zu
unterziehen. Falls bei
Öffnung der Kartone,
in jeglicher Hinsicht
offensichtliche Mängel
festgestellt werden, für
welche unsere Garantie
in Anspruch genommen
werden kann, ist der
Käufer verpflichtet eine
Reklamation einzureichen, welche nur dann
gültig sein wird, wenn
diese innerhalb eines
unaufschiebbaren
Termins von acht Tagen
nach Erhalt der Ware, per
Einschreibebrief direkt
an uns adressiert wird.
Nach verstreichen dieser
Frist, hat der Käufer
jegliche Gewährleistung
verwirkt, falls ein Mangel
auch von einem
Gutachter als offenkundig betrachtet würde.
Falls die Reklamation
vom Käufer ordungsgemäss eingereicht
worden sein sollte, ist
dieser dazu verpflichtet
die gesamte Warenmenge zu unserer Verfügung
zu halten; im Falle
einer nur teilweisen
Verfügbarkeit, gilt
jeglicher Garantieanspruch als verwirkt.
Gerichtsstand –
anwendbares recht
Bei jeglicher Streitigkeit,
welche die Lieferungen
betrifft, sowohl seitens
des Käufers als auch
des Verkäufers, wird
ausschliesslich
italienisches Recht
angewendet.
Als zuständige
Gerichtsbarkeit wird
der Gerichtshof in
Reggio Emilia bestimmt.

Algemene verkoopvoorwaarden
Bestellingen
De door onze vertegenwoordigers of tussenpersonen aanvaarde
bestellingen, eventuele
wijzigingen, inningen,
onderhandelingen,
vrijstellingen, transacties,
enz. zijn pas bindend
na onze schriftelijke
bevestiging.
Prijzen
De prijzen zijn gebaseerd
op contante betaling
en levering af fabriek,
tenzij anders is overeengekomen. Indien de
grondstof-, arbeids-,
brandstof-, productieen transportkosten enz.
tussen de bestel- en
leveringsdatum een
verhoging ondergaan,
is de verkoper gerechtigd de overeengekomen
prijs te verhogen. Indien
bovengenoemde prijs
20% hoger is dan de
prijs op het moment van
de bestelling, heeft de
koper het recht om het
contract op te zeggen,
mits de koper dit aangetekend kenbaar maakt
binnen 10 dagen na
de ontvangst van
de kennisgeving van
de prijsverhoging.
Levering
Opgegeven leveringstermijnen gelden steeds
bij benadering en uitstel
van deze termijnen
geeft de koper, zonder
uitzondering, niet het
recht op schadevergoeding en dergelijke. Alleen
bij een overschrijding
van de levertijd van
meer dan 60 dagen mag
de koper middels een
aangetekend schrijven
het contract ontbinden:
elke schadevergoeding
is uitgesloten.
Verzending
Verzending geschiedt op
eigen risico van de koper
De goederen worden
in de opslagplaats als
verkocht beschouwd en
de verkoper wijst iedere
aansprakelijkheid van
de hand, ook bij levering
franco bestemming. De
koper dient de goederen
vóór de afname te controleren. Geconstateerde
gebreken of afwijkende
hoeveelheden van de
goederen dienen aan
de verantwoordelijke
persoon te worden
medegedeeld, waarvoor
de verkoper niet verantwoordelijk kan worden
gehouden.
Betaling
Plaats van betaling is uitsluitend onze vestiging.
Ook ingeval het contract
een andere plaats van
betaling aanwijst met
het trekken of uitgeven
van wissels, wijzigt dit de
plaats van betaling niet.
Deze clausules zijn er
slechts op gericht om de
betaling voor de koper
te vergemakkelijken.
Heffings- en inningskosten van effecten en
wissels zijn ten laste van
de koper BEVOEGDHEID
TOT HET TREKKEN VAN
WISSELS – Tien (10)
dagen na de vastgestelde betalingsdatum
zijn wij bevoegd zonder
voorafgaande kennisgeving een zichtwissel
ter waarde van de prijs

Eigendomsvoorbehoud
De goederen worden
met eigendomsvoorbehoud verkocht krachtens
de artikelen 1523 en volgende van het Italiaans
Burgerlijk Wetboek.
De goederen blijven
derhalve ons eigendom
tot volledige betaling
van de prijs met inbegrip
van eventue le rente en
kosten is geschied.
Vertragingsrente
Vanaf de dag dat betaling
had moeten plaatsvinden, zijn wij gerechtigd de
wettelijke handelsrente in
rekening te brengen.
Ontbindingsclausule
Indien betaling niet of
niet volledig heeft plaatsgevonden en ook ingeval
de betalingstermijn met 8
dagen wordt overschreden, is de verkoper
gerechtigd het contract
als ontbonden te beschouwen met vrijstelling
van de plicht om nog niet
uitgevoerde leveringen
uit te voeren, zo ook bij
vermoedelijke insolventie
van de kopeR

De koper mag om geen
enkele reden betaling van
het afgenomen materiaal
opschorten of uitstellen,
ook niet in verband met
beweerde ondeugdelijkheid of gebreken. Uiteraard is hij gerechtigd het
bedrag terug te vorderen
wanneer hij kan aantonen
onrechtmatig betaald te
hebben.
Klachten en garantie
Klachten dienen uiterlijk
8 dagen na levering van
de goederen direct aan
ons kenbaar gemaakt te
worden. Na deze termijn
kenbaar gemaakte
klachten worden niet in
behandeling genomen.
De koper die binnen de
termijn een klacht heeft
ingediend, dient de hele
partij goederen
beschikbaar te stellen
voor controles door de
verkope. Bij vaststelling
van gebreken en
defecten heeft de koper
het recht op vervanging
van de defecte
materialen, met uitsluiting
van elke schadevergoeding. De hoogte van de
schadeloosstelling zal
nooit meer bedragen dan
de waarde van het in
rekening gebrachte
materiaal, exclusief
de transportkosten.
De garantie van het
materiaal is beperkt tot
de eerste keus en met
uitdrukkelijke uitsluiting
van tweede of derde
keus-materiaal of
materiaal in voorraad.
Klachten betreffende
materialen die al in
gebruik zijn genomen
worden niet in
behandeling genomen.
Elke gehele of
gedeeltelijke installatie
van het materiaal
betekent de onvoorwaardelijke acceptatie van
de goederen volgens
de bepalingen in de
orderopdracht. De
verantwoordelijkheid van
de verkoper strekt zich in
geen geval uit tot het
gebruik dat de koper van
ons product wil maken,
ook niet als wij adviezen
over de installatie van het
product hebben
verstrekt. De garantie
strekt zich niet verder uit
dan de garantie die
voortkomt uit de
beschrijving van de
goederen zoals in
de orderbevestiging,
de catalogi en de
bedrijfsdocumentatie
is aangegeven. Er gelden
evenzo geen impliciete
garanties of garanties
voor de geschiktheid
van het product voor een
bepaald gebruik en de
koper neemt er kennis
van dat de goederen zijn
verkocht in de staat
waarin zij zich bevinden.
Bij retourzending van de
goederen na onze
goedkeuring nemen wij
alleen de vervoerskosten
voor onze rekening, met
uitsluiting van alle andere
kosten.
Verval van de garantie
De koper dient de
goederen bij ontvangst
zorgvuldig te controleren door de dozen te
openen en bij zichtbare
gebreken waarvoor onze
garantie geldt, dient de
koper een klacht in te
dienen die uitsluitend
geldig is als deze ons
binnen de termijn van
acht dagen na ontvangst
van het materiaal
middels een aangetekende brief bereikt.
Na het verstrijken van
bovengenoemde termijn
vervalt voor de koper
de garantie op zichtbare
gebreken. Indien de
koper terecht een klacht
heeft ingediend, dient hij
de hele partij goederen
aan ons beschikbaar
te stellen. Indien hij er
maar voor een deel over
beschikt, vervalt de
garantie.
Toepasselijk recht
en bevoegde rechter
Alle geschillen met betrekking tot de levering
zullen zowel voor de
verkoper als voor de
koper met toepassing
van het Italiaanse recht
uitsluitend worden berecht door de Rechtbank
van Reggio Emilia in
Italië, tenzij de verkoper
er de voorkeur aan geeft
zich tot een andere
rechtbank te wenden.

Precios
Los precios se entienden en efectivo y para
la entrega en establecimiento, salvo pacto

producción, transporte,
etc., el vendedor podrá
aumentar el precio
acordado. No obstante,
si dicho precio supera el
20% de lo acordado en

el comprador podrá
rescindir el contrato
notificándolo mediante
carta certificada dentro
del término perentorio
de 10 días desde la
recepción del aviso de
aumento de precio.
Entregas
Los plazos de entrega
son siempre y puramente indicativos y la
prórroga de los mismos
no puede dar derecho
al comprador a solicitar
indemnización u otro, sin
excepciones. Sólo en
caso de retraso superior
a 60 días, el comprador
podrá comunicar mediante carta certificada
su intención de rescindir
el contrato, quedando
excluida cualquier indemnización por daños
a su favor.
Envíos
El material se transporta
por cuenta y riesgo del
comprador y se entiende
vendido en el establecimiento depósito; el vendedor declina cualquier
responsabilidad incluso
si se suministra en el
lugar de destino. Será
obligación del comprador verificar el material
antes del retiro, señalando a quien corresponda
las posibles rupturas o
diferencias en el cuantitativo del material que se
pudieran identificar, y por
las que el vendedor no
responderá.
Pagos
El lugar de pago queda
fijado sólo y exclusivamente en nuestras
sedes legales. Incluso si
se prevé en el contrato
el pago en un lugar
distinto o la expedición
de libranzas o letras de
cambio, las respectivas
cláusulas se entenderán
orientadas a facilitar el
pago por el comprador
sin que impliquen el
desplazamiento del
lugar que es siempre el
de nuestras sedes. Los
gastos de timbres oficiales y cobro de efectos y
libranzas corren a cargo
del comprador.
FACULTAD DE EXPEDIR
LIBRANZAS - Transcurridos 10 días desde la
fecha fijada para el pago,
estaremos autorizados
a expedir una libranza
a la vista con gastos y
sin previo aviso para la
cobertura del pago.
Reserva de dominio
Las mercancías son vendidas con cláusula de
reserva de dominio en
virtud de los arts. 1523
y sucesivos del Código
Civil italiano. Por consi
guiente, hasta el pago
total del precio, incluidos
posibles intereses y
todos los accesorios,
las mercancías seguirán
siendo de nuestra

Intereses de mora
Desde el día fijado para
el pago, devengarán

Cláusula resolutoria

de que el comprador se
retrase 8 días en efectuar el pago en cualquier
forma prevista, el vendedor podrá considerar
el contrato resuelto
quedando exonerada la
obligación de efectuar
los suministros aún por
realizarse, al igual que
en caso de insolvencia
aunque solo aparente
del comprador.

En ningún caso, ni
siquiera de vicios pretendidos o defectos del
material, el comprador
podrá suspender o retrasar el pago del material
retirado, manteniendo
naturalmente su derecho
a reclamar siempre que
pueda demostrar haber
pagado indebidamente.
Reclamaciones y
garantía
Se considerarán solo
las reclamaciones que
nos hagan directamente
en el plazo de 8 días
desde la llegada de la
mercancía a destino. El
comprador que presente
las reclamaciones en
este plazo, tendrá que
poner a disposición del
vendedor (para cualquier
tipo de control) toda la
partida de material y,
cuando se verifiquen
vicios o defectos de
calidad, tendrá derecho
solo a la sustitución de
los materiales defectuosos, quedando excluida
cualquier indemnización
por daños a su favor.
Cada indemnización
no podrá en cualquier
caso superar el valor
del material facturado,
además de los relativos
gastos de transporte.
La garantía del material
está limitada solo al material de primera categoría y con formal exclusión
del material de segunda
o tercera categoría o de
stock. No se tomarán en
consideración las reclamaciones de material ya
colocado en obra. Cada
instalación de material,
ya sea total o parcial,
constituye la aceptación
incondicionada de los
bienes como conformes a lo indicado en la
propuesta de pedido. En
ningún caso, la responsabilidad del vendedor
se extenderá al uso que
el comprador pretenda
darle a nuestro producto,
ni tan siquiera en los
casos en los que demos
sugerencias o consejos
con respecto a la instalación del mismo. Las garantías sólo se limitarán
a lo que se derive de la
descripción de los bienes tal y como indicado
en la confirmación del
pedido, en los catálogos
y en la documentación
de la empresa. Además,
no existen garantías
implícitas o de idoneidad

En caso de restitución
de mercancía, previa

a un control preciso,

una reclamación que

formula mediante carta
certificada que nos remita directamente dentro

Transcurrido este
término, el comprador
perderá toda garantía

experto. Si el comprador
presenta correctamente
la reclamación, tendrá
que poner a nuestra
disposición la partida
entera de material y si
dispone únicamente
de una parte, perderá
cualquier garantía.
Foro competente
y aplicación de la ley
Para cualquier litigio relativo al suministro, tanto
por parte del vendedor
como del comprador, se
le atribuye en virtud de la
ley italiana la competencia exclusiva al Tribunal
de Reggio Emilia, salvo
que el vendedor designe
a otra autoridad judicial
competente.
