INCE 1997
Nel 1997 viene costituita la Attila Garden product s.a.s, per volontà di un
gruppo di imprenditori già attivo nello stampaggio materie plastiche e nel
settore distributivo macchine da giardino, con lo scopo di industrializzare un
modello di testina a quei tempi realizzato artigianalmente.
Il primo passo fu la realizzazione degli stampi della sua prima testina per
decespugliatore: “Attila”, un modello universale multifilo, assolutamente
innovativo, che univa doti di straordinaria robustezza ad una insuperata
facilità di utilizzo.
Negli anni successivi viene realizzata “Attilina” sviluppata sulla base del
precedente modello, che consente da subito alla nostra società di realizzare
volumi di vendita importanti sul mercato Italiano ed affacciarsi con successo
sul mercato europeo.
Nell’anno 2000 la svolta: la società si dota dei macchinari e delle
infrastrutture necessarie per produrre ed assemblare i componenti delle
testine per decespugliatore, inizia ad ampliare la gamma per coprire ogni
richiesta del mercato e partecipa alla prima fiera internazionale, il GAFA
di Colonia, manifestazione che insieme all’Eima di Bologna diventerà un
appuntamento fisso negli anni successivi.
Nel 2007 Attila s.a.s viene trasformata in AGP s.r.l. Con la trasformazione
in s.r.l. inizia la produzione in proprio di monofili per il taglio dell’erba, di
monofili tecnici per il settore agricolo, elettrico ed industriale.
Negli anni successivi la gamma di prodotti e accessori per il giardinaggio
viene costantemente ampliata e aggiornata: attualmente AGP è una tra le
pochissime aziende presenti sul mercato a proporre un catalogo completo di
monofili e prodotti per il giardinaggio completamente progettato e realizzato
internamente collocandosi tra i player piu’importanti della scena europea.
Nel 2012 AGP ottiene la certificazione del sistema di assicurazione qualità
conformemente alla Norma ISO 9001:2008.
Nell’ottica della ricerca di nuovi traguardi produttivi e commerciali AGP s.r.l
ha recentemente iniziato lo sviluppo e la produzione di monofili FFF (Fused
Filament Fabrication) ad alta tecnologia per stampanti tridimensionali.

Attila Garden product sas was founded in1997 to industrialize the
production of a new concept trimmer head, previously made in a
traditional way.
The first step was the purchase of the molds to produce its first head
for brush cutter: “Attila”, a universal/multifilament model featuring
extraordinary strength and ease of use.
Just a few years later another new version was introduced to the market:
“Attilina”, which allows the company to achieve high sales volumes on the
Italian market and look out successfully on the European market.
In the year 2000 the turning point: the company provides itself with
machineries and infrastructure needed to produce and assemble
the components of the heads, it begins to expand the offer of
products needed to cover the market and it also participate to its first
international exhibition, the GAFA in Cologne; with the EIMA fair in
Bologna will become a fixture in the following years.
In 2007 Attila sas is transformed into AGP srl. The newco starts its own
production of monofilaments for different applications: garden power
tools, agriculture and industry (fencewire, tannery, electrical).
In the following years, the range of products and accessories for
gardening is has being expanded and updated: AGP is currently one of
the very few companies in the worldwide market to offer a complete
range of monofilaments and garden accessories, wich are completely
designed and produced in our factory, ranking AGP among the most
important players on European scene.
In 2012 AGP obtained the certification of quality assurance system in
accordance with Standard ISO 9001: 2008.
The will to approach and develop new different markets AGP srl has
recently included a new manufacturing line for the production of
monofilaments FFF (Fused Filament Fabrication) for 3D printers.

Nylgrass è un monofilo per decespugliatori,
in PA co-polimero, prodotto con le
più avanzate tecnologie di settore che
garantiscono una lunga durata di utilizzo
e prestazioni molto elevate. I diametri
disponibili vanno dal 1,3 mm al 6 mm nelle
forme stellare, quadro, tondo e pentagonale
mentre la colorazione viene realizzata
in base alle esigenze della clientela. Le
principali caratteristiche sono la resistenza
meccanica, la durezza e la flessibilità.
Il monofilo Nyofil in PA 6 è prodotto con
le più avanzate tecnologie di estrusione
e viene utilizzato in diversi campi,
dall’agricoltura all’industria. Le sue principali
caratteristiche sono la tenacità e l’elasticità
che lo rendono in grado di sostituire il filo
metallico.

Il monofilo Nyofil in PA 6 è prodotto con le

APPLICATION
Monofilo in poliestere stabilizzato resistente
alla corrosione ed ai raggi UV disponibile in
colore nero (bobina da Kg 10).
Utilizzo:
Nella viticoltura come supporto della crescita,
nella realizzazione di serre, nella pesca come
spago/corda e nell’ostricoltura, per altri scopi al
posto del filo di acciaio.
Nella realizzazione di reti di protezione
antigrandine, per caduta massi, accumulo della
neve, erosione del suolo, etc
Caratteristiche / benefici:
Il filo di poliestere è 7 volte più leggero del filo
d’acciaio, è molto più facile da manipolare e da
trasportare.
Il filo è resistente alla corrosione e agli effetti
delle sostanze chimiche e dell’acqua salata.
La sua composizione fisica evita deformazione
e instabilità strutturale in caso di rottura.
Insensibile a agenti chimici come l’anidride
solforosa.
Il filo di poliestere è non conduttivo e ha ottime
caratteristiche di maneggevolezza.

Polyester wire is non-conductive and has
excellent handling characteristics, it will

CONDIZIONI GENERALI DI VENDITA
ART. 1 – Applicabilità delle Condizioni Generali di Vendita (CGV)
L’inoltro di un ordine alla parte venditrice (venditore) implica l’adesione totale e senza riserve della parte acquirente (acquirente) alle presenti C.G.V.
ed esclude ogni altro documento, quali, tra l’altro, depliant o cataloghi, presentati dal venditore e aventi mero valore indicativo. Fatto salvo il caso
di accettazione per iscritto del venditore, nessuna condizione particolare potrà prevalere sulle presenti C.G.V. Pertanto, in mancanza di espressa
accettazione, qualsiasi clausola ad esse contraria proposta dall’acquirente non sarà opponibile al venditore, a prescindere da quale sia il momento in
cui questi ne sia stato portato a conoscenza.
ART. 2 – Ordini
Gli ordini inoltrati direttamente al venditore o pervenuti a quest’ultimo per il tramite dei suoi agenti o rappresentanti non si riterranno
definitivamente accettati se non a seguito di conferma scritta del venditore. Le presenti C.G.V., l’ordine accettato per iscritto dal venditore, così come
ogni documento emesso dal venditore in relazione all’oggetto dell’ordine, formano nel loro insieme il contratto. Ogni modifica o revoca dell’ ordine
richiesta dall’acquirente sarà vincolata all’assenso esplicito del venditore. Tali richieste dell’acquirente potranno essere esaminate unicamente se
verranno ricevute dal venditore al più tardi sette (7) giorni prima della spedizione delle merci. Passato tale termine, l’ordine rimarrà comunque valido
e dovrà essere pagato dall’acquirente.
ART. 3 – Prezzo
Se tra l’accettazione dell’ordine e la consegna insorgono circostanze straordinarie che incidono sull’equilibrio economico del contratto e costringono
il venditore ad aumentare i propri prezzi e/o a modificare le proprie condizioni di pagamento, il venditore stesso notificherà tale fatto all’acquirente,
il quale avrà in tale caso la possibilità di rescindere il contratto per iscritto entro un termine di sette (7) giorni a partire dalla notifica. In difetto di una
tale rescissione, le nuove condizioni verranno applicate di pieno diritto al contratto. In assenza di una diversa specificazione scritta del venditore, i
pagamenti verranno effettuati senza sconto entro trenta (30) giorni dalla data della fattura.
ART. 4 – Consegna
Le consegne vengono effettuate in funzione delle disponibilità del venditore. Salvo diverso accordo scritto, i tempi di consegna del venditore
vengono comunicati a titolo puramente indicativo. Eccettuato il caso di condotta deliberatamente scorretta o gravi negligenze da parte del venditore,
l’acquirente non potrà addurre un ritardo come motivazione per l’annullamento della vendita, il rifiuto della merce o la richiesta di un indennizzo.
Qualora l’acquirente, a seguito di formale messa in mora, non accetti la consegna della merce, il venditore avrà titolo, fatta salva ogni richiesta di
risarcimento dei danni, a esigere l’esecuzione del contratto o a considerarlo automaticamente risolto e ad acquisire in via definitiva i relativi acconti.
In caso di consegne successive, la mancata effettuazione o l’inadeguatezza di una consegna non incide sulle altre.
ART. 5 – Trasferimento dei rischi
I rischi relativi alla merce e, in particolare, quelli inerenti il suo trasporto vengono trasferiti in capo all’acquirente a partire dalla consegna della
stessa, la quale ha luogo al momento della rimessa o del ritiro di detta merce dagli stabilimenti o depositi del venditore, per ogni vendita, qualunque
ne sia la destinazione e qualsiasi siano le modalità di vendita o di pagamento del trasporto. Tuttavia, per gli ordini con riferimento agli INCOTERMS,
si applicheranno le norme INCOTERMS vigenti al momento della vendita. Spetta al solo acquirente tutelare i propri diritti rispetto al trasportatore,
adottando le opportune iniziative nei tempi e nei modi fissati dalle normative applicabili a tali fattispecie.
ART. 6 – Ricevimento e reclami
Il venditore garantisce che la qualità dei prodotti trova fondamento esclusivamente nelle specifiche tecniche redatte dal venditore, con esclusione di
qualsiasi altra garanzia e/o responsabilità.
a/ Per i quantitativi consegnati, fanno fede pesi e misure riportati alla partenza.
b/ Fatta salva qualsivoglia azione contro il trasportatore, i reclami per vizi apparenti o non-conformità delle merci rispetto all’ordine o al documento
di consegna dovranno essere formulati per iscritto al ricevimento della merce o comunque entro un massimo di otto (8) giorni dal ricevimento
della merce. Spetterà all’acquirente fornire le necessarie argomentazioni che comprovino i vizi o le anomalie rilevati. L’acquirente avrà l’obbligo
di favorire in ogni modo la constatazione dei suddetti vizi e la loro eliminazione da parte del venditore, mentre si asterrà dall’intervenire o dal far
intervenire terzi a tale scopo.
c/ Qualora l’acquirente non abbia proceduto al controllo della qualità della merce entro il termine di otto (8) giorni dalla data del ricevimento
oppure qualora, avendovi proceduto, abbia utilizzato o ceduto a terzi detta merce, il venditore non potrà essere ritenuto responsabile di danni di
qualsivoglia natura eventualmente derivanti dal suo utilizzo da parte dell’acquirente o di terzi.
d/ Nell’eventualità che la merce non venga utilizzata in modo conforme o secondo procedure riconosciute come corrette per prodotti dello stesso
tipo, non verrà accettato alcun reclamo.
e/ A condizione che l’acquirente abbia presentato il proprio reclamo al venditore entro i termini indicati e a condizione che sia stata accertata la
responsabilità di quest’ultimo, il venditore si impegna a sostituire o rimborsare, a sua discrezione, qualsiasi merce di cui abbia riscontrato la non
conformità o il vizio apparente, con esclusione di ogni altro indennizzo, e/o obbligo di risarcimento di danni e/o onere di pagamento di interessi
di qualsiasi natura. All’occorrenza e su semplice richiesta del venditore, l’acquirente sarà tenuto a restituire per intero la merce sostituita o
rimborsata.
f/ Indipendentemente dalla sua fondatezza, il reclamo non solleva l’acquirente dall’obbligo di corresponsione del prezzo entro i termini contrattuali.

ART. 7 – Imballaggi
a/ Imballaggi concessi in prestito dal venditore: gli imballaggi restano di proprietà del venditore e sono esclusivamente riservati alle merci oggetto
della vendita. L’acquirente, l’utilizzatore o il depositario sono responsabili di eventuali incidenti che dipendano da tali imballaggi. I suddetti
imballaggi dovranno essere resi al venditore in buono stato entro il termine fissato dal venditore. In caso di mancata restituzione entro tale
termine, oppure di distruzione o deterioramento, il venditore si riserva la facoltà, senza preavviso, di fatturare all’acquirente il controvalore degli
imballaggi, che diverranno proprietà di quest’ultimo, oppure il costo del loro ripristino e di esigere un indennizzo corrispondente al danno subito
per l’inadempienza dell’acquirente.
b/ Imballaggi ceduti: nel momento in cui la proprietà degli imballaggi è passata all’acquirente, questi si impegna a eliminarne i riferimenti dell’ex
proprietario e a non utilizzare gli imballaggi per fini diversi dalla loro destinazione originaria.
c/ Imballaggi ricollaudati: quando gli imballaggi vengono risottoposti a prove funzionali secondo la periodicità stabilita dalla normativa, che
l’acquirente dichiara di conoscere, su di essi viene stampigliata la data dell’ultimo collaudo. Il venditore declina ogni responsabilità per eventuali
incidenti imputabili ai medesimi imballaggi, vuoti o pieni, nel caso in cui siano stati ceduti all’acquirente o non siano stati da questo restituiti prima
della successiva verifica programmata.
d/ Imballaggi forniti dall’acquirente: in questo caso, l’acquirente sarà considerato unico responsabile della scelta e della qualità degli imballaggi
destinati a ricevere i prodotti. L’acquirente si impegna a fornire imballaggi conformi alle normative vigenti.
ART. 8 – Riserva di proprietà
La proprietà della merce è riservata al venditore fino a completa corresponsione del prezzo e delle voci accessorie, mentre resta specificato che
i rischi sulla merce vengono trasferiti all’acquirente al momento della presa in consegna come precisato al precedente Art. 5. Di conseguenza,
in caso di parziale o omesso pagamento, il venditore si riserva il diritto di esigere alla prima richiesta e senza altra formalità, la restituzione della
merce consegnata, in qualunque luogo essa venga a trovarsi. La merce stoccata nei locali dell’acquirente (magazzini, depositi o altro) verrà ritenuta
afferente alle fatture insolute. L’acquirente si impegna quindi a non concedere a terzi qualsiasi diritto che possa risultare pregiudizievole all’esercizio
della presente clausola. Ogni e qualsiasi spesa riconducibile al ritrasferimento della merce nei locali del venditore sarà a carico dell’acquirente. In
caso l’acquirente venga sottoposto a procedure concorsuali o esecutive, questi dovrà: (I) informarne il venditore entro 24 ore e (II) interrompere
immediatamente la vendita della merce di cui non abbia ancora acquisito la proprietà. L’acquirente sarà altresì tenuto a rispettare gli obblighi che
gli incombono in quanto depositario delle merci. Di conseguenza, l’acquirente dovrà corrispondere il prezzo della merce anche in caso di perdita
accidentale L’acquirente si impegna a non rimuovere gli imballaggi o le etichette presenti sulle merci presenti in deposito e non ancora saldate. Le
sopraelencate disposizioni non pregiudicano l’esperibilità di azioni finalizzate ad ottenere l’integrale pagamento del prezzo e degli accessori.
ART. 9 – Mancato pagamento
a/ Il mancato pagamento anche di una sola fattura costituisce inadempimento grave e autorizza il venditore a sospendere ulteriori consegne o a
considerare immediatamente risolto il contratto per inadempienza dell’acquirente, con riserva di ogni diritto a pretendere il risarcimento dei
danni. Analogamente, qualora il contratto preveda una forma di pagamento posticipato e l’acquirente non paghi entro i termini o presenti reclamo
su una partita già consegnata, il venditore avrà facoltà di revocare tale condizione e richiedere il pagamento anticipato per le successive consegne.
Qualora l’acquirente non soddisfi tale richiesta, il venditore potrà risolvere il contratto, riservandosi il diritto a pretendere il risarcimento dei danni.
In applicazione della Direttiva Europea n. 2000/35/EC del 29 giugno 2000 saranno esigibili di diritto le penali pattuite per l’ipotesi di ritardato
pagamento, senza necessità di preventiva messa in mora e senzapregiudizioper la promozione di eventuali azioni finalizzate ad ottenere il
risarcimento dannio il riconoscimento degli interessi, a far corso giorno successivo alla data di pagamento riportata sulla fattura, nel caso in cui
gli importi dovuti vengano pagati dopo tale data. Il saggio di interesse applicabile è pari al tasso applicato dalla Banca centrale europea alla più
recente operazione di rifinanziamento effettuata dalla stessa maggiorato di dieci (10) punti percentuali. L’emissione da parte del venditore delle
fatture relative a tali penali avverrà su base semestrale.
b/ Qualora la situazione finanziaria dell’acquirente desti preoccupazioni giustificate, il venditore si riserva il diritto, per gli ordini in corso, di esigerne il
pagamento in contanti o anticipato.
c/ In caso di spedizioni scaglionate dei prodotti oggetto di un ordine o di accordo, le fatture corrispondenti alle singole consegne risultano pagabili alle
rispettive scadenze, senza attendere la consegna della totalità dei prodotti oggetto dell’ordine o dell’accordo.
ART. 10 – Forza maggiore
Sono contrattualmente assimilati alla forza maggiore e costituiranno causa di estinzione o sospensione degli obblighi del venditore, senza che
l’acquirente abbia diritto a sollevare eccezione alcuna, gli incidenti a carico della produzione e del magazzinaggio dei propri prodotti, la sospensione
parziale o totale dell’approvvigionamento di materie prime o energia, inadempienze di trasportatori, incendi, inondazioni, rottura di macchinari,
scioperi totali o parziali, decisioni amministrative, interventi di terzi, guerre e qualsiasi evento esterno di natura atta a ritardare o a impedire o a
rendere economicamente eccessivo l’adempimento degli obblighi assunti dal venditore.
ART. 11 – Foro competente e Diritto applicabile
Le presenti CGV, così come ogni contratto a essere relativo, saranno soggette al diritto applicabile del paese del venditore e verranno interpretate
in conformità a tale legge, con l’esclusione della Convenzione delle Nazioni Unite sulla vendita internazionale di merci dell’11 aprile 1980. Ogni
controversia che dovesse originarsi tra le parti contraenti verrà sottoposta al giudizio del foro competente del luogo in cui si trova la sede sociale del
venditore. Laddove l’acquirente sia convenuto in giudizio da terzi presso altra giurisdizione, l’acquirente medesimo rinuncerà a chiamare in garanzia il
venditore di fronte a tale Foro.

GENERAL CONDITIONS OF SALES
ART 1. Application of General Conditions of Sale (G.C.S.)
When placing any order with the seller, the buyer accepts these G.C.S. without qualification and in their entirety to the exclusion of any other
document, including brochures or catalogues issued by the seller as indicative only. No special condition shall, unless expressly accepted in writing
by the seller prevail over the G.C.S. Any clause to the contrary proposed by the buyer shall not therefore, unless expressly agreed, be binding on the
seller, irrespective of when the seller knew of that clause.
ART 2. Orders
Orders placed directly to the seller or through his agents or representatives shall not become final and binding until they are confirmed in writing
by the seller. These G.C.S., the order accepted by the seller in writing and any document issued by the seller relating to the subject of the order shall
constitute the contract. Any modification or cancellation of the order requested by the buyer shall be subject to the seller’s express agreement. Any
such request by the buyer may only be taken into consideration if it reaches the seller no later than seven (7) days before shipment of the goods.
After this period, the order will be deemed valid and will have to be paid by the buyer.
ART 3. Price
If exceptional circumstances affect the economic balance of the contract between acceptance of the order and the delivery, obliging the seller to
increase its prices and/or modify its payment conditions, the seller shall notify the buyer, who will then be able to terminate the contract in writing
within seven (7) days starting from the notification. If the buyer fails to do so, the new conditions shall apply automatically to the contract. Except as
indicated in writing by the seller, payments shall be made net without any discount at thirty (30) days from the date of invoicing.
ART 4. Delivery
Deliveries will be made depending on the seller’s availability. Unless otherwise agreed in writing, the seller’s delivery dates shall be purely indicative.
The buyer shall not be entitled to use any late delivery as a justification for canceling the sale, rejecting the goods or claiming any compensation. If
the buyer, after formal notice, fails to take delivery of the goods, the seller shall be entitled without prejudice to any claim for damages to enforce the
contract or consider it to have been automatically terminated, with any advance payment forfeited for the benefit of the seller. Where deliveries are
in installments, the failure in whole or in part of any one delivery shall have no effect on other deliveries.
ART 5. Transfer of Risk
The risk in the goods, and particularly those risks inherent in their carriage, shall pass to the buyer immediately upon their delivery. Delivery shall
take place, for all sales whatever their destination (France or other countries) at the time the goods are handed over or leave the seller’s factories
or warehouses, irrespective of any terms of sale or payment of the costs of carriage. However, for orders which refer to INCOTERMS, the rules of
the INCOTERMS prevailing at the time of the sale, shall apply. It is the buyer’s responsibility to take all necessary steps to ensure that his rights are
safeguarded with respect to the carrier of the goods by making his reservations within the time periods and terms specified by the rules governing
such matters.
ART 6. Receipt - Complaints
The seller warrants that the quality of the products is exclusively consistent with the technical specifications drawn up by the seller, excluding any
other warranty and/or liability.
a/ The weight and measures of the goods at the moment of dispatch will attest to the quantities delivered.
b/ Without prejudice to any actions to be taken against the carrier, complaints made regarding visible defects or any non-conformity of the delivered
goods compared to the ordered goods or with the delivery documentation, must be lodged in writing upon receipt of the goods and in any event
within eight (8) days of receipt at the latest. The buyer shall provide the seller with all evidence regarding defects or anomalies reported. The buyer
shall permit the seller all means to ascertain the defects and to find a solution. The buyer shall not intervene, nor have any third party intervene in
this process.
c/ If the buyer fails to check the quality of the goods within eight (8) days of their receipt, or having checked the goods, the buyer uses the goods or
sells the goods to a third party, the seller will have no liability for any loss whatsoever resulting from their use by the buyer or the third party.
d/ If the goods are not used for a purpose or in accordance with a process normally intended for goods of the same kind, no claim will be admissible.
e/ Once the buyer has sent his complaint to the seller within the specified time, and provided that the seller’s liability has been established, the seller
shall at his convenience either replace or refund the cost of any goods which he has acknowledged as non-conforming or affected by a visible
defect, to the exclusion of all other indemnities and/or damages. Where applicable, upon the seller’s request the buyer must return to the seller
the goods which have been replaced or refunded.
f/ Complaints do not discharge the buyer from his obligation to pay the price according to the contract terms irrespective of whether the complaint is
justified.

ART 7. Packaging
a/ Packaging lent by the seller: this shall remain the property of the seller. It is solely intended for the goods sold. The buyer, the user or the bailee
shall be liable for all and any accident which might occur as a result of this packaging. It shall be returned to the seller in good condition and
within the time specified by the seller. If the packaging is not returned within the stipulated time, or is destroyed or deteriorates, the seller will
be entitled, without any prior formal notice, to invoice the buyer for the cost of its replacement, in which case the buyer shall become the owner
of the replaced packaging, or the cost of restoring the packaging to its original condition and also to claim from the buyer an indemnity for loss
suffered as a result of the failure of the buyer to comply with the above provisions.
b/ Transferred Packaging: When ownership of the packaging has been transferred to the buyer, he shall remove all references to the previous owner
and shall not use such packaging for any purpose other than that for which it was originally intended.
c/ Retested Packaging; when packaging is subject to retesting in accordance with a frequency set by regulations (the buyer declaring that he is aware
of the same) the last testing date is marked on the packaging. The seller will have no liability for any accidents arising from this packaging, whether
empty of full, where it has been transferred to the buyer or not returned to the seller before the date of the next test.
d/ Packaging Supplied by the Buyer: the buyer shall be responsible for the choice and the quality of the packaging that is intended to receive the
goods. The buyer shall supply packaging which conforms to the regulations then in force.
ART 8. Retention of Title
The seller reserves title to the goods until payment in full of the price and of all incidentals. The risk in the goods shall however pass to the buyer upon
delivery, as defined in Article 5 above. Consequently, in a case of late or non-payment, whether in whole or in part, the seller reserves the right to
require, on first demand and without prior formal notice, the delivered goods to be returned to it, wherever they are located. Goods stored at the
premises of the buyer (in warehouses, depots, etc.) will be deemed to be the subject of the unpaid invoices. The buyer shall therefore not grant any
rights to third parties that might limit the exercise of the provisions of this condition. All costs of returning the goods to the seller’s premises will be
borne by the buyer. If the buyer becomes insolvent he must (I) notify the seller within 24 hours and (II) immediately cease selling any goods which are
not yet his property. The buyer must also comply with his obligations as bailee. The buyer shall therefore be required to pay the price of the goods if
they disappear, whether accidentally or otherwise. The buyer undertakes not to remove packaging or labels from goods stored in his inventory and
which are unpaid. The above provisions shall apply without prejudice to any claim for damages for total or partial failure to pay the price of the goods.
ART 9. Non-Payment
a/ Non payment of any invoice shall be considered a fundamental breach by the buyer entitling the seller to suspend any further delivery or to
consider the contract terminated immediately by reason of the buyer’s default without prejudice to any claim for damages. Similarly, where
payment is agreed to be deferred and the buyer does not pay punctually or makes a complaint for a batch already delivered, the seller may revoke
such payment term and require advance payment for the subsequent deliveries or contracts. Should the buyer not meet such demand, the seller
shall be entitled to terminate the contract by reason of the buyer’s default without prejudice to any claim for damages. Under the European
Directive No.2000/35/EC of June 29, 2000, penalties for delay are due automatically without formal notice and without prejudice to any damages
from the day following the payment date indicated on the invoice should any sums be paid after such payment date. The interest rate will be equal
to the rate applied by the European Central Bank to its most recent refinancing operation plus ten (10) percentage points. The seller shall issue
invoices relating to these penalties on a six-month basis.
b/ In the event the financial standing of the buyer constitutes a justifiable cause for concern, the seller reserves the right to request payment in cash
or prior to delivery in respect of current orders.
c/ Where goods in any order or by agreement are delivered in installments, the invoices relating to each delivery shall be payable by their respective
due dates, and shall not be postponed until all the goods of the order of contract have been delivered.
ART 10. Force Majeure
The following shall be considered herein as events of force majeure constituting cause for the cancellation or suspension of the seller’s contractual
obligations, without any right of recourse for the buyer: accidents affecting the manufacture or storage of the products, total or partial interruption
of supplies of raw materials or energy, particularly default by carriers, fire, flooding, breakdown of machinery, total or partial strikes, administrative
decisions, acts attributed to third parties, war and all and any external occurrences likely to delay or prevent the performance of the seller’s
obligation or to render such performance economically exorbitant.
ART 11. Governing law and Jurisdiction
These General Conditions of Sale and any related contract shall be governed by the laws applicable in the seller’s country and shall be construed in
accordance with such law, excluding the United Nations Convention on the international sale of goods of April 11,1980. All disputes arising between
the parties to this contract shall be submitted to the courts having jurisdiction where the seller’s registered office is located. If legal proceedings are
commenced against the buyer by any third.
