1. These ASUS Motherboards and ASUSPRO Notebooks promotion (the
“Promotion”) terms and conditions, in addition to the Intel ® Technology Provider
Program terms and conditions (including Exhibit A, Points Supplementary terms
and
conditions)
at
https://wwwssl.intel.com/content/www/uk/en/secure/technology-provider/legal/terms-andconditions.html (the “Rules”) govern this Promotion. Participation in the
Promotion, and acceptance and redemption of Points awarded in connection with
this Promotion are conditional upon acceptance of the Rules by your company
(“You” or “Your”).
2. Eligibility.
a. For ASUS Motherboards This Promotion is available to Intel® Technology
Provider partners in Intel’s Europe Middle East and Africa (EMEA) regions
who are participating in points earning and are members of the ASUS
Advantage Programme (“Eligible Partners”) and have registered to earn
Points.
b. ASUS ASUSPRO Notebooks This Promotion is available to Intel®
Technology Provider partners within the European Economic Area who
are participating in points earning and are members of the ASUS
Advantage Programme (“Eligible Partners”) and have registered to earn
Points.
3. Promotion Duration. The Promotion period is 1st July 2015 to 31 st March 2016
for Motherboards, and 1st October 2015 to 31st March 2016 for Systems.
4. Promotion. Eligible Partners will be awarded Intel® Technology Provider Points
on the purchase of ASUS Motherboards and ASUSPRO Notebooks
manufactured by ASUS GLOBAL Pte. Ltd (ASUS). (“Qualifying Product”) as
listed below and purchased from participating ASUS Authorised Distributors
(“Participating Suppliers”) after the date these terms and conditions are first
accepted.

5. Promotional points will be in addition to any other Points awarded.
6. ASUS, Participating Suppliers and Intel may share information provided by you
or concerning your purchase of a Qualifying Product, for the purpose of fulfilling
this benefit and subject to the provisions of the Intel® Technology Provider
Program Privacy Statement.
7. Promotional points will be awarded as per weekly sales out report received from
ASUS but within 60 days of the promotion end date, based on sales out
information received by Intel from ASUS. Eligible partners are responsible for
ensuring Participating Suppliers and ASUS have sufficient information to enable
points to be awarded.
8. No double discount. Unless Section 5 applies, Eligible Partners who receive
other contributions, rebates or discounts on a Qualifying Product may not be
eligible for Points on that Qualifying Product. ASUS and or Intel will notify Eligible
Partners if this is the case.
9. The Rules, constitute the entire understanding and agreement between you and
Intel with regard to the subject matter hereof and supersedes all prior
agreements, communications, representations and discussions between the
parties, whether written or oral. Any contrary of conflicting term is hereby
rejected. In case of conflict between Intel® Technology Provider Terms and
Condition and these Terms and Conditions, for the purpose of this Promotion,
these Terms and Conditions will apply.
10. Without prejudice to any right and remedy provided for in the Rules and any
other right and remedy available at law, in the event You do not comply with the
Rules, Intel shall have the right, at Intel’s option, to: (i) withhold the Points which
would otherwise be awarded to You under the Promotion; (ii) adjust the number
of Points to be awarded to You under the Promotion; (iii) refuse to allow
redemption of Points awarded under the Promotion; (iv) set-off entire (or part)
value of the Points awarded under the Promotion which You have redeemed,
against Your existing or future credit claims; and/or (v)obtain reimbursement of
the entire (or part) value of the Points awarded to You under the Promotion
which You have redeemed.
11. Subject to 11(b), these Rules and any dispute or claim arising out of or in
connection with these Rules (including non-contractual disputes and claims) are
governed by the laws of England and Wales, and shall be subject to the
exclusive jurisdiction of the courts of England and wales (b) Claims or disputes
arising out of and in connection with an Intel trademark license agreement and/or
Intel logo license agreement shall be subject to the governing law and
jurisdiction specified in such agreement. This agreement is not intended to
create any right under the Contracts (Rights of Third Parties) Act 1999 which is
enforceable by any person who is not a party to this Agreement, and the rights of
any third party under the said Act are hereby expressly excluded.
12. Each party is responsible for its own respective income taxes or taxes based
upon gross revenues, including, but not limited to, business and occupation
taxes. You shall be responsible for any and all applicable taxes related to its
receipt of the Intel contribution, including but not limited to any sales, use, goods
and services, services, consumption, business, value added, or other taxes or
comparable levies, transaction privilege taxes, gross receipts taxes, net receipt
taxes, any withholding taxes and other charges such as duties, customs, tariffs,
imposts, contributions and other government imposed surcharges.
13. English version. Only the English version of the Rules is binding between the
parties. Any translation is provided for convenience only, and is not binding.

notebook ASUSPRO (“Promozione”), oltre ai Termini e Condizioni del
programma Intel® Technology Provider (incluso l'Allegato A, Termini e

alla Promozione e l'accettazione e il riscatto dei Punti assegnati nell'ambito di

2. Ammissibilità.

b. Notebook ASUS ASUSPRO Questa promozione è disponibile per i partner
Intel® Technology Provider nell'Area Economica Europea che partecipano

3. Durata della promozione. Il periodo promozionale è dal 1° luglio 2015 al 31

5. I punti promozionali saranno in aggiunta a qualsiasi altra opportunità di accumulo
punti.
6. ASUS, i Fornitori partecipanti e Intel potrebbero condividere informazioni fornite
dalla vostra azienda o relative al vostro acquisto di un Prodotto qualificato al fine
dell'espletamento di questo vantaggio promozionale e in accordo alle disposizioni
sulla privacy del programma Intel® Technology Provider.
7. I punti promozionali verranno assegnati in base al report delle vendite settimanali
ricevuto da ASUS ma entro 60 giorni dalla data conclusiva della promozione, in
base alle informazioni sulle vendite ricevute da Intel da parte di ASUS.
8. Doppie promozioni non valide. A meno che si applichi la Sezione 5, i Partner
ammessi che ricevono altri contributi, rimborsi o sconti su un Prodotto qualificato
non saranno ammessi all'assegnazione di Punti su quello stesso Prodotto
qualificato. ASUS e/o Intel informeranno i Partner ammessi in situazioni di questo
genere.
9. Le Regole costituiscono l'intero accordo tra Intel e l'Azienda in relazione al
presente contratto e sostituiscono tutti i precedenti accordi, comunicazioni,
dichiarazioni e discussioni tra le parti, in forma scritta o verbale. Qualsiasi
disposizione contraria o contraddittoria viene pertanto respinta. In caso di
conflitto tra i Termini e Condizioni Intel® Technology Provider e i presenti Termini
e Condizioni, per lo scopo di questa Promozione verranno applicati questi
Termini e Condizioni.
10. Senza che ciò pregiudichi qualsiasi altro diritto e azione giudiziaria prevista nelle
presenti Regole e qualsiasi altro diritto e azione giudiziaria disponibili in base alla
legge, nel caso in cui l'Azienda non rispetti le Regole, Intel avrà il diritto, a propria
discrezione, di: (i) trattenere i Punti che vi sarebbero stati assegnati in base alla
Promozione; (ii) adeguare il numero di Punti da assegnarvi in base alla
Promozione; (iii) rifiutare di consentire il riscatto dei Punti assegnati in base alla
Promozione; (iv) compensare interamente (o in parte) il valore dei Punti
assegnati in base alla Promozione che la vostra Azienda ha riscattato con le
vostre richieste di credito esistenti o future; e/o (v) ottenere il rimborso dell'intero
(o parziale) valore dei Punti assegnati alla vostra Azienda in base alla
Promozione e che avete riscattato.
11. Soggette a 11(b), le presenti Regole e qualsiasi disputa o reclamo derivante o in
connessione con esse (incluse controversie non contrattuali e reclami) saranno
disciplinati dalla legge dell'Inghilterra e del Galles e saranno soggetti alla
giurisdizione esclusiva dei tribunali di Inghilterra e Galles (b) Reclami o dispute
derivanti o in connessione con un contratto di licenza per l'uso del marchio Intel
e/o un contratto di licenza per l'uso del logo Intel saranno soggetti alle leggi
vigenti e alla giurisdizione specificati in tali contratti. Il presente Contratto non è
stato concepito per creare eventuali diritti in base al Contracts Act (diritti di terze
parti) del 1999, applicabile da qualsiasi individuo che non sia una parte del
Contratto, e i diritti di eventuali terze parti ai sensi del suddetto Contracts Act
sono espressamente esclusi.
12. Ogni parte è responsabile delle proprie rispettive imposte sul reddito o tasse
basate su ricavi lordi, incluse, senza limitazioni, tasse sul reddito da lavoro.
L'Azienda sarà ritenuta responsabile di tutte le imposte applicabili correlate alla
ricezione del contributo Intelincluse, senza limitazioni, eventuali imposte di
vendita, utilizzo, beni e servizi, consumo, attività, valore aggiunto o altre imposte
o imposizioni fiscali paragonabili, imposte sui privilegi delle transazioni, imposte
su ricavi lordi e su ricavi netti, trattenute fiscali, nonché altre tasse quali dazi,
tasse doganali, tariffe, imposte e sovrattasse imposte dal governo.
13. Versione inglese. Solo la versione in lingua inglese delle presenti Regole è da
considerarsi vincolante per le parti. Qualsiasi traduzione è fornita soltanto per
comodità e non sarà vincolante.
