CONDIZIONI DI VENDITA
GENERAL SALES CONDITIONS
Tutte le ordinazioni si intendono accettate alle seguenti condizioni generali che
formano, parte integrante del contratto di vendita: accettate dal cliente per la
prima fornitura, esse valgono altresì per tutte le successive anche se non
espressamente richiamate.
All orders are accepted according to the following sale conditions, which are part of
the sale contract. Once accepted by the customer at the first order, they are
automatically.
DELIVERY TERMS:
ORDINI:
Gli ordini trasmessi direttamente o tramite i nostri agenti costituiscono impegno da
parte nostra solo dopo conferma scritta. Richieste di cambiamenti relativi alla
conferma d'ordine (con riferimento a prezzi quantità, condizioni di pagamento)
devono essere effettuate entro 48 ore dal ricevimento della conferma stessa.
L’annullamento di un ordine non, può essere ottenuto senza nostro consenso. Gli
ordini verranno evasi alle condizioni in vigore al momento della consegna.
TERMINI DI CONSEGNA:
I termini di consegna si intendono approssimativi e non impegnativi. La mancata
osservanza da parte nostra dei termini indicati non da diritto al cliente di annullare
l'ordine, differire pagamenti, reclamare indennizzi, penali o danni di sorta.
TRASPORTO:
La merce viaggia sempre per conto e a rischio dei destinatario anche se venduta in
porto Franco. Spetta al committente esporre al vettore eventuali reclami per
ritardi, disguidi, rotture, furti, ammacchi non si accettano quindi reclami e non si
concedono accrediti o bonifici per le cause di cui sopra.
RECLAMI
Tutti i reclami riguardanti la quantità o la qualità della merce consegnata devono
essere con lettera raccomandata entro 8 giorni dal ricevimento della stessa.
RESI:
Non si accettano merci di ritorno se non in porto franco e preventivamente
autorizzate.
RESPONSABILITÀ:
La nostra responsabilità si limita esclusivamente alla sostituzione in porto franco
dei pezzi riscontrati difettosi senza alcun indennizzo per danni, spese o riparazioni.
Non si accetta alcuna responsabilità per difetti derivanti dalla manomissione dei
nostri prodotti e per danni derivanti dalla posa in opera di materiale difettoso
PAGAMENTI:
Si conoscono, come liberatori solo i pagamenti effettuati alla cassa della nostra
società e contro rilascio di regolare quietanza su fattura. Qualsiasi altro pagamento
eseguito resta a completo rischio, pericolo e spesa dei committente. L’accettazione
di assegni o effetti pagabili su altra piazza costituisce una facilitazione concessa al
committente e non può essere invocata come deroga a quanto sopra indicato.I
termini di pagamento si intendono tassativi. Non si accettano condizioni difformi se
non preventivamente ed espressamente pattuite. In caso di ritardo dei pagamenti
verranno addebitati gli interessi di mora al tasso bancario corrente maggiorato di 3
punti con decorrenza dalla data concordata per il pagamento . Ci riserviamo inoltre
diritto di sospendere o annullare forniture in corso ed ogni eventuale ordine già
accettato. La proprietà della merce passerà all'acquirente solo dopo che questi
abbia pagato il relativo costo. Come previsto dal C.C. Art 1523 e Segg.
COMPETENZA GIUDIZIARIA:
Per qualsiasi contestazione tra la nostra ditta ed il committente viene stabilito ed
accettata la competenza del Foro di Milano, dove le parti eleggono ad ogni effetto
domicilio con espressa rinuncia dell'acquirente all'esecuzione, di prove fuori Milano.
NORME GENERALI:
Il committente non potrà invocare dichiarazioni impegnative o garanzie assunte dai
nostri dipendenti agenti che non risultino dalle presenti condizioni generali o da
nostro atto sottoscritto. I modelli raffigurati sui nostri cataloghi e listini hanno
carattere informativo ed approssimativo: ci riserviamo in qualunque momento la
facoltà di apportare modifiche, anche sostanziali, alla produzione senza alcun
preavviso. Ai sensi della legge 675 - 31/12/96 C.M. dichiara che i dati messi a
disposizione dal committente verranno elaborati in rispetto della legge sulla tutela
della privacy.
Orders are to be intended accepted only after issuing of our order confirmation. No
request for changes of order confirmation (regarding payment condition, delivery
terms, prices or products) will be accepted if communnicated after 2 days from
order confir mation date. Order cancellation is not possible without our written
agreement.
DELIVERY TERMS:
Agreed delivery dates are not binding. The date of delivery becomes effective after
elucidation of all details of the contract, as soon as notification of possession of the
import licence, where such licence may necessary has been made to the supplier.
The required advance payment and/or necessary letter of credit infavour of the
supplier m ust have been presented. Date of delivery is the day on which the goods
are ready f or dispatch from the factory. Difficulties of delivery on the part of the
supplier or his supplier, either unforeseen or through no fault on the part of the of
the supplier, as well as knowledge of a deterioration in the financial status or
solvency of the purchaser, entitles the supplier to withdraw from the contract,
without
right
of
regression
the
part of the puchaser. Illustrations, statements of weight and measures are not
binding.
All rights are reserve for constructive alteration. Place and date of transfer of risk
to purchaser will be in accordance with INCOTERMS 2000 where no other
arrangements have been agreed to by the supplier in his confirmation of order.
TRANSPORTS:
Products are normally delivered ex-factory. Even if the goods are delivered doorto-door, products travel at purchaser's risk. In case of damage (partial or total)
customers are requested to proceed directly with the forwarder agent by written
letter of complaint.
CLAIMS
Any claim on the quantity/quality of the delivered pieces has to be made within 8
da ys b y wr itten letter of complaint.
REPLACEMENTS:
All replacements have to be requested by written form and authorized from our
company. No retum of goods will be accepted without previus written.
GUARANTEE:
We guarantee the quality of our products and will substitute free of charge those
items that will be recognized as defective. Nothing can be claimed for repayment of
customer's repair. Luigi Monteleone s.r.l. does not guarantee any at its products
when wrongly handled or installed.
PAYMENTS:
Payments cannot be dela yed or suspended even in case of claims notified within
due time. Delay of payment entitles us to demand full payment, applying the
penalty at existing bank rate + 3 points increasing and interrupt outstanding
deliveries without notice.
PROPERTY:
Should the goods be delivered before payment by the purchaser of all amounts due
arising from the contract, the goods remain the property of the supplier until full
payment has been made, that is to say, where this is permitted by the law of the
country in which the goods are. Should the law concerned not permit proprietorial
rights, but grant the supplier other rights of reservation of the goods, the supplier
is empowered to e xercise all of the said rights. The purchaser is bound by contract
to cooperate in all measures tak en by the supplier in order to protect his right of
ownership, or other applicable rights to the goods. Should the purchaser not
comply with the term of payment, such as in the case of protest of bill of exchange
or cheque, he loses all right of disposal of the develired goods. The supplier is
entitled to withdraw the delivered goods without grant of respite and without
involving retirement from contract, by deterioration of the financial standing or
default on the part of the purchaser. All costs there by involved will be debited to
the purchaser. Models and sketches are issued only on loan. The purchaser is fully
responsible that articles manufactured to his specification or sample do not involve
infringement of trademark or other rights of a third party. The sup-plier reser ves
the r ight of sur plus or short shipment up to 10% f or articles specially
manufactured.
PATTERNS:
Luigi Monteleone s.r.l. reserve itself to make changements in products if technically
necessary.
DISPUTE:
Should any dispute arise between the parties, the Court of Milano will have full
jurisdiction to all legal purposes.
