CONDIZIONI DI VENDITA
1. Il presente listino annulla e sostituisce i precedenti e non costituisce offerta.
2. I prezzi possono essere variati in qualsiasi momento senza preavviso. Essi non sono comprensivi di montaggio.
3. Crea Design Srl si riserva, a proprio insindacabile giudizio, la facoltà di modificare senza preavviso i materiali costruttivi, le caratteristiche tecniche ed
estetiche, nonché le dimensioni dei propri prodotti.
4. Le immagini dei prodotti contenute nel catalogo fotografico sono puramente indicative.
5. La vendita è regolata, oltre che dalle condizioni particolari volta a volta pattuite, dalle presenti condizioni generali, che si reputano conosciute
dall’acquirente. Eventuali clausole derogatorie a quanto previsto nelle presenti condizioni generali di vendita devono risultare per iscritto.
6. Le proposte d’acquisto o gli ordini del cliente sono condizionati alla accettazione espressa o all’inizio dell’esecuzione del contratto da parte della venditrice,
nei casi in cui ciò sia consentito. Qualsiasi successiva modifica al contratto di vendita non sarà valida e vincolante ove non risulti da atto scritto e sottoscritto
dalla parte nei cui confronti tale modifica viene invocata.
7. Conformemente all’articolo 1510 codice civile, la consegna dei beni venduti si ha con la rimessione degli stessi al vettore o allo spedizioniere, sicché i beni
stessi viaggiano a rischio e pericolo dell’acquirente. Ciò vale anche nei casi in cui la merce viene venduta franco arrivo all’indirizzo dell’acquirente.
Ogni eventuale richiesta, reclamo e/o azione relativi alla spedizione o al trasporto della merce dovrà essere promossa dal cliente nei confronti dello
spedizioniere o del vettore.
Ogni eventuale danno, perdita o avaria dei beni venduti dipendente dalla spedizione o dal trasporto dei medesimi non esonera l’acquirente dal pagamento del
prezzo convenuto.
8. Il termine di consegna è indicativo e non tassativo. Lo stesso potrà essere ritardato senza alcun obbligo di indennizzo o risarcimento di eventuali danni
diretti o indiretti subiti dall’acquirente per la ritardata consegna e senza che ciò possa comportare la risoluzione del contratto di vendita per inadempimento
della venditrice. Fatti salvi i casi di forza maggiore, in caso di scioperi ed in tutti gli altri casi che impediscano temporaneamente alla venditrice di regolarmente
adempiere al contratto di vendita è fatto salvo il diritto della medesima venditrice di recedere dal contratto, senza che l’acquirente sia autorizzato ad eventuali
pretese di danno, fatta salva nell’ipotesi di recesso la restituzione di quanto eventualmente versato a titolo d’acconto.
9. Il pagamento del prezzo di vendita della merce dovrà avvenire presso la sede della venditrice. In caso di ritardato pagamento, in tutto o in parte, del prezzo
della merce venduta, l’acquirente sarà automaticamente costituito in mora e sarà tenuto al pagamento degli interessi di mora nella misura e con la decorrenza
stabilita dal D.Lgs. 231/2002 (attuazione della direttiva 2000/35/CE relativa alla lotta contro i ritardi di pagamento nelle transazioni commerciali).
10. La venditrice non risponde degli eventuali vizi dei beni venduti conosciuti o conoscibili da parte dell’acquirente, che non abbia immediatamente respinto la
merce. Le contestazioni od i reclami sulle quantità dei beni consegnati devono essere segnalate all’atto della consegna, con annotazione sul documento di
trasporto. La eventuale sostituzione della merce non significa accettazione della contestazione o del reclamo. L’accredito all’acquirente verrà fatto solo dopo la
restituzione della merce difettosa ed a condizione che sia stata riconosciuta dalla venditrice o altrimenti accertata la responsabilità di quest’ultima.
11. I disegni, i modelli, i grafici e le altre informazioni tecniche dei prodotti oggetto di vendita, così come i campioni, i cataloghi, le fotografie e materiali simili,
rimangono sempre di proprietà intellettuale della produttrice e non possono pertanto essere copiati, né trasmessi ad altri, né utilizzati in altro modo.
12. Le somme versate a titolo di caparra confirmatoria, all’atto della proposta di acquisto o anche successivamente, potranno essere ritenute dalla venditrice
in caso di revoca dell’ordinazione ed in ogni altro caso di inadempimento dell’acquirente che giustifichi il recesso della venditrice, salvo il diritto della stessa
venditrice di chiedere l’adempimento del contratto e salvo altresì il diritto di chiedere il risarcimento del maggiore danno. Nel caso di adempimento da parte
dell’acquirente dei propri obblighi contrattuali, le somme da questi versate a titolo di caparra confirmatoria saranno imputate al pagamento del prezzo. Le stesse, così come gli eventuali acconti, saranno comunque infruttifere di interessi.
13. L’eventuale tolleranza di una delle parti di comportamenti dell’altra posti in essere in violazione delle clausole che regolano la vendita non costituisce
rinuncia ai diritti derivanti dalle clausole violate né al diritto di esigere l’esatto adempimento di tutti i termini e condizioni previsti dal contratto.
14. Tutte le controversie che dovessero insorgere in relazione alla vendita, suoi atti modificativi ed esecutivi, comprese quelle inerenti alla validità, efficacia,
interpretazione, esecuzione e risoluzione del contratto, saranno devolute alla competenza esclusiva del Foro di Monza.
15. Crea Design srl conserva la proprietà dei prodotti consegnati fino al completo pagamento del prezzo fatturato. Fino a quella data la merce consegnata è
considerata come depositata presso l’acquirente. Quest’ultimo si accolla quindi il rischio di danni che la merce possa subire imputabili a qualsiasi causa.
16. Vi preghiamo di portare particolare attenzione sul fatto che non tutti gli articoli riportati nel presente listino prezzi sono compatibili con i mercato
statunitense o con quello canadese.
Di conseguenza, qualora intendiate utilizzare o esportare i nostri prodotti negli Stati Uniti d’America e/o, in ogni caso, in qualsiasi altro paese extra UE, siete
obbligati a preventivamente contattare il nostro Ufficio Commerciale per avere la conferma che lo specifico articolo di vostro interesse risponda a tutti i
requisiti tecnici ed agli standard legali previsti a tutela dei consumatori finali del mercato di destino. Ciò considerato, decliniamo ogni responsabilità che possa
essere conseguente al Vostro agire senza preventivamente informarci ed indipendentemente dalla nostra autorizzazione scritta all’esportazione o all’uso del
prodotto in un paese extra UE.
AVVERTENZE
- Prima di procedere all’acquisto dei prodotti descritti nel presente listino consultate le condizioni di vendita, nonché le caratteristiche tecniche e le avvertenze
di seguito riportate.
- Prima di procedere all’installazione dei prodotti riportati nel presente listino è necessario verificare la portanza della parete/pavimento/superficie su cui
verranno collocati i prodotti assicurandosi che siano idonei al tipo di utenza e/o utilizzo a cui sono destinati: i prodotti non sono comunque idonei all’uso da
parte di bambini.
- I prodotti riportati nel presente listino non sono idonei ad essere utilizzati in ambienti esterni.
- Le scaffalature e i prodotti applicati a parete/pavimento prevedono l'installazione con dispositivi di ancoraggio a parete / pavimento che non compaiono nelle
illustrazioni presenti nei nostri cataloghi.
- Il montaggio e l’installazione dei prodotti deve essere effettuata esclusivamente da personale tecnico competente utilizzando strumenti ed attrezzi adatti allo
scopo: prima di procedere al montaggio ed all’installazione leggere attentamente le istruzioni allegate ai prodotti, prestando particolare attenzione sia alle
avvertenze che ai disegni esplicativi. Qualora le istruzioni non fossero allegate contattare il ns. ufficio tecnico.
- Qualora fosse necessario fissare i prodotti a parete/pavimento/superfici, utilizzare dispositivi di fissaggio adeguati ed in grado di resistere alle forze generate.
Utilizzare in ogni caso elementi di sostegno idonei a reggere ogni singola struttura.
- In caso di installazione non corretta e/o in caso di superamento dei carichi massimi indicati nel presente listino e/o nelle istruzioni allegate ai singoli prodotti
si potrebbe creare una situazione di pericolo, i prodotti potrebbero ribaltarsi, cedere e causare danni a cose e/o persone. In caso di dubbi sulle modalità di
installazione e/o sulla portanza della parete/pavimento su cui verrà collocato il prodotto non procedere alla installazione.
- Attenersi alle istruzioni e alle composizioni riportate nel presente listino; per composizioni differenti e/o per ulteriori informazioni sui prodotti o sulle modalità di
installazione degli stessi contattate il ns. ufficio tecnico.
- I posacenere, gettacarte e contenitori antincendio e autoestinguenti non sono idonei a contenere liquidi e/o sostanze infiammabili. Per la raccolta e il
contenimento del vetro usare sacchetti idonei.
- Responsabilità del produttore
L'acquirente è tenuto ad informare i propri clienti e/o gli utilizzatori finali del prodotto acquistato sulle caratteristiche del prodotto al fine di ridurre al minimo il
rischio di un uso improprio del prodotto che potrebbe esporre l’azienda a possibili ragioni di danno per responsabilità del produttore.
In difetto l'acquirente esonera espressamente l’azienda da qualsiasi ipotesi di responsabilità.

TERMS OF SALE
TERMS OF SALE
1. This list cancels and replaces the previous ones and is not meant as an offer.
2. The prices can be changed anytime without notice. Assembling is not included.
3. Crea Design Srl shall change without notice, in its unappealable judgment, structural materials, technical and aesthetic features, as well as the size of its
products.
4. The pictures of products included in the catalogue are purely as an indication.
5. The sale is ruled by these general terms, which the customer is supposed to know, as well as by special terms each time stipulated. Possible derogatory
terms to what provided for in these general terms of sale shall be put in writing.
6. The purchase proposals or the customer's orders are made conditional on the expressed acceptance or the beginning of the performance of the contract
from the vendor whenever that is allowed. Any further alteration in the sale contract will not be valid and binding if not put in writing and undersigned by the
party called upon for such alteration.
7. In conformity with art. 1510 of the Italian civil code, the delivery of the sold goods occurs when they are handed to the carrier or shipper, since the goods
travel at the customer's risk. That applies also when the goods are delivered free to the customer's address. All possible requests, complaints and/or actions
concerning the forwarding or transport of the goods should be brought on by the buyer against the shipper or carrier. All possible damages or losses of the
sold goods due to forwarding or transport do not free the buyer from paying the price agreed upon.
8. The delivery term is approximate and not final and may be delayed with no obligation of compensation for possible direct or indirect damages suffered by
the buyer for the delayed delivery and that does not involve the cancellation of the contract of sale for the vendor's default. Acts of God excepted, in case of
strikes and all other cases temporarily preventing the vendor from performing the contract of sale regularly, the vendor is however entitled to back out of the
contract, without the buyer being authorized to possible damages, except for the repayment of any down payment.
9. The payment of the selling price of the goods shall be made at the vendor's. In case of delayed payment, partial or total, of the price of the sold goods, the
buyer will be automatically fall into arrears and shall pay interests on arrears, within the limit and with effect from the date set with the Legislative Decree
231/2002 (accomplishment of the Directive 2000/35/CE concerning the fight against delayed payments in trade transactions).
10. The vendor cannot be held responsible for possible flaws of the sold goods, known or knowable from the buyer, who did not send back the goods
promptly.
Objections or complaints about the quantity of goods delivered shall be notified on delivery, written on the freight document. The possible replacement of
goods does not mean acceptance of the objection or complaint. The crediting to the buyer will be made only upon restitution of the defective goods and
provided that they have been acknowledged by the vendor or the responsibility of the latter is established.
11. Drawings, models, graphs and other technical details about the products sold, as well as samples, catalogues, pictures and alike, always remain the
manufacturer's intellectual property and therefore they cannot be copied or transferred or otherwise used.
12. The amounts paid as confirmatory deposit on purchase proposal or even later may be held back by the vendor in case of cancellation of the order and in
all cases of non-fulfilment from the buyer justifying the vendor's withdrawal, however the vendor is entitled to demand the fulfilment of the contract and the
compensation for the major damage. In case the buyer fulfils the contractual obligations, the amounts paid as confirmatory deposit shall be attributed to the
payment of the price. Anyway, expenses and possible down payments shall be non-interest-bearing.
13. The possible tolerance from one of the parties of behaviours of the other party realized in the breaking of clauses ruling the sale does not account for a
renunciation of rights resulting from the infringed clauses or the right to demand the correct execution of all terms and conditions provided for in the contract.
14. Monza (Italy) is the place of jurisdiction for all disputes concerning the sale, its modifying and executory deeds, included those concerning the validity,
effectiveness, interpretation, execution and cancellation of the contract.
15. All goods remain the property of Crea Design srl until invoices in respect of those goods are settled in full.
Until date of full settlement, goods are meant to be in deposit with the purchaser. The purchaser then takes over the risk of any damage that goods could
suffer, whatever the cause might be.
16. Take particular consideration that not all the products of the price-list are compatible with U.S.A. and CANADA market.
By consequence if you plan to use or export our products in U.S.A. market and/or, anyway, in any other country outside EU, you are obliged to previously
contact our Commercial Department to have the confirmation that the particular good you are interested in meet all special requirements or government standards for end user of the final market. So said, we decline any liability that may be caused by your acting without informing us and aside from our previously
written authorization in exporting or using the goods in an outside EU country.
WARNING
- Prior to purchasing the products in this list you have to consult the sale conditions, as well as the technical specifications and the warnings that follow.
- Prior to installing the products in this list please check the load bearing capacity of the walls/floor/surfaces on which the units will be fitted, checking that they
are suitable for the type of use and/or application for which they will be used: these products are not suitable for use by children.
- The products included in this list are not suitable for outdoor use.
- The products and shelves fixed to the wall/floor require wall/floor anchor devices not shown in the pictures of our catalogues.
- The products must only be installed by competent fitters equipped with suitable instruments and tools required for the job: prior to assembling and installing
the products carefully read the instructions supplied with the products. Pay particular attention to the drawings and the assembly instructions. If the instructions
are missing please contact our technical department.
- If the products are to be fitted to the walls/floor/surfaces, always use suitable fixtures which must be able to withstand the forces generated. Always use
fixtures able to support every single structure.
- Installing the products incorrectly and/or exceeding the maximum load bearing capacity specified in this price list and/or instructions accompanying the
products is dangerous (the products could topple over, break and injure persons and/or damage objects); if you have any doubts concerning how to install the
products and/or the load bearing capacity of the wall/floor on which it is fitted, do not install it.
- Please follow the instructions and compositions in this price list; if you wish to create compositions which are not included in this price list and/or require
additional information on our products or how to install them, please contact our technical department.
- Fire-proof and self-extinguishing ashtrays and waste-paper baskets are not suitable for containing liquids and/or inflammable substances. Use appropriate
bags for collecting and containing glass.
- Producer liability.
The purchaser is required to inform its customers and/or the final users of the purchased product about all product features in order to reduce to a minimum
the risk of an improper use of the product that might expose the company to possibile reason for damage due to product liability. Failing that the purchaser
shall expressly exempt the company from any presumption of liability.
