GENERAL SALES CONDITIONS
1) INTRODUCTION
The TEDAP S.r.l. sells according to the request and delivers against payment products (antennas, filters,
accessories and further items etc.) on the whole Italian territory and in abroad. The commercial relations
between TEDAP S.r.l. and the client are governed by the following terms and conditions of sale. The order
placement and its sending to TEDAP S.r.l. implies full acceptance of these conditions.
2) ORDERS
All orders have to be submitted in writing by fax, email or letter. The minimum order amount is € 1000.00
(VAT and/or discount excluded), unless otherwise agreed. Each order will be valid only when it has been
approved and confirmed in writing by TEDAP S.r.l., even in the presence of the previous offer and / or
quotation. The order confirmation will be sent via email or fax.
3) DELIVERY
The delivery of goods is Ex Works unless otherwise agreed. The goods are travelling in accordance with the
2010 Incoterms indicated in our order confirmation. Claims for damage during transport, whether carried
out by TEDAP Srl must be notified in writing within eight days from the receipt of the goods, subject to
reservation in the delivery note. Any delay in delivery, not caused directly by Tedap, does not give the right
to withdraw from the contract or to claim damages. Specifically Tedap excludes any compensation of the
indirect consequential damages due to a delay in delivery of goods ordered.
4) PRICE
All prices are expressed in Euro. The prices indicated in the order confirmation are to be considered fixed for
such delivery. TEDAP S.r.l. on request provides the complete price list of their products. The prices indicated
in our order confirmation and in our price list do not include any of the taxes (VAT, customs duties, Stamp
Duty and other) that are borne by the Buyer. TEDAP S.r.l. reserves the right to modify their prices at any time
according to the needs of the market and additional manufacturing costs, etc.
5) PAYMENTS
Payments shall be made in accordance with the terms and conditions set out and laid down in our order
confirmation. The Buyer authorizes in advance a possible transfer of credits deriving from claims arising from
the present contract to a third party, according to the Art. 1260 of the Civil Code. In the event of nonpayment, even if partial, of the total amount of the invoice, TEDAP S.r.l. reserves the right to charge penalty
interest for late payment in accordance with the EU Directive. The goods remain the property of TEDAP until
full payment of the agreed price. In the case of insolvency, even partial, the goods supplied may be claimed
by TEDAP S.r.l., even if they have been built-in property owned by the purchaser or third parties.
6) WITHDRAWAL
The customer may request the total or partial cancellation of the orders sent. TEDAP S.r.l. at its discretion
may accept or reject the cancellation if the orders are already being processed. In any case TEDAP S.r.l. should
notify the customer of the outcome of the annulment and any costs thereof.

7) WARRANTY
All TEDAP products are guaranteed against defects in workmanship or materials for a period of 24 months
from the date of shipment of goods according to EX works conditions. Any claims relating to defects covered
by this warranty must be promptly notified in writing to TEDAP in order to replace or to repair the damaged
goods free of charge. Repair under warranty covers all costs of material and necessary labor. The postage
and/ or any expenses of technical assistance onsite are not covered by the guarantee. The guarantee is also
excluded for all those parts subject to normal wear and tear. All faults or breakages that occurred due to
negligence, faulty installation, lack of maintenance, modifications and / or repairs performed by
unauthorized personnel are excluded from the guarantee.
8) INSTALLATION , TESTING & REGULATIONS
All TEDAP products are subjected to testing in the Manufacturer facilities, according to standard procedures
and European regulations. The installation, technical support for installation and anything not specifically
mentioned are excluded from the provision. All TEDAP products comply with the provisions of law.
9) PRIVACY
The information you provide is governed by the New Privacy Code (Legislative Decree no. 196 of 30 June
2003 - OJ 29/07/2003) and will be used by TEDAP Srl even with the use of electronic and automated means,
for statistical purposes and to inform you of any technical / commercial issue about the products. The
information will not be shared or sold to third parties. It is your right to get the check, update, modify, cancel
or oppose to the treatment of your personal data in accordance with the above law.
10) MODIFICATIONS
The conditions contained in this document may be changed without notice and will be valid from the date of
publication on the website.
11) JURISDICTION AND DISPUTES
For any dispute related to or dependent on the interpretation, validity or enforcement of these terms and
conditions shall be referred exclusively to the Court of Verona.

CONDIZIONI GENERALI DI VENDITA
1) PREMESSA
La TEDAP S.r.l. vende e su richiesta e a pagamento consegna i propri prodotti (antenne, filtri etc.) su tutto il
territorio italiano ed all’estero. I rapporti commerciali tra la TEDAP S.r.l. e il cliente sono regolati dalle
seguenti condizioni generali di vendita. L’invio di un ordine alla TEDAP s.r.l. implica l’accettazione integrale
di tali condizioni.
2) ORDINI
Gli ordini possono essere inoltrati in forma scritta via fax, email o lettera. L’importo minimo d’ordine è di
1000,00 € (IVA esclusa), salvo diversa pattuizione contrattuale. Ogni ordine sarà valido solo quando sia stato
approvato e confermato per iscritto da TEDAP S.r.l., anche in presenza di una precedente nostra offerta e/o
preventivo. La conferma d'ordine verrà inviata via email o fax.
3) CONSEGNA
La consegna della merce si intende franco ns. Stabilimento salvo diversi accordi. La merce viaggia secondo le
Incoterms 2000 indicate nella nostra conferma d'ordine Eventuali reclami per il danno durante trasporto, se
eseguito da TEDAP S.r.l., dovranno essere comunicati per iscritto entro otto giorni dal ricevimento della
merce stessa previa riserva nella bolla di consegna. Un eventuale ritardo di consegna non dovuto
direttamente alla TEDAP S.r.l. non dà il diritto alla recessione del contratto ne risarcimento di eventuali danni.
In particolare sono esclusi danni indiretti (fermo cantiere) dovuto ad un eventuale ritardo di consegna della
merce ordinata.
4) PREZZO
Tutti i prezzi sono espressi in Euro. I prezzi indicati nella conferma d'ordine sono da ritenersi fissi per tale
fornitura. TEDAP S.r.l. su richiesta fornisce il listino completo dei propri prodotti. I prezzi indicati nelle nostre
conferme d'ordine e nel nostro listino prezzi non includono nessuno degli oneri fiscali (I.V.A., dazio doganale,
Imposta di Bollo ed altro) che sono al carico dell'acquirente. Inoltre TEDAP si riserva il diritto di variare i propri
prezzi in qualsiasi momento in base alle esigenze del mercato e di propri fornitori.
5) PAGAMENTI
I pagamenti vanno effettuati secondo le condizioni e le modalità stabilite e indicate nella ns. conferma
d'ordine. Il compratore autorizza preventivamente un eventuale cessione a terzi, ai sensi e per effetto degli
art. 1260 c.c. dei crediti derivanti dal presente contratto. In caso di mancato pagamento, anche parziale, della
somma dovutaci verranno conteggiati gli interessi moratori secondo la direttiva comunitaria. La merce
rimane di proprietà della TEDAP fino al totale pagamento del prezzo accordato. In caso di insolvenza anche
parziale la merce fornita può essere rivendicata da TEDAP S.r.l. ovunque si trovi, anche se incorporata in beni
di proprietà dell'acquirente o di terzi.
6) RECESSO

Il cliente può richiedere l’annullamento totale o parziale degli ordini inviati. TEDAP S.r.l. a sua discrezione può
accettare l’annullamento oppure rifiutarlo qualora gli ordini siano già in fase di approntamento. In qualsiasi
caso TEDAP S.r.l. comunicherà al cliente l’esito dell’annullamento o di eventuali costi dello stesso.
7) GARANZIA
Tutti i prodotti TEDAP sono garantiti contro eventuali difetti di costruzione o di materiale per un periodo di
24 mesi a partire dalla data della spedizione di merce. Eventuali reclami relativi ai difetti coperti da garanzia
devono essere comunicati tempestivamente per iscritto alla TEDAP in modo da sostituire o riparare
gratuitamente la merce danneggiata. La riparazione in garanzia comprende tutti i costi di materiale e di
manodopera necessaria per la riparazione stessa. Sono esclusi le spese di spedizione e o eventuali spese di
trasferta del nostro tecnico. La garanzia s’intende esclusa per tutte quelle parti soggette a normale usura.
S’intende altresì esclusa ogni garanzia per tutti quei guasti o rotture verificatesi per incuria, difettosa
installazione, carenza di manutenzione, modifiche e/o riparazioni eseguite da personale non autorizzato.
8) COLLAUDO & INSTALLAZIONE E LE NORMATIVE VIGENTI
Tutti i prodotti TEDAP vengono sottoposti al collaudo nella sala prove del produttore, secondo procedure
interne standard e ovviamente secondo normative in vigore. L'installazione, assistenza tecnica al montaggio
e quanto altro non espressamente indicato sono esclusi dalla fornitura. Tutti i prodotti TEDAP sono conformi
alle disposizioni di legge.
9) PRIVACY
I dati da Voi forniti sono disciplinati dal Nuovo Testo Unico sulla Privacy (Decreto Legislativo n. 196 del 30
giugno 2003 - G.U. 29/07/2003) e saranno utilizzati da TEDAP S.r.l. anche con l'utilizzo di mezzi elettronici e
automatizzati, a fini statistici nonché per informarvi su eventuali informazioni tecnico/commerciali sui
prodotti. I dati non saranno oggetto di comunicazione o diffusione a terzi. È vostro diritto ottenere il
controllo, l'aggiornamento, la modifica, la cancellazione e di opporvi al loro trattamento secondo quanto
stabilito dalla citata legge.
10) MODIFICHE
Le condizioni contenute nel presente documento potranno essere modificate, senza preavviso alcuno e
avranno validità dalla data di pubblicazione nel sito Internet.
11) COMPETENZE E CONTROVERSIE
Per qualsiasi controversia connessa o dipendente dall'interpretazione, validità o esecuzione delle presenti
condizioni sarà competente in via esclusiva il Foro di Verona.
